PRIME MINISTER

Pursuant to the Law on Organization of the Government dated December 25, 2001;

Pursuant to the State Enterprise Law dated November 26, 2003;

Pursuant to Decree No. 63/2001/NĐ-CP dated September 14, 2001;

Considering the proposal of the Board of Directors of the Southern Food Corporation,

DECISION:

Article 1. Convert Company Foodstuff - Agricultural Materials Binh Tay - an independent accounting member enterprise under Southern Foodstuff Corporation into Limited Liability Company Binh Tay.

Limited Liability Company Binh Tay shall have its own seal, open accounts at domestic and foreign banks in accordance with the law, and operate in accordance with the Company's Charter and the Enterprise Law.

- Full name: Limited Liability Company Binh Tay.

- International trade name: BINH TAY FOOD & AGRO MATERIALS Co., LIMITED.

- Abbreviation in English: BITAFAMCO

- Registered capital: 38,536,520,541 Vietnamese dong (Thirty-eight billion, five hundred thirty-six million, five hundred twenty thousand, five hundred forty-one Vietnamese dong).

Head office: No. 406 Tran Van Kieu Street, Ward 7, District 6, Ho Chi Minh City.

Article 2. Business activities of the Company: trading in foodstuffs, food products, agricultural products, agricultural materials, petroleum, real estate, buying and selling wooden goods and wood-derived products, warehouse rental services, food industry, other industries, and other businesses as prescribed by law.

Article 3. Organization and operation:

1. The organizational structure of the Company follows the model of Chairman and General Director.

2. The organization and operation of the Company are specifically regulated in the Company's Charter on organization and operation.

Article 4. The State body authorized to represent the owner:

Board of Directors of the Southern Foodstuff Corporation.

The Board of Directors of the Southern Foodstuff Corporation is responsible for exercising the rights of the owner of the capital according to current regulations and the Company's Articles of Association.

Article 5. Limited Liability Company Binh Tay is responsible for receiving and effectively utilizing the capital and assets transferred by the Board of Directors of Southern Foodstuff Corporation to fulfill the mission of developing production and business operations; inheriting all rights and obligations of Company Foodstuff - Agricultural Materials Binh Tay.

Article 6. The Chairman of Limited Liability Company Binh Tay is responsible for drafting the Charter on organization and operation of the Company to be submitted to the Board of Directors of Southern Foodstuff Corporation for approval; appointing the General Director, Deputy General Directors, and Chief Accountant of the Company in accordance with current laws.

Article 7. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.

The Board of Directors of Southern Foodstuff Corporation, the General Director of Company Foodstuff - Agricultural Materials Binh Tay, and the Chairman of Limited Liability Company Binh Tay are responsible for implementing this Decision./.
