Pursuant to Decree No. 15/ND-CP dated March 4, 1994 of the Government on the functions, tasks, powers, and organizational structure of the Ministry of Construction;
Pursuant to Decision No. 929/QD-TTg dated July 30, 2001 of the Prime Minister on piloting the holding company-subsidiary model at Construction Installation, Import-Export Materials and Construction Technology Company;
Pursuant to Decision No. 155/QD-UB dated January 20, 2003 of the People's Committee of Hai Phong City on transferring Tan Long Casting Company to become a member of Vietnam Investment Construction and Import-Export Company to implement the holding company-subsidiary model;
Considering the proposal of Vietnam Investment Construction and Import-Export Company at document No. 39/MC-TCLD dated January 27, 2003 and the proposal of the Director of the Labor Organization Department,
DECISION:
Article 1. Accepting Tan Long Casting Company - a state-owned enterprise established under Decision No. 1269/QD-TCCQ dated November 12, 1992 of the People's Committee of Hai Phong City as a subsidiary in the pilot holding company-subsidiary model of Constrexim Corporation according to Decision No. 929/QD-TTg dated July 30, 2001 of the Prime Minister, and changing the name of this enterprise to Tan Long Constrexim Foundry and Construction Machinery Company; international trade name is Tan Long Constrexim Casting and Construction Mechanical Company; abbreviated name is Tan Long Constrexim; main office located at No. 80 Ha Ly Street - Hong Bang District - Hai Phong City.
1. Tan Long Constrexim Foundry and Construction Machinery Company is a wholly state-owned subsidiary, subject to the State Enterprise Law, organized and operated according to the Charter for the Pilot Organization and Operation of Vietnam Investment Construction and Import-Export Company under the holding company-subsidiary model approved by the Minister of Construction, according to the Financial Regulations for the Pilot Holding Company-Subsidiary Model of Vietnam Investment Construction and Import-Export Company approved by the Minister of Finance, and according to its own Charter approved by the General Director of Vietnam Investment Construction and Import-Export Company.
2. Tan Long Constrexim Foundry and Construction Machinery Company has a total business capital of 16,360,414,495 VND at the time of acceptance, of which state capital is 5,462,770,355 VND.
3. Tan Long Constrexim Foundry and Construction Machinery Company shall perform production and business tasks assigned by Vietnam Investment Construction and Import-Export Company, specifically:
Producing various types of water supply and drainage pipes from 50 mm to 800 mm, pipe accessories, and machine parts made of cast iron;
Processing and erecting steel structures;
Constructing civil and industrial projects;
Investing in housing development;
Trading and importing construction materials.
Article 2. The General Director of Vietnam Investment Construction and Import-Export Company is responsible for organizing the acceptance of Tan Long Casting Company in accordance with current state regulations and directing Tan Long Constrexim Foundry and Construction Machinery Company to draft its Charter for organization and operation, improve its organizational structure, and continue implementing investment projects to enhance production capacity so that the company can stabilize and operate effectively in the new organizational model.
Article 3. THIS DECISION SHALL TAKE EFFECT 15 DAYS FROM THE DATE OF SIGNATURE.
The Director of the Labor Organization Department, heads of relevant units under the Ministry, the General Director of Vietnam Investment Construction and Import-Export Company, the Director of Tan Long Casting Company, and the Director of Tan Long Constrexim Foundry and Construction Machinery Company are responsible for enforcing this Decision./.
