Circular guiding the implementation of Decree No. 89/1999/NĐ-CP

dated September 1, 1999 of the Government on deposit insurance

 

Pursuant to Article 23 of Decree No. 89/1999/NĐ-CP dated September 1, 1999 of the Government on deposit insurance, the State Bank of Vietnam guides the implementation of this Decree as follows:

 

I. SUBJECTS AND SCOPE OF REGULATION

1-The objects applying this Circular include:

Credit organizations and non-credit organizations permitted to conduct certain banking activities, which accept deposits in Vietnamese Dong from individuals;

Individuals depositing money at credit organizations and non-credit organizations permitted to conduct certain banking activities;

Deposit Insurance Vietnam.

2-Credit organizations and non-credit organizations permitted to conduct certain banking activities according to the Law on Credit Organizations (hereinafter referred to as participating organizations) operating within the territory of the Socialist Republic of Vietnam, which accept deposits in Vietnamese Dong from individuals must participate in mandatory deposit insurance.

II. TYPES OF DEPOSITS INSURED

Insured deposits are deposits in Vietnamese Dong of individuals (including residents and non-residents) at participating organizations, including:

Unfixed-term and fixed-term savings deposits;

Unfixed-term and fixed-term deposits, including deposits on personal accounts;

Purchased certificates of deposit and registered bonds issued by participating organizations with permission from competent state authorities.

Deposit Insurance Vietnam does not insure bearer certificates of deposit and bearer bonds issued by participating organizations.

III. PROCEDURES FOR REGISTRATION TO PARTICIPATE IN DEPOSIT INSURANCE

1-Participating organizations must proceed with registration as follows:

1.1-The deadline for completing the procedures for registration to participate in deposit insurance shall not exceed 30 days from the date this Circular takes effect. For organizations granted licenses to operate after this Circular takes effect, they must complete these procedures within 30 days before commencing operations.

1.2-The registration dossier for participation in deposit insurance includes:

a-Deposit insurance participation registration form (Annex 1);

b-Legal and operational documents of the participating organization (certified copies) including:

Decision on establishment or license for establishment and operation issued by the competent state authority;

Charter of organization and operation;

List of members of the Board of Directors, General Director (Director), and Supervisory Board;

Business registration certificate;

Financial reports for the last three years (or the most recent years for newly established organizations under three years) confirmed by the competent state management authority or an auditing agency approved by the State Bank.

Additionally, non-credit organizations permitted to conduct banking activities must also submit the Charter or Regulation of organizational and operational activities of the parent unit or their own unit if it is a member.

2-Participating organizations that have been terminated from deposit insurance may regain their right to be insured after fulfilling obligations to Deposit Insurance Vietnam and obtaining permission from the competent state authority through a written document to resume accepting individual deposits. Procedures and requirements are as stipulated in point 1 of this Section.

3-Within 30 days from the date of receiving the complete registration dossier for participation in deposit insurance, Deposit Insurance Vietnam is responsible for completing the procedures for participation in deposit insurance for participating organizations.

4-During the course of operations, if there are changes in the scope of activities approved by the competent authority, participating organizations must immediately send them to Deposit Insurance Vietnam to supplement the insurance participation dossier.

IV. DEPOSIT INSURANCE FEES

1-Annually, participating organizations must pay Deposit Insurance Vietnam a fee equal to 0.15% per year based on the average balance of insured deposits at participating organizations.

a-Participating organizations are responsible for calculating (Annex 3) and paying the fee to Deposit Insurance Vietnam according to the prescribed rate. The deposit insurance fee is calculated four times a year, quarterly, and paid on the last day of the first month of each quarter (if those days coincide with weekends or public holidays, the payment date will be the first working day after the holiday).

b-The amount of fee payable for each period is calculated using the following formula:

Where:

P is the insurance fee payable for the period;

Provincial People's Committees set specific prices°S is the beginning-of-period deposit balance subject to insurance;

Provincial People's Committees set specific prices1S2/H3 is the end-of-month deposit balance subject to insurance during the period;

r is the fee rate payable for a period in a year;

c-In the case where a participating organization is declared by a competent state authority to cease operations for accepting deposits, the organization must pay the outstanding fee up to the date of the decision to cease accepting deposits.

d-During the process of inspecting the situation of deposit insurance fee payments at participating organizations, if discrepancies in the calculation and payment of fees are discovered, the deposit insurance organization will recover the outstanding fees or refund excess payments and may apply one of the following measures:

Fine.

Imposing fines on the unpaid portion of the fee according to the level set by the Management Board of Deposit Insurance Vietnam, but not exceeding the level specified in point 2 below.

2-Participating organizations violating the deadline for deposit insurance fee payments, in addition to paying the outstanding fee, must also bear a fine of 0.1% per day on the overdue fee.

3-If the deadline for deposit insurance fee payment exceeds 30 days (including weekends and holidays) as stipulated in point 1.a of this section and the participating organization has not paid the full deposit insurance fee, Deposit Insurance Vietnam has the right:

The deposit insurance organization requests the State Bank, credit organizations,or the National Treasury where the deposit account of the participatingorganization is held to withdraw from that organization's deposit account totransfer and pay the deposit insurance premium. The amount withdrawn andtransferred includes both the principal and any penalties as stipulated in Points1 and 2 of Section IV of this Circular.

In cases where there is insufficient balance in the participating organization'sdeposit account to carry out the aforementioned withdrawal and transfer, theVietnam Deposit Insurance Corporation requests the State Bank, creditorganizations, or the National Treasury to first withdraw and transfer the depositinsurance premium and subsequently the penalty, while simultaneously notifyingthe participating organization in writing to make up the shortfall.

4-In the event that the participating organization fails to pay the full depositinsurance premium within 90 days (including weekends and holidays) as prescribedin Point 1.a of this Section, the Vietnam Deposit Insurance Corporation will takethe following actions:

Issue a decision to terminate deposit insurance and announce it through massmediachannels;

Propose the State Bank issue a decision to halt the collection of individualdeposits from that organization;

In the case where the participating organization is decided by the VietnamDeposit Insurance Corporation to terminate deposit insurance, the VietnamDeposit Insurance Corporation will continue to be responsible for paying outinsurance on deposits insured before the termination decision is issued, andthis responsibility will be carried out within 180 days (including weekends andholidays) from the date of the termination decision, provided that during thisperiod, the participating organization is declared by the competent stateauthority to cease operations and has lost its ability to pay. The insuranceamount includes accrued interest up to the date of the cessation declaration.

5-The collection of deposit insurance premiums shall be conducted through the headoffice of the participating organizations or by other methods agreed upon betweenthe Vietnam Deposit Insurance Corporation and the participating organizations.

6-Annually, based on the final accounts of the competent state financial managementagency (including tax authorities) regarding the participating organization, theVietnam Deposit Insurance Corporation may adjust the total deposit insurancepremium payable by that organization for the year.

V. MONITORING RISKS AND REMEDIAL MEASURES

1-The participating organization is responsible for submitting to the VietnamDeposit Insurance Corporation the following types of reports:

a- For credit organizations:

A quarterly calculation table of the deposit insurance premium payable

(Appendix No. 2);

A periodic quarterly, semi-annual, and annual balance sheet;

A report evaluating operational performance for six months and one year;

Other reports as requested by the Vietnam Deposit Insurance Corporation.

b- For non-credit organizations:

A quarterly calculation table of the deposit insurance premium payable

(Appendix No. 2);

A periodic quarterly, semi-annual, and annual balance sheet;

Reports assessing the activities of collecting individual deposits from auditingand inspection agencies or related reports (if any);

Other reports as requested by the Vietnam Deposit Insurance Corporation.

2-The participating organization must immediately report to the Vietnam DepositInsurance Corporation in the following situations:

a-When encountering difficulties in payment capacity:

The total amount of payments in arrears requiring resolution;

The reasons leading to such difficulties;

The structure of insured deposits;

The anticipated consequences of these difficulties and remedial measures;

Recommendations to the Vietnam Deposit Insurance Corporation and relevantstate management agencies.

b-When there is a change in the composition of the Board of Directors, SupervisoryBoard, General Director (Director) of the participating organization.

c-Aside from the above contents, non-credit participating organizations mustreport to the Vietnam Deposit Insurance Corporation in the following situations:

When there is a change in strategy or direction in key business areas related tocollecting individual deposits of their own unit and the controlling unit;

When encountering difficulties due to unexpected risks;

3-Within 90 days from the end of the fiscal year, the participating organization isresponsible for submitting to the Vietnam Deposit Insurance Corporation thefollowing reports:

An annual asset summary table confirmed by the competent state managementagency or an auditor approved by the State Bank;

A report on the profit and loss situation of the unit.

4-During the process of monitoring and inspecting the participating organization, ifthe Vietnam Deposit Insurance Corporation discovers violations of regulations onbanking safety, deposit insurance, and provisions of this Circular, it has theright to require the participating organization to immediately take correctiveactions against those violations, and at the same time, report in writing to theState Bank to take appropriate follow-up and handling measures.

5-In cases where the operation of the participating organization poses a risk oflosing payment capacity, significant losses of capital and assets, or has a seriousnegative impact on other credit organizations, the Vietnam Deposit InsuranceCorporation will report to the State Bank and simultaneously request theparticipating organization to promptly take corrective measures.

6-Responsibilities of the Vietnam Deposit Insurance Corporation and functionalagencies of the State in coordinating supervision and management of theactivities of participating organizations:

a-The Vietnam Deposit Insurance Corporation is responsible for:

Closely cooperating with the State Bank Inspectorate to promptly grasp thebanking activities of the participating organization;

Immediately reporting to the State Bank and competent state managementagencies the contents related to Points 4 and 5 of Section V above;

Reporting on other related contents as required by the State Bank and competentstate management agencies;

Protecting the confidentiality of information about credit organizations accordingto current regulations.

b-Related units of the State Bank and the Vietnam Deposit Insurance Corporationare responsible for cooperating with each other to monitor the collection offees, gather information related to the organization and activities of theparticipating organizations.

c-The State Treasury and financial institutions, where the organization that is nota financial institution participates in deposit insurance shall be responsible forwithdrawing from the accounts of these organizations according to the request ofthe Vietnam Deposit Insurance Corporation.

VI. SUPPORT AND HANDLING BY THE VIETNAM DEPOSIT INSURANCE CORPORATION

FOR PARTICIPATING ORGANIZATIONS AT RISK OF LOSING PAYMENT CAPABILITY

IN CASES WHERE PARTICIPATING ORGANIZATIONS ARE AT RISK OF LOSING PAYMENT CAPABILITY BUT HAVE NOT YET REACHED THE LEVEL WARRANTING SPECIAL SUPERVISION, AFTER DETERMINING THAT CONTINUING THE OPERATIONS OF SUCH PARTICIPATING ORGANIZATIONS IS CRUCIAL FOR ENSURING THE SAFETY OF THE ENTIRE SYSTEM AND STABILIZING POLITICAL, ECONOMIC, AND SOCIAL SITUATIONS, THE VIETNAM DEPOSIT INSURANCE CORPORATION MAY PROVIDE SUPPORT IN THE FOLLOWING FORMS:

1-Providing loans to cover insured deposits;

2-Guaranteeing special loans for participating organizations to ensure funds forcovering insured deposits;

3-Purchasing debts from customers of participating organizations. The VietnamDeposit Insurance Corporation will only purchase secured debts.

APPLICATION OF THESE SUPPORT MEASURES SHALL BE CONSIDERED AND DECIDED BY THE BOARD OF MANAGEMENT OF THE VIETNAM DEPOSIT INSURANCE CORPORATION BASED ON THE PROVISIONS OF THE GOVERNOR OF THE STATE BANK OF VIETNAM REGARDING CAPITAL INFUSION, GUARANTEES, AND DEBT PURCHASES.

VII. PAYMENTS TO DEPOSITORS WHEN

PARTICIPATING ORGANIZATIONS STOP OPERATIONS AND LOSE PAYMENT CAPABILITY

IN CASES WHERE PARTICIPATING ORGANIZATIONS ARE ORDERED TO STOP OPERATIONS BY AUTHORIZED GOVERNMENT AGENCIES AND HAVE LOST PAYMENT CAPABILITY, THE VIETNAM DEPOSIT INSURANCE CORPORATION WILL IMPLEMENT PAYMENTS FOR INSURED DEPOSITS AS FOLLOWS:

1-COMPILE A LIST OF DEPOSITORS:

WITHIN 15 DAYS FROM THE DATE OF THE STATE BANK OF VIETNAM'S NOTICE TO STOP ACCEPTING INDIVIDUAL DEPOSITS, PARTICIPATING ORGANIZATIONS MUST COMPLETE THE COMPILE OF THE LIST OF DEPOSITORS AT THEIR OWN ORGANIZATION (ANNEX 3) AND SUBMIT IT TO THE VIETNAM DEPOSIT INSURANCE CORPORATION;

AFTER RECEIVING THE LIST OF DEPOSITORS, THE VIETNAM DEPOSIT INSURANCE CORPORATION WILL WORK WITH PARTICIPATING ORGANIZATIONS TO VERIFY THE LIST OF DEPOSITORS AND THE AMOUNTS THE VIETNAM DEPOSIT INSURANCE CORPORATION MUST PAY TO EACH DEPOSITOR;

AFTER REACHING AGREEMENT ON THE LIST OF DEPOSITORS AND THE TOTAL AMOUNTS THE VIETNAM DEPOSIT INSURANCE CORPORATION MUST PAY, THE VIETNAM DEPOSIT INSURANCE CORPORATION WILL SUBMIT THE APPROVAL OF THE BOARD OF MANAGEMENT AS THE BASIS FOR IMPLEMENTING PAYMENTS;

IMMEDIATELY AFTER APPROVAL BY THE BOARD OF MANAGEMENT, THE VIETNAM DEPOSIT INSURANCE CORPORATION MUST ANNOUNCE THE PAYMENTS THROUGH VARIOUS MEDIA OUTLETS.

2-REGISTER TO RECEIVE INSURANCE PAYMENTS:

a-DEPOSITORS SHALL REGISTER TO RECEIVE INSURANCE PAYMENTS (ANNEX 4). PAYMENTS FOR INSURED DEPOSITS SHALL BE PROCESSED AT THE FOLLOWING LOCATIONS:

AT THE HEADQUARTERS OF THE PARTICIPATING ORGANIZATION;

AT THE HEADQUARTERS, BRANCHES, OR REPRESENTATIVE OFFICES OF THE VIETNAM DEPOSIT INSURANCE CORPORATION;

AT ANOTHER FINANCIAL INSTITUTION SELECTED BY THE DEPOSITOR;

AT THE ADDRESS SPECIFIED IN THE REGISTRATION FORM. TRANSFER FEES SHALL BE BORNE BY THE DEPOSITOR.

b-DEPOSITORS MAY CHOOSE ONE OF THE FOLLOWING PAYMENT METHODS:

CASH;

TRANSFER;

3-THE VIETNAM DEPOSIT INSURANCE CORPORATION SHALL MAKE PAYMENTS TO DEPOSITORS ONLY IF THE FOLLOWING CONDITIONS ARE MET:

THEY ARE LISTED IN THE APPROVED LIST OF THE PARTICIPATING ORGANIZATION AND THE VIETNAM DEPOSIT INSURANCE CORPORATION;

THEY HAVE LEGAL DOCUMENTS PROVING OWNERSHIP OF THE DEPOSITS AT THE PARTICIPATING ORGANIZATION (SAVINGS BOOKS, DEPOSIT CERTIFICATES, SECURITIES...) ALONG WITH A NATIONAL IDENTITY CARD OR PASSPORT;

IN CASES WHERE DEPOSITORS HAVE LOST DOCUMENTS SUCH AS SAVINGS BOOKS, DEPOSIT CERTIFICATES, SECURITIES, PASSPORTS, NATIONAL IDENTITY CARDS, THE VIETNAM DEPOSIT INSURANCE CORPORATION SHALL HANDLE PAYMENTS FOR INSURED DEPOSITS ACCORDING TO ITS GUIDELINES.

4-INSURANCE PAYMENTS:

a-THE VIETNAM DEPOSIT INSURANCE CORPORATION SHALL POST NOTICES AND LISTS OF DEPOSITORS WHO WILL RECEIVE PAYMENTS AT THE HEADQUARTERS AND BRANCHES OF THE PARTICIPATING ORGANIZATION DECLARED TO STOP OPERATIONS AND AT THE HEADQUARTERS, BRANCHES, AND REPRESENTATIVE OFFICES OF THE VIETNAM DEPOSIT INSURANCE CORPORATION;

b-AFTER COMPLETING THE PROCEDURES AND CONTENTS AS SET OUT IN POINTS 1, 2, AND 3 ABOVE, WITHIN 15 DAYS, THE VIETNAM DEPOSIT INSURANCE CORPORATION SHALL IMPLEMENT PAYMENTS FOR INSURED DEPOSITS AT THE LOCATIONS REGISTERED BY THE DEPOSITORS. PAYMENTS SHALL BE PROCESSED AS FOLLOWS:

THE MAXIMUM AMOUNT THAT A DEPOSITOR AT A PARTICIPATING ORGANIZATION CAN RECEIVE FROM THE VIETNAM DEPOSIT INSURANCE CORPORATION IS 30 MILLION VIETNAMESE DONG (INCLUDING PRINCIPAL AND INTEREST);

DEPOSITORS WHO HAVE A TOTAL DEPOSIT AMOUNT (INCLUDING PRINCIPAL AND INTEREST) OF 30 MILLION VIETNAMESE DONG OR LESS AT A PARTICIPATING ORGANIZATION WILL RECEIVE FULL PAYMENT FROM THE VIETNAM DEPOSIT INSURANCE CORPORATION. DEPOSITORS WHO HAVE A TOTAL DEPOSIT AMOUNT (INCLUDING PRINCIPAL AND INTEREST) GREATER THAN 30 MILLION VIETNAMESE DONG AT A PARTICIPATING ORGANIZATION WILL HAVE THE EXCESS PORTION PAID OUT DURING THE LIQUIDATION PROCESS OF THE PARTICIPATING ORGANIZATION IN ACCORDANCE WITH THE LAW ON BUSINESS BANKRUPTCY;

IN CASES WHERE DEPOSITORS HAVE OBLIGATIONS TO THE PARTICIPATING ORGANIZATION DECLARED TO STOP OPERATIONS AND LOST PAYMENT CAPABILITY, INSURANCE PAYMENTS SHALL BE MADE AFTER SUBTRACTING THE DEPOSITOR'S DEBTS AS REQUESTED BY THE PARTICIPATING ORGANIZATION.

c-INSURANCE PAYMENTS FOR OTHER CASES:

DEPOSITORS WHO WISH TO CHANGE THE LOCATION FOR RECEIVING INSURANCE PAYMENTS AFTER REGISTRATION MUST NOTIFY THE VIETNAM DEPOSIT INSURANCE CORPORATION. WITHIN 15 WORKING DAYS FROM THE DATE OF RECEIVING THE NOTICE OF LOCATION CHANGE, THE VIETNAM DEPOSIT INSURANCE CORPORATION SHALL CONSIDER AND RESOLVE THE ISSUE;

UNDER OBJECTIVE CIRCUMSTANCES, THE PERSON ELIGIBLE TO RECEIVE INSURANCE PAYMENTS MAY AUTHORIZE ANOTHER PERSON TO COLLECT THE PAYMENT. THE AUTHORIZED PERSON MUST HAVE FULL LEGAL CAPACITY, MUST PRESENT THE POWER OF ATTORNEY (ANNEX 7) CONFIRMED BY THE AUTHORIZED AUTHORITY ACCORDING TO VIETNAMESE LAW, ALONG WITH A NATIONAL IDENTITY CARD OR PASSPORT.

The depositor who has registered and wishes to change the location for receiving insurance money must notify the Vietnam Deposit Insurance Corporation. Within fifteen working days from the date of receipt of the change notification, the Vietnam Deposit Insurance Corporation shall examine and resolve;

In case of objective reasons, the person entitled to receive insurance money may authorize another person to collect it. The authorized person must have full civil capacity and must present the power of attorney (Annex No. 7), confirmed by the competent authority under Vietnamese law, along with their identity card or passport;

In case the depositor emigrates to settle abroad or dies, the Vietnam Deposit Insurance Corporation shall proceed with payment procedures pursuant to the authorization of the owner and in accordance with Vietnamese laws on inheritance of assets.

d-The Vietnam Deposit Insurance Corporation has the right not to pay insurance money if there is evidence proving that the deposit does not fall within the scope of insured deposits.

VIII. MANAGEMENT AND LIQUIDATION OF ASSETS FOR

DEPOSIT INSURANCE PARTICIPATING ORGANIZATIONS THAT HAVE BEEN DECLARED BANKRUPT

1-In the event that a deposit insurance participating organization is declared bankrupt, the Vietnam Deposit Insurance Corporation becomes a creditor of that deposit insurance participating organization for the amount of money it has paid to depositors and has the right to participate in the management and liquidation process of the deposit insurance participating organization that has been declared bankrupt.

2-The amount recovered from the liquidation of assets of the deposit insurance participating organization that has been declared bankrupt shall be supplemented into the operational capital of the Vietnam Deposit Insurance Corporation.

IX. IMPLEMENTATION PROVISIONS

1-This Circular takes effect fifteen days from the date of signature.

2-Deposits at organizations participating in deposit insurance mentioned in Section II of this Circular shall be insured from the date when the deposit insurance participating organization completes the registration for participation in deposit insurance and is approved by the Vietnam Deposit Insurance Corporation. Insured deposits include balances on deposits existing prior to the date of participation in insurance and deposits made after the date of participation in insurance. The deposit insurance participating organization shall be responsible for paying the deposit insurance premium from the date of approval. The initial deposit insurance premium shall be calculated according to the principles set forth in this Circular and submitted in accordance with the guidance of the Vietnam Deposit Insurance Corporation.

3-The Heads of Units under the State Bank of Vietnam, Chairmen of the Board of Directors, General Directors of the Vietnam Deposit Insurance Corporation, Chairmen of the Board of Directors, General Directors (Directors) of deposit insurance participating organizations within their respective functions and duties shall be responsible for organizing, guiding, and implementing this Circular.

4-During the implementation, if difficulties or obstacles arise, the organizations and individuals responsible for implementing this Circular shall promptly report them to the State Bank of Vietnam. Any supplementation or amendment to this Circular shall be decided by the Governor of the State Bank of Vietnam./.
