OF THE MINISTRY OF TRADE NUMBER 03-TM/CSTTTN OF MARCH 11, 1997 GUIDING THE IMPLEMENTATION OF THE GOVERNMENT'S PROVISIONS ON THE ACTIVITIES OF PURCHASE AND SALE, EXPORT, IMPORT AND PROCESSING OF PRECIOUS STONES
Pursuant to the Government Decree No. 65/CP dated October 13, 1995 promulgating the "Regulation on Management of Activities in the Precious Stones Sector";
Pursuant to the Government Decree No. 02/CP dated January 5, 1995 stipulating goods and services prohibited from commercial trade and goods and services subject to conditions for commercial trade in the domestic market;
The Ministry of Trade guides and specifies the following regarding activities of purchase and sale, export, import and processing of precious stones as follows:
Chapter 1:
GENERAL PROVISIONS
1. The following activities in the field of precious stones: purchase and sale, export, import and processing of precious stones (including jewelry with embedded precious stones and decorative items made of precious stones) must be carried out in accordance with the specific provisions set forth in this Circular.
2. Precious stones are understood as defined in Article 1 of the "Regulation on Management of Activities in the Precious Stones Sector" issued together with the Government Decree No. 65/CP dated October 13, 1995, comprising two groups: Group 1: diamonds, rubies, sapphires and emeralds;
Group 2: Other types of precious stones;
and exist in the forms of raw materials, processed or manufactured products, or embedded in jewelry or decorative items.
3. The State recognizes the lawful ownership rights of organizations and individuals holding precious stones in the form of raw materials or processed products. Organizations and individuals with lawful ownership of precious stones may retain, transport, pledge, transfer, sell, or deposit at banks or state treasuries.
4. Enterprises established in accordance with the laws if they meet the conditions specified in this Circular shall be permitted to engage in purchase and sale, export, import and processing of precious stones.
Enterprises established under the Law on Foreign Investment in Vietnam operating in the precious stones sector shall operate within the scope of the Investment License issued by the Ministry of Planning and Investment.
5. Individuals and business groups granted business licenses pursuant to Government Decree No. 66/HĐBT dated March 2, 1992, universities, vocational schools, scientific research institutions that meet the conditions specified in this Circular shall be permitted to process precious stones.
Chapter 2:
PROVISIONS ON PURCHASE AND SALE AND PROCESSING OF PRECIOUS STONES
I. DOMESTIC PURCHASE AND SALE OF PRECIOUS STONES:
1. Enterprises requiring activities in the purchase and sale of precious stones must apply for a Business License for Purchase and Sale of Precious Stones in accordance with the Government Decree No. 02/CP dated January 5, 1995 and the specific provisions of this Circular; must register their business in accordance with the law and during the course of business must comply with the conditions for purchase and sale of precious stones.
2. The purchase and sale of precious stones (raw materials, processed or manufactured products, or embedded in jewelry or decorative items) are encouraged and facilitated by the State for all organizations and individuals to carry out at:
a. The headquarters of enterprises and centers, stores selling precious stones and jewelry of the Vietnam Precious Stones and Gold Corporation and its member units.
b. The headquarters of other enterprises and stores with a Business License and registration for purchase and sale of precious stones.
c. Precious stone markets in mining areas managed by local authorities with the participation of the Vietnam Precious Stones and Gold Corporation.
Precious stones mined by units winning bids with a value of 100 million dong or more per piece, after valuation, shall be sealed and stored at the Vietnam Precious Stones and Gold Corporation for auction in accordance with regulations.
3. Enterprises engaged in the purchase and sale of precious stones when buying and transporting precious stones must issue complete invoices and documents as required for other goods under current regulations of the Ministry of Finance.
For purchases and sales at the precious stone markets specified in point 2c above, confirmation by the direct management authority of the precious stone market is required.
4. Precious stones purchased and sold at centers and stores of enterprises selling precious stones must match the type, quality, quantity, and price recorded on invoices and documents, and when necessary, must undergo inspection and appraisal by standardization, measurement, and quality control agencies and market inspection agencies.
Centers and stores selling precious stones, if they also sell artificial precious stones (including those embedded in jewelry or decorative items), must clearly list the type, quality, quantity, and price of artificial precious stones to distinguish them from natural precious stones and must clearly record this information on invoices and documents for purchase and transportation.
5. When purchasing and selling precious stones domestically, there is no mandatory requirement for appraisal; the appraisal is agreed upon between the buyer and seller.
6. Conditions for obtaining a Business License for Purchase and Sale of Precious Stones include:
6.1. Conditions concerning the business entity:
As stipulated in Article 21 of the Regulation on Management of Activities in the Precious Stones Sector issued together with the Government Decree No. 65/CP, "All economic organizations and individuals in Vietnam wishing to process, trade in, or make jewelry and decorative items from precious stones must establish production and trading facilities and register their operations according to the law"; according to the Government Decree No. 02/CP, organizations and individuals engaging in the purchase and sale of precious stones must establish enterprises.
Enterprises established to engage in the purchase and sale of precious stones are enterprises established in accordance with the laws on State-Owned Enterprises, Private Enterprises, and Companies. Cooperatives established under the Law on Cooperatives wishing to engage in the purchase and sale of precious stones must obtain a business registration from the People's Committee of the province.
The minimum capital requirement for establishing an enterprise engaged in the purchase and sale of precious stones for state-owned enterprises shall be implemented in accordance with the provisions of the Government Decree No. 50/CP dated August 28, 1996; for other enterprises pending the Government's supplementation of Decrees 221/HĐBT and 222/HĐBT, the temporary requirements are as follows:
- Limited Liability Company, Joint Stock Company, and Cooperative:
One thousand (1,000) million dong.
- Private Enterprise: Five hundred (500) million dong.
Enterprises established previously engaged in other industries, now wishing to engage in the purchase and sale of precious stones, must obtain permission from the competent authority to supplement the business activity of purchasing and selling precious stones and must have sufficient minimum capital to engage in the purchase and sale of precious stones as stipulated above.
6.2. Conditions concerning technical infrastructure:
a. Must have at least one jewelry store or business center.
b. Must have appropriate measuring instruments and comply with state regulations on metrological verification.
6.3. Conditions regarding professional qualifications:
Must have staff or specialists who are knowledgeable about precious stones and hold certificates or diplomas from recognized institutions (approved by authorized agencies for training and upgrading in gemology for three months or more).
In cases where specialists have been practicing the trade for many years, only a confirmation letter from the People's Committee of the commune or ward is required. The agency responsible for issuing the business permit for buying and selling precious stones has the right to recheck their skills.
7. The Department of Commerce is the agency responsible for examining and issuing business permits for buying and selling precious stones.
8. The application for a business permit for buying and selling precious stones must be submitted to the Provincial or Municipal Department of Commerce, including the following documents:
- Application form for a Business Permit for Buying and Selling Precious Stones (according to Form No. 1 attached to this Circular).
- Decision on establishment of the enterprise.
- Certificate of Business Registration (if already engaged in business activities).
- Confirmation of statutory capital (for state-owned enterprises, it is the decision on capital allocation or supplementation issued by the competent authority; for other enterprises, it is the confirmation of capital held in a corporate bank account).
- Confirmation of business location issued by the People's Committee of the commune or ward.
- List of calibrated measuring instruments (specifying the accuracy level of each type).
- Certificates of professional qualifications of enterprise staff (graduation certificates or training certificates in gemology; for those with long-term experience, a confirmation letter from the People's Committee of the commune or ward).
For enterprises currently operating in other industries wishing to engage in buying and selling precious stones, in addition to the above documents, they must also provide a decision allowing the addition of the precious stone trading business issued by the agency that established the enterprise.
Specifically, enterprises engaged in gold trading (holding a Certificate of Eligibility for Gold Trading issued by the State Bank and registered for gold trading), if they wish to additionally trade in precious stones set in jewelry items (excluding unprocessed precious stones and loose stones), their application will only include: Application for a Business Permit for Buying and Selling Precious Stones, Decision on Enterprise Establishment, Certificate of Eligibility for Gold Trading, and Registration for Gold Trading. The agency issuing the Business Permit for Buying and Selling Precious Stones must clearly state in the permit that the enterprise is only allowed to trade in precious stones set in jewelry items.
After being reviewed by the Department of Commerce for business conditions and granted a business permit for buying and selling precious stones, the enterprise must register its business or supplement its business registration according to the law before commencing operations in the buying and selling of precious stones.
9. Enterprises applying for a business permit for buying and selling precious stones must pay the business condition assessment fee and the business permit issuance fee as stipulated in Joint Circular No. 72-TT/LB dated November 8, 1996, issued by the Ministry of Finance and the Ministry of Trade.
II. PRECIOUS STONE PROCESSING AND MANUFACTURING:
(Including jewelry, decorative items, and precious stones)
1. Enterprises, Cooperatives, individuals, and groups engaged in processing and manufacturing precious stones (without engaging in buying and selling precious stones) must meet the following conditions to obtain a processing and manufacturing permit for precious stones.
Universities, vocational schools, and scientific research institutions, if their training programs or research are related to the field of precious stones and meet the conditions specified in this circular, may process and manufacture precious stones (without engaging in buying or selling precious stones) after obtaining a processing and manufacturing permit for precious stones.
2. Conditions for processing and manufacturing precious stones:
2.1 Technical infrastructure conditions:
a) Must have a separate facility for processing and manufacturing precious stones equipped with tools and equipment for processing precious stones.
b) Must have appropriate measuring instruments and comply with state regulations on metrological verification.
2.2 Professional qualifications:
Must have staff or specialists knowledgeable about precious stones holding certificates or diplomas from recognized institutions for training and upgrading in gemology for three months or more.
In cases where specialists have been practicing the trade for many years, only a confirmation letter from the People's Committee of the commune or ward is required. The agency issuing the processing and manufacturing permit for precious stones has the right to recheck their skills.
3. The application procedures and documents for a Processing and Manufacturing Permit for Precious Stones shall be carried out according to the provisions of Points 8 and 9 of Part I of this Chapter (excluding the confirmation of business capital; application form according to Form No. 2; for individuals and groups engaged in business under Decree 66/HĐBT, universities, vocational schools, and scientific research institutions do not need the establishment decision in their application).
If enterprises and cooperatives mentioned in Part I engage in both buying and selling precious stones and processing and manufacturing precious stones, they only need to submit a single application and the Department of Commerce will issue a combined Business and Processing and Manufacturing Permit for Precious Stones.
After being reviewed by the Department of Commerce for conditions and granted a Processing and Manufacturing Permit for Precious Stones, enterprises must register their business or supplement their business registration according to the law; individuals and groups engaged in business must obtain a Business Permit from the District People's Committee (or equivalent) according to Decree 66/HĐBT; universities, vocational schools, and scientific research institutions must register for tax payment with the tax authority.
4. These organizations and individuals, if processing and manufacturing precious stones for export, must also comply with regulations on processing exported goods and regulations on importing and exporting precious stones as stipulated in Chapter III of this Circular.
Chapter 3:
REGULATIONS ON IMPORT AND EXPORT OF PRECIOUS STONES
1. Only the following enterprises are eligible to apply for permission to import and export precious stones:
- Enterprises holding a mining permit for precious stones issued by the Ministry of Industry.
- Enterprises holding a foreign investment certificate for precious stones issued by the Ministry of Planning and Investment.
- Enterprises holding a Registration Certificate for Precious Stone Trading.
Regarding capital: Enterprises specializing in trading or both mining and trading precious stones must have a minimum statutory capital of five billion Vietnamese dong or its equivalent in foreign currency of five hundred thousand US dollars to be eligible for an import and export permit for precious stones.
After being granted a permit, if within two consecutive years a business does not achieve a turnover of five hundred thousand US dollars or more in precious stone import and export, the Ministry of Trade will base its decision on the business's import and export value of precious stones compared to the total import and export value of precious stones and the import and export values of other businesses to determine whether the business may continue to directly import and export precious stones.
Businesses engaged in the trade of precious stones that do not meet the conditions for obtaining a Business Permit for Import and Export of Precious Stones, if they have a need to import and export precious stones, shall entrust such activities to businesses holding a Business Permit for Import and Export of Precious Stones.
2. The application dossier for a Business Permit for Import and Export of Precious Stones to be submitted to the Ministry of Trade includes:
- An application form for a Business Permit for Import and Export of Precious Stones (Form No. 3).
- Decision on establishment of the enterprise.
- A Certificate of Registration for Business of Precious Stones (for newly established businesses that have not yet registered for business, it is a Business License for Buying and Selling Precious Stones issued by the Department of Trade).
- A Mining Permit for Precious Stones issued by the Ministry of Industry for businesses engaged in mining precious stones.
- Certificates proving the level of foreign trade expertise and language proficiency of the business’s foreign trade staff.
Businesses granted a Business Permit for Import and Export of Precious Stones must pay fees as stipulated in Document No. 1043-TM/XNK dated November 16, 1992, issued by the Ministry of Trade.
3. For foreign-invested enterprises, the import and export of precious stones must comply with the permitted scope specified in the Investment License issued by the Ministry of Planning and Investment and the annual plan for the import and export of precious stones approved by the Ministry of Trade.
4. Customs procedures for the import and export of precious stones are regulated as follows:
4.1. Import and export of precious stones:
a. For the import and export of precious stones valued at ten thousand (10,000) US dollars or more, businesses must present to the customs office at the port of entry a dossier including:
- A Business Permit for Import and Export of Precious Stones issued by the Ministry of Trade.
- A contract or document having the same effect as a contract for the sale and purchase of precious stones (foreign trade contract).
- A precious stone appraisal certificate.
- A sales invoice for precious stones issued by the Ministry of Finance.
b. For the export of consignments valued below ten thousand (10,000) US dollars, only the Business Permit for Import and Export of Precious Stones and the sales invoice for precious stones issued by the Ministry of Finance need to be presented to the customs office at the port of entry.
4.2. Import of precious stones:
Businesses must present to the customs office at the port of entry a dossier including:
- A Business Permit for Import and Export of Precious Stones issued by the Ministry of Trade.
- A contract or document having the same effect as a contract for the sale and purchase of precious stones (foreign trade contract).
- A precious stone appraisal certificate.
All imported precious stones must be appraised. Appraisal can be carried out in one of the following ways:
a. There is a precious stone consignment appraisal certificate from an appraisal agency operating legally in the market chosen by the importer and accepted in advance by the Ministry of Trade.
b. The customs office at the port of entry allows the business to temporarily import the consignment of precious stones after sealing them for the business to send for appraisal at a legally operating domestic appraisal organization. The appraisal organization only appraises the consignment of precious stones still sealed by the customs office, after which the business presents the appraisal certificate for the consignment of precious stones to the customs office to obtain approval for formal importation.
When there are doubts about the results of the appraisal, the customs office has the right to request a re-appraisal, and when there is a dispute over the results of the appraisal, state agencies or businesses have the right to request a re-appraisal.
5. Regulations on the import and export of non-commercial precious stones are governed by the General Customs Department.
6. Regulations on taking precious stones abroad for sale (including participating in auctions, selling at overseas branches of Vietnamese businesses, or sending for sale at foreign company stores):
6.1. Only businesses holding a Business Permit for Import and Export of Precious Stones may take precious stones abroad for sale. Consignments of precious stones taken abroad for sale or re-imported upon failure to sell, regardless of value, must be appraised.
6.2. Businesses wishing to take precious stones abroad for sale must submit an application dossier to the Ministry of Trade for consideration of issuance of an export and import permit for the trip. The dossier includes:
- An application for permission to take precious stones abroad for sale.
- A Business Permit for Import and Export of Precious Stones issued by the Ministry of Trade.
- A license to open a branch or store abroad (issued by the foreign country) in cases where precious stones are sold at branches or stores of the business abroad.
- A contract for consignment sale of precious stones at a foreign company store in cases where the business sends precious stones for sale.
6.3. When taking precious stones abroad for sale, businesses must present to the customs office at the port of entry a dossier including:
- An export and import permit for the trip issued by the Ministry of Trade.
- A precious stone appraisal certificate.
- A warehouse dispatch note.
6.4. Businesses must repatriate all foreign currency proceeds from the sale of precious stones abroad according to the current regulations of the State Bank and must pay export tax. Unsold portions must be re-imported and refunded the export tax according to their corresponding value.
7. Businesses bringing precious stones abroad for exhibition or trade fairs must comply with the regulations on exhibitions and trade fairs issued pursuant to Decision No. 390-TTg/XNK dated August 1, 1994, of the Prime Minister and Circular No. 05-TM/XNK dated February 25, 1995, of the Ministry of Trade. In this case, precious stones temporarily exported and re-imported after participating in exhibitions or trade fairs abroad, regardless of value, must be appraised according to the provisions of this Circular.
8. Regulations on temporary import and re-export of precious stones (buying precious stones from one country for temporary import and re-export to another country):
8.1. Businesses holding a Business Permit for Import and Export of Precious Stones who engage in temporary import and re-export must comply with the regulations on temporary import and re-export issued pursuant to Decision No. 1064-TM/PC dated August 18, 1994, of the Ministry of Trade.
All types of precious stones, regardless of the value of the consignment, must be appraised both when temporarily imported and when re-exported. The appraisal of temporarily imported precious stones is conducted as provided in Point 4.2 above.
8.2 When temporarily importing and re-exporting precious stones, businesses must present to the customs office at the port of entry a dossier including:
- A Business Permit for Temporary Import and Re-Export of Precious Stones issued by the Ministry of Trade.
- A precious stone appraisal certificate.
9. Regulations on processing precious stones for foreign countries: Processing precious stones for foreign countries referred to in this Circular means accepting precious stones from foreign businesses for processing in Vietnam to earn processing fees from those foreign businesses.
9.1. Conditions for processing and manufacturing precious stones for foreign countries:
Enterprises with a Business License for Import and Export of Precious Stones, organizations, and individuals with processing and manufacturing facilities for precious stones as stipulated in Part II-Chapter II of this Circular are permitted to process and manufacture precious stones for foreign countries. The application package submitted to the Ministry of Trade for obtaining a Processing and Manufacturing License for Precious Stones for Foreign Countries includes:
- Application for a Processing and Manufacturing License for Precious Stones for Foreign Countries.
- Business License for Import and Export of Precious Stones or Registration Certificate for Processing and Manufacturing Precious Stones (for universities, vocational schools, and scientific research institutions, it is a Processing and Manufacturing License for Precious Stones issued by the Provincial Department of Trade).
- Contract for processing and manufacturing precious stones for foreign countries accompanied by an agreement on raw material consumption rates if not specified in the contract.
9.2. Enterprises, organizations, and individuals meeting the conditions set forth in Point 9.1 above, after being granted a Processing and Manufacturing License for Precious Stones for Foreign Countries by the Ministry of Trade, may directly temporarily import raw precious stones and re-export finished precious stones according to regulations.
All raw precious stones when temporarily imported for processing and manufacturing and finished precious stones when re-exported, regardless of the value of the consignment, must be appraised. When temporarily importing raw materials, the appraisal shall be carried out according to one of the two methods mentioned in Point 4.2 above.
9.3. When temporarily importing or re-exporting processed and manufactured precious stones for foreign countries, the following documents must be presented to the customs office at the border gate:
- Processing and Manufacturing License for Precious Stones for Foreign Countries issued by the Ministry of Trade.
- Contract for processing and manufacturing precious stones for foreign countries accompanied by an agreement on raw material consumption rates if not specified in the contract.
- A precious stone appraisal certificate.
10. Regarding the appraisal body for precious stones:
Pending the promulgation by the Government of the "Regulations on Appraisal and Inspection of Goods Appraisal Organizations," the appraisal of precious stones for import and export as stipulated in this Circular will be conducted by enterprises with functions to appraise goods for import and export and appraisal bodies for precious stones that were operating prior to the issuance of this Circular.
The appraisal of precious stones attached to gold and silver jewelry or other precious metal jewelry can be carried out simultaneously with the appraisal of gold and silver or other precious metals at Gold Import and Export Appraisal Centers in accordance with state regulations.
Once the Government promulgates the "Regulations on Appraisal and Inspection of Goods Appraisal Organizations," these Regulations shall be implemented.
11. Import and export duties on precious stones shall be implemented in accordance with the provisions of the law.
Chapter 4:
INSPECTION AND VIOLATION HANDLING
1. Organizations and individuals engaged in buying, selling, exporting, importing, processing, manufacturing, and making jewelry and decorative items from precious stones who violate the provisions of this Circular and other relevant state regulations shall be subject to administrative penalties or criminal prosecution depending on the nature and severity of the violation as provided by law.
2. The Ministry of Trade, Provincial Departments of Trade, and other competent state agencies have the responsibility to inspect and handle violations by organizations and individuals operating in the field of precious stones in accordance with Decree 65/CP and this Circular.
Chapter 5:
IMPLEMENTING PROVISIONS
1. This Circular takes effect from July 1, 1997, and all conflicting provisions are hereby repealed.
2. From now until July 1, 1997, all organizations and individuals currently engaged in buying, selling, exporting, importing, processing, manufacturing, and making jewelry and decorative items from precious stones must reapply for procedures in accordance with this Circular. After July 1, 1997, organizations and individuals without the necessary conditions for engaging in buying, selling, exporting, importing, processing, manufacturing, and making jewelry and decorative items from precious stones or those who fail to reapply for procedures in accordance with this Circular shall not be allowed to operate in the precious stone sector.
Enterprises previously granted a Business License for Import and Export of Precious Stones by the State Bank of Vietnam must submit an application package to the Ministry of Trade for approval of individual export licenses for precious stones from now until July 1, 1997, when exporting precious stones including temporary imports and re-exports or taking precious stones abroad for participation in exhibitions, auctions, etc.
3. Enterprises granted a Business License for Import and Export of Precious Stones by the Ministry of Trade must report quarterly on their import and export activities of precious stones to the Ministry of Trade (Department of Import and Export Management).
4. Units granted a Business License for Buying and Selling or Processing and Manufacturing Precious Stones by the Provincial Department of Trade must report quarterly on their business operations to the Provincial Department of Trade for consolidation and reporting to the Ministry of Trade (Department of Domestic Market Policy).
