PRIME MINISTER
Pursuant to the Law on Organization of the Government dated December 25, 2001;
Pursuant to the State Enterprise Law dated November 26, 2003;
Pursuant to the Enterprise Law dated June 12, 1999;
Pursuant to the Postal and Telecommunications Ordinance dated May 25, 2002;
Pursuant to Government Decree No. 153/2004/NĐ-CP dated August 9, 2004 on the organization and management of state-owned corporations and the transformation of state-owned corporations and independent state-owned companies into parent company - subsidiary models;
Pursuant to Decision No. 58/2005/QĐ-TTg dated March 23, 2005 of the Prime Minister approving the pilot project for the formation of the Vietnam Post and Telecommunications Corporation;
Considering the proposal of the Minister of Posts and Telecommunications,
DECISION:
Article 1. Establish the Parent Company - Vietnam Post and Telecommunications Corporation (hereinafter referred to as the Corporation):
1. The Vietnam Post and Telecommunications Corporation is a state-owned enterprise with legal personality, seal, emblem, Articles of Organization and Operation; it is entitled to open accounts at the State Treasury and banks in accordance with the law; it shall operate under the State-Owned Enterprise Law; it shall be responsible for succeeding all legal rights, obligations, and lawful interests of the Vietnam Posts and Telecommunications Joint Stock Corporation.
2. Name:
- Full name: Vietnam Post and Telecommunications Corporation.
- International trade name: Vietnam Posts and Telecommunications Group.
- Abbreviation: VNPT.
3. Head office: located in Hanoi City.
4. The Corporation is established based on the restructuring of the Vietnam Posts and Telecommunications Joint Stock Corporation's Office and supporting units, Provincial Telecommunication Company, International Telecommunication Company, and a part of the Postal Financial Company. The organizational structure and functions, tasks, powers of the supporting machinery of the Corporation are stipulated in the Corporation's Articles of Organization and Operation.
5. Registered capital of the Corporation: is the owner's equity of the Vietnam Posts and Telecommunications Joint Stock Corporation at the time of January 1, 2006 minus the portion of capital and assets transferred to the Vietnam Posts Corporation.
6. Business fields:
- Financial investment and capital operation domestically and internationally.
- Providing services: trunk telecommunications, domestic and international telecommunications and information technology, communication, advertising.
- Surveying, consulting, designing, installing, maintaining telecommunication and information technology projects.
- Producing, trading in import and export, supplying telecommunication and information technology materials and equipment.
- Real estate business, leasing offices.
- Other businesses as prescribed by law.
7. Management and operational organization of the Corporation includes:
- The Corporation's Board of Directors is the direct representative of the State's ownership at the Corporation, consisting of nine members appointed by the Prime Minister upon the recommendation of the Minister of Posts and Telecommunications and the review of the Ministry of Home Affairs. The Chairman of the Board of Directors, General Director, and Chief Inspector are full-time members; the Chairman of the Board of Directors does not concurrently hold the position of General Director.
- Members of the Inspection Board are appointed by the Corporation's Board of Directors, with a maximum of five people.
- The General Director of the Corporation is appointed by the Corporation's Board of Directors after receiving written approval from the Prime Minister.
- Supporting the General Director are Deputy General Directors and the Chief Accountant of the Corporation, appointed by the Board of Directors upon the recommendation of the General Director.
- The Board of Directors and the General Director have supporting machinery including the Office and advisory departments.
8. The member units of the Corporation, formed in accordance with the law and the timeline specified in Clause 3, Article 1 of Decision No. 58/2005/QĐ-TTg dated March 23, 2005 of the Prime Minister approving the pilot project for the formation of the Vietnam Post and Telecommunications Corporation, include:
- Vietnam Posts Corporation.
- Telecommunications Corporations I, II, III operating under the parent company - subsidiary model, with the Corporation holding 100% of the registered capital.
- Companies held 100% of the registered capital by the Corporation:

+ Posts Hospital I (located in Hanoi).
+ Posts Hospital II (located in Ho Chi Minh City).
+ Posts Hospital III (located in Da Nang City).
+ Posts Rehabilitation and Functional Recovery Hospital I (located in Hai Phong City).

The transfer of the above-mentioned public service units to operate under a corporate mechanism shall be decided by the Prime Minister based on the proposal of the Board of Directors of the Vietnam Post and Telecommunications Group.
Article 2. Implementation organization:
1. The Ministry of Posts and Telecommunications shall submit to the Prime Minister for decision on appointing the Chairman and members of the Board of Directors of the Vietnam Post and Telecommunications Group after obtaining the audit opinion of the Ministry of Home Affairs in the first quarter of 2006.
2. The Ministry of Finance shall approve the Financial Regulations and determine the registered capital level of the Vietnam Post and Telecommunications Group according to the proposal of the Group's Board of Directors.
3. The Board of Directors of the Vietnam Post and Telecommunications Group shall submit to the Prime Minister for approval of the Charter on organization and operation of the Group; submit to the Ministry of Finance for approval of the Financial Regulations of the Group.
4. The management and operational structure of the Vietnam Post and Telecommunications Joint Stock Corporation shall continue to perform the duties and powers of the Group's management structure until the Chairman and members of the Board of Directors, Supervisory Board, General Director, Deputy General Directors, and Chief Accountant of the Group are appointed in accordance with the law.
5. The Office and supporting departments of the Vietnam Post and Telecommunications Joint Stock Corporation shall continue to perform their functions in assisting the Board of Directors and General Director of the Group until they are reorganized in accordance with the Charter on organization and operation of the Group.
6. During the period of fully forming the Group's structure, member units currently accounting as dependent entities of the Vietnam Post and Telecommunications Joint Stock Corporation shall continue to account as dependent entities of the Group. The Group shall hold the state-owned equity in other enterprises currently held by the Vietnam Post and Telecommunications Joint Stock Corporation.
Article 3. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.
The Ministers of the Ministries of Posts and Telecommunications, Planning and Investment, Finance, Labor, Invalids and Social Affairs, Home Affairs, Heads of relevant agencies, the Steering Committee for Enterprise Reform and Development, and the Boards of Directors of the Vietnam Post and Telecommunications Joint Stock Corporation and the Vietnam Post and Telecommunications Group are responsible for implementing this Decision.
