DECISION
Regarding the transfer of Company 47 Construction Members to become an independent entity under the 4th Construction Corporation
to become an independent enterprise
THE MINISTER OF AGRICULTURE AND RURAL DEVELOPMENT
Pursuant to Decree No. 73/CP dated November 1, 1995 of the Government on the functions, tasks, powers, and organizational structure of the Ministry of Agriculture and Rural Development;
Pursuant to the State Enterprise Law on April 20, 1995, and Decree No. 50-CP dated August 28, 1996 of the Government on the establishment, restructuring, dissolution, and bankruptcy of state enterprises;
Considering the application dated January 16, 1998 for withdrawal from the 4th Construction Corporation submitted by Company 47 Construction Members proposed by the General Director, Secretary of the Party Committee, and Chairman of the Trade Union of the Company; considering the proposal of the Board of Directors and General Director of the 4th Construction Corporation in documents dated August 3, 4, 1998, and December 24, 1998;
Upon resolutions of The Head of the Cadre and Civil Service Department,
DECISION:
Article 1. From now on, Company 47 Construction Members shall not be a member of the 4th Construction Corporation and shall become an independent enterprise under the Ministry of Agriculture and Rural Development.
Company 47 Construction Members shall retain its original status and bear full legal responsibility for all capital and assets (including both movable and immovable property) that have been entrusted to it and debts arising during its operations.
Company 47 Construction Members must complete all administrative transaction procedures, re-register for business, submit the Articles of Association for approval by the Ministry, and operate in accordance with the provisions of the law.
Article 2. The Board of Directors, General Director of the 4th Construction Corporation, and the General Director of Company 47 Construction Members shall be responsible for resolving organizational, economic, and financial issues to stabilize production and business activities according to the functions of each enterprise.
Article 3. THIS DECISION SHALL TAKE EFFECT 15 DAYS AFTER THE DATE OF SIGNATURE.
The Head of the Ministry's Office, the Head of the Cadre and Civil Service Department, the Heads of relevant units under the Ministry, the Chairmen of the Boards of Directors, and the General Directors of the 4th Water Resources Construction Corporation and the General Director of Company 47 Construction Members shall be responsible for implementing this decision./.
