Pursuant to Decree No. 102/SL-L004 dated May 20, 1957 on the right to establish associations,
Pursuant to Decree 181/CP dated November 9, 1994 of the Government on the regulations concerning the functions, tasks, powers, and organizational structure of the Civil Service Personnel Council (now the Ministry of Home Affairs),
Pursuant to Decision No. 158/QĐ-TTg dated March 2, 1999 of the Prime Minister delegating the Minister of the Civil Service Personnel Council (now the Minister of Home Affairs) to approve the establishment of associations,
Considering the proposal of the Chairman of the Vietnam Marketing Association and the Director of the Department for Non-Governmental Organizations;
DECISION:
Article 1. Approves the Charter of the Vietnam Marketing Association adopted at the First National Congress on September 28, 2002.
Article 2. The Chairman of the Vietnam Marketing Association and the Director of the Department for Non-Governmental Organizations shall be responsible for implementing this Decision./.

CHARTER
VIETNAM MARKETING ASSOCIATION
PART I
NAME - PURPOSE - TASKS
Article 1:Name of the Association: Vietnam Marketing Association
English name: Vietnam Marketing Association (VAM)
Article 2: The Vietnam Marketing Association is a non-governmental, non-profit organization based on voluntary participation of organizations and individuals engaged in research, teaching, consulting on Marketing, and producers and traders in Vietnam.
Article 3: The purpose of the Vietnam Marketing Association is to gather researchers and teachers of Marketing, producers and traders to cooperate and support each other to promote professional development, expand markets both domestically and internationally, and protect the rights of members within the framework of Vietnamese law.
Article 4. The Vietnam Marketing Association operates according to its Charter, complies with Vietnamese state laws, and is supported by the State Price Board. The Association has legal personality, its own seal, and a bank account, with its main office located in Ho Chi Minh City.
The Vietnam Marketing Association is permitted to join international associations in the same field in accordance with the law.
Article 5. Tasks of the Association
1. To represent and protect the material and spiritual interests of members within the framework of Vietnamese law;
2. To unite and assist members in researching their fields, facilitating academic exchanges among members to continuously enhance professional capacity;
3. To reflect legitimate wishes of members to relevant state agencies regarding issues related to the professional fields of members;
4. To regularly provide members with market information, advancements in Marketing science, helping members broaden knowledge and apply it to teaching and business activities. To act as a bridge and link members according to business sectors to address unhealthy competition;
5. To organize conferences, seminars, and exchanges to facilitate academic and experience sharing in research, teaching, and business activities. To organize training services and economic activities in compliance with legal regulations. To disseminate and exchange experiences in applying Marketing in business operations of Vietnamese and global enterprises;
6. To study theoretical foundations and practical applications in the field of Marketing. To cooperate and collaborate with educational institutions to support each other in professional activities;
7. To advise on issues related to the field of Marketing. To research and seek export-import markets and support businesses in entering global markets;
8. To coordinate with state management agencies and functional units to disseminate policies, laws, and professional training and development in Marketing for individuals and organizations in need of such development;
9. To organize research, advice, and critical reviews on mechanisms and policies with state agencies and production and trading establishments in the field of Marketing;
10. To represent members in relationships related to the functions of the Association;
11. To cooperate with domestic and regional industry associations in accordance with state regulations;
12. To publish a regular Marketing magazine and related publications. To compile and translate scientific Marketing materials in accordance with legal provisions.
Article 6. Powers of the Association
1. To be provided with information on policies and economic laws related to the Association's field of operation.
2. To be nominated representatives to attend conferences and seminars organized by state agencies on issues relevant to the Association's field of operation when invited.
3. To propose opinions and recommendations for resolving cases and incidents that cause damage to the legitimate rights and interests of members.
PART II
MEMBERS
Article 7:Members of the Vietnam Marketing Association
Vietnamese citizens (individual members) and Vietnamese legal entities (collective members) engaged in research, consulting, teaching on marketing, managers, organizations, production and business enterprises operating in the marketing field, who agree with the charter and voluntarily submit membership applications can be recognized as members of the Association.
Forms of membership:
- Collective members: Are economic, scientific and technical, training and business organizations operating in relation to marketing, represented by the director or authorized representative of the organization.
- Individual members: Engaged in research, consulting, teaching on marketing, voluntarily and regularly participating in all activities of the Association.
Article 8: Individuals wishing to join the Association and meeting the conditions must submit an application to the Executive Board of the Association. Upon acceptance by the Executive Board, the applicant will be notified to pay regular membership fees. The payment must be made within thirty days from the date of notification by the Executive Board.
Article 9: Powers of Members
1. To participate in congresses, electing delegates to attend the Association's congresses.
2. To nominate themselves or others for positions on the Executive Committee and other positions within the Association.
3. To participate in discussions and voting on resolutions of the Association, to criticize and question the Executive Committee and the Executive Board regarding all policies and activities of the Association.
4. To express opinions, make recommendations, and raise petitions to relevant authorities.
5. To be issued a member card to participate in activities of the Association's organizations. To enjoy preferential benefits when using services provided by the Association.
6. To receive support and protection from the Association in all research, teaching, and application of marketing science within the scope of the Association's powers and capabilities.
7. To have the right to resign from the Association if they consider it impossible or unwilling to continue participation. In this case, the member must officially notify the Executive Committee in writing (application) one month in advance.
8. To introduce new members and nominate representatives to go abroad to attend conferences, seminars, and research according to state regulations.
Article 10:Obligations of Members
1. To regularly and fully participate in regular and extraordinary meetings of the Association.
2. To comply with the provisions of the Association's charter and resolutions of the Congress, the Executive Committee, and the Executive Board.
3. To actively enhance knowledge and participate in specialized activities of the Association.
4. To promote the development of new members, cooperate with other members to jointly achieve the objectives of the Association, contributing to building a stronger Association.
5. To pay regular membership fees fully and on time as stipulated by the Association.
Article 11: Dismissal of Members
Members will be dismissed in the following cases:
1. Individual members violating state laws.
2. Not fulfilling their obligations as members.
CHAPTER III
ORGANIZATION AND ACTIVITIES
Article 12. The operation of the Association shall be conducted on the principle of democratic centralism, collective leadership, and individual responsibility based on voluntariness and self-financing.
The organizational structure of the Association:
- At the Central level: Vietnam Marketing Association.
- At the grassroots level: Branch Associations (if there are five members or more).
Article 13. The highest leading body of the Association is the National Congress of Delegates. The National Congress of Delegates convenes once every five years, convened by the Central Executive Board of the Association.
An extraordinary congress may be convened if more than two-thirds of the Central Executive Board members request it.
The principle for electing delegates to attend the National Congress is determined by the Central Executive Board of the Association.
Article 14. The National Congress of Delegates of the Vietnam Marketing Association.
1. The National Congress of Delegates of the Vietnam Marketing Association is the highest authority of the Association, organized once every five years.
2. Tasks of the Congress:
- Discuss the report on the term's summary and propose new directions for the Association's activities.
- Decide on the goals, tasks, and measures for new work programs of the Association aimed at comprehensively developing its activities.
- Discuss and provide opinions on the term's review report of the Central Executive Board and the Central Inspection Board of the Association.
- Discuss and approve proposals to amend and supplement the Charter of the Association when necessary.
- Approve financial settlement and pass the financial plan.
- Elect the Central Executive Board and the Central Inspection Board of the Association.
Article 15: Central Association Executive Board.
1. The Central Executive Board of the Association is the leading body of the Association between two terms of the Congress. The number of Central Executive Board members is decided by the National Congress of Delegates. In case of vacancies, the Central Executive Board of the Association may elect supplementary members, but not exceeding one-fifth of the total number of elected members.
2. The Central Executive Board of the Association meets regularly once a year, and may convene extraordinary meetings if urgent matters arise, with the extraordinary meeting convened by the Standing Committee.
3. The Central Executive Board has the following responsibilities:
- Decide on measures to implement resolutions and programs of activities during the Congress's term.
- Decide on the annual program and plan of work and inform the results of the Central Executive Board's activities to Branch Associations and subordinate units.
- Elect and dismiss leadership positions of the Association including: President, Vice Presidents, General Secretary, Deputy General Secretaries, and Standing Committee members; elect supplementary Central Executive Board members.
- Examine and decide on rewards and disciplinary actions for Central Executive Board members.
- Prepare the agenda and materials for the Congress at the final meeting of the term.
- Decide to convene a regular Congress or an extraordinary Congress.
Article 16: The Central Standing Committee of the Association:
1. The Central Standing Committee of the Association consists of: President, Vice Presidents, General Secretary, Deputy General Secretaries, and some members. The number of Standing Committee members is decided by the Central Executive Board. The Standing Committee meets regularly every six months.
2. The Standing Committee has the following responsibilities:
- Represent the Central Executive Board to direct and manage the Association's activities between two meetings.
- Report on the performance of the Executive Committee during each meeting.
- Decide on the establishment of Committees and subordinate organizations under the Association.
- Decide on organizing domestic and international scientific conferences.
- Decide on the programs and work plans of various Boards and subordinate organizations of the Central Association.
- Decide on joining international and regional organizations according to the law.
- The Standing Committee represents the Central Executive Board to manage the Association's activities between two meetings and must report on the inspection of work before the Central Executive Board regarding the organization's activities.
- Depending on specific circumstances, the Standing Committee may appoint a Permanent Working Group to assist the Standing Committee, with the Permanent Working Group being responsible to the Standing Committee for assigned tasks.
3. The Central Permanent Working Group consists of: President, Vice Presidents, General Secretary, Deputy General Secretaries. The Permanent Working Group is authorized by the Standing Committee to manage the Association's activities between two meetings of the Standing Committee.
The Standing Committee has the following duties and powers:
- Approve key personnel of grassroots Branch Associations and subordinate organizations of the Central Association.
- Decide on sending representatives to attend domestic and international scientific conferences and overseas missions according to state regulations.
- Decide on issues of commendation, rewards, and disciplinary actions within the Association's authority.
- The Central Permanent Working Group has a regular consultation system to guide the Association's activities.
Article 17. Central Inspection Board of the Association
1. The Central Inspection Board of the Association shall be elected by the Association's representatives and shall consist of: Chairman, Vice-Chairman, and members.
2. The Central Inspection Board of the Association shall have the duty to assist the Central Executive Board of the Association in inspecting the implementation of the Charter of the Association and the execution of policies of the Central Standing Board of the Association.
3. The functions, duties, and powers of the Central Inspection Board of the Association shall be defined by the Central Executive Board of the Association.
4. The term of office of the Inspection Board shall be the same as that of the Executive Board.
Article 18. President, Vice-President, General Secretary, and Deputy General Secretaries
1. The President of the Association shall have the following duties and powers:
- To represent the legal entity of the Association before the law.
- Organizing and implementing the Resolutions of the Congress, the Representative Conference, and decisions of the Executive Board of the Association.
- Summoning and chairing meetings of the Executive Board of the Association.
- Appoint personnel for the Association Office and other organizations established by the Association.
- Being responsible before the Executive Board and all members of the Association for the activities of the Association.
2. The Vice-President shall assist the President, be assigned specific issues by the President, and be authorized to manage the work of the Executive Board when the President is absent.
3. The General Secretary shall directly manage all activities of the Association's Office, prepare content for sessions of the Executive Board and the Standing Board, regularly report to the Standing Board and the Central Executive Board of the Association, manage the property and finances of the Association, and be accountable to the Executive Board for the activities of the Association's Office.
Article 19. Central Office of the Association, Committees, and Subordinate Organizations of the Central Association
- The Central Office of the Association, Committees, and subordinate organizations of the Central Association shall be decided by the Central Standing Board of the Association.
- Committees shall have the duty to propose and advise the Executive Board and the Standing Board of the Central Association on various aspects of activities within their respective fields of responsibility.
- Committees shall convene once every three months.
- The Central Office of the Association shall coordinate the activities of the Association, Committees, and other organizations under the guidance of the Central Standing Board of the Association.
Article 20. Branch Associations
Branch Associations are members of the Vietnam Marketing Association. Branch Associations mainly operate in specialized fields of Marketing.
The establishment of Branch Associations shall be approved by the Central Standing Board of the Association.
Upon establishment, Branch Associations must organize congresses, elect Branch Chairmen and Vice-Chairmen, with a term of two years.
Chapter 4.
ASSOCIATION FINANCES
Article 21. The Vietnam Marketing Association operates on the principle of financial autonomy and is managed according to the regulations of the Association and the provisions of the Law.
- Sources of funds of the Association include:
Membership fees of members.
Voluntary support from members.
Revenue from service activities of the Association in accordance with state regulations.
Sponsorships from individuals and organizations both domestically and internationally.
- Expenditures include:
Expenses for the activities of the Association, payment of salaries to staff, allowances to members of the Management Board and associates of the Association.
Payment of membership fees to organizations where the Vietnam Marketing Association is a member.
Costs for housing, electricity, water, and purchase of working equipment.
Awards expenses and other expenses.
Chapter V
AWARDS
Article 22. Collective members and individual members of the Association who achieve outstanding results in Association work, scientific research projects, have innovative ideas, and make achievements in training and teaching shall be awarded by the Association and recommended for awards by competent state authorities.
Article 23. Collective members and individual members who operate contrary to the Charter of the Association, damaging the honor and reputation of the Association shall be subject to disciplinary action. The form of discipline shall be considered and decided by the Executive Board.
Chapter VI
FINAL PROVISIONS
This Charter consists of 6 chapters and 24 Articles which were adopted by the First National Congress (first term) of the Vietnam Marketing Association on September 28, 2002, in Ho Chi Minh City, and becomes effective upon approval by the Ministry of Home Affairs.
Only the National Congress of the Vietnam Marketing Association has the right to amend the Charter of the Association.
The Central Executive Committee of the Vietnam Marketing Association is responsible for promulgating and guiding the implementation of the Charter of the Association./.
