THE MINISTER OF INDUSTRY
Pursuant to the Government Decree No. 74/CP dated November 1, 1995 on the functions, tasks, powers, and organizational structure of the Ministry of Industry;
Pursuant to Decree No. 44/1998/NĐ-CP dated June 29, 1999 of the Government on the transformation of state-owned enterprises into joint stock companies;
Considering the proposal of Vietnam Steel Corporation at Document No. 11/T-TC dated January 3, 2002;
At the proposal of the Enterprise Reform and Development Board under the Ministry of Industry and the Director of the Organization and Cadre Affairs Department.
DECISION:
Article 1. Amending Clauses 1, 2, and 3 of Article 1 of Decision No. 76/2000/QĐ-BCN dated December 25, 2000 of the Minister of Industry on transferring Workshop IV of Binh Tay Steel Mesh Factory to Saigon Steel Mesh Joint Stock Company as follows:
1. Registered capital structure.
The charter capital of the joint stock company is 6,904,400,000 Vietnamese dong (six billion nine hundred four million four hundred thousand Vietnamese dong). Among which:
- State share: 20%;
- The proportion of shares sold to workers in the workshop: 12%;
- The proportion of shares sold to other entities outside the workshop: 68%.
Value of one share: 100,000 Vietnamese dong.
2. The actual value of Workshop IV of Binh Tay Steel Mesh Factory (Decision No. 1410/2001/QĐ-TC dated July 31, 2001 of the Chairman of the Board of Directors of Vietnam Steel Corporation on adjusting the enterprise's actual value for privatization) at the time of 00:00 on January 1, 2001 for privatization is 3,507,210,315 Vietnamese dong. Of which, the actual value of the State-owned capital in the enterprise is 3,507,210,315 Vietnamese dong.
3. Preferential treatment for workers in Workshop IV.
A total of 8,122 preferential shares worth 243,660,000 Vietnamese dong are sold to 64 workers in the workshop. Among them, a total of 1,546 preferential shares worth 108,220,000 Vietnamese dong are sold on credit to 19 poor workers.
Article 2. This Decision shall take effect fifteen days from the date of signature.
The Head of the Ministry’s Office, the Inspector General of the Ministry, the Heads of Departments and Directorates under the Ministry, the Chairman of the Board of Directors and the General Director of Vietnam Steel Corporation, the Director of Southern Steel Corporation, the Director of Binh Tay Steel Mesh Factory, the Chairman of the Board of Directors and the Director of Saigon Steel Mesh Joint Stock Company are responsible for implementing this Decision./.
