DECISION OF THE MINISTER OF HOME AFFAIRS

||| ON APPROVING THE CHARTER OF THE VIETNAM MEDICAL EQUIPMENT ASSOCIATION

THE MINISTER OF THE MINISTRY OF HOME AFFAIRS

- Pursuant to Decree No. 102/SL-L004 dated May 20, 1957 on the right to establish associations;

- Pursuant to Decree No. 86/2002/NĐ-CP dated November 5, 2002 of the Government on the functions, tasks, powers, and organizational structure of ministries and ministerial-level agencies;

- Considering the proposal of the Chairman of the Vietnam Medical Equipment Association and the Director of the Department for Non-Governmental Organizations;

DECISION:

Article 1. Approves the Charter of the Vietnam Medical Equipment Association which was adopted at the First National Congress on December 27, 2002.

Article 2. The Chairman of the Vietnam Medical Equipment Association and the Director of the Department for Non-Governmental Organizations shall be responsible for implementing this Decision.

 

 

CHARTER

VIETNAM MEDICAL EQUIPMENT ASSOCIATION

PART I
NAME, AIMS, AND OBJECTIVES

Article 1: The Association is named: Vietnam Medical Equipment Association, abbreviated as VIMEDAS.

English name: VIETNAM MEDICAL EQUIPMENT ASSOCIATION (VIMEDAS)

Article 2: The Association is a professional social organization voluntarily established and developed by organizations and individuals engaged in science, technology, management, production, business, maintenance, repair, etc., related to medical equipment and devices throughout the country, contributing to the rapid application of medical technology in diagnosis, treatment, disease prevention, and community health care; exchanging information, materials, experiences in exploitation, research, production, assembly, repair, maintenance, etc., contributing to the overall development of the healthcare sector in Vietnam.

Article 3: The Vietnam Medical Equipment Association is subject to state management.

The Association has its headquarters in Hanoi, with its own seal and bank account.

The Vietnam Medical Equipment Association operates under the laws of the Socialist Republic of Vietnam, protecting the legitimate rights and interests of individuals and organizations within the Association in their professional activities.

Article 4: The Association has the following responsibilities:

a) To widely gather individuals and organizations engaged in the field of medical equipment or related to it, who agree with the charter and voluntarily join the Association.

b) To provide advice when requested:

- On building national policies on medical equipment, targets, plans, and measures to implement programs on medical equipment.

- On establishing standards and needs for medical equipment for preventive services, diagnosis, treatment, training, and scientific research at all levels.

- On participating in the drafting of legal documents concerning technical standards for medical equipment.

c) To participate and cooperate with research institutions, production and business enterprises, import and export companies, repair and maintenance facilities for medical equipment to ensure the quality of domestically produced and imported medical equipment is suitable for Vietnam's conditions.

d) To participate in the preparation of technical documents on medical equipment, publish journals and books on medical equipment to exchange information and experiences on the operation, maintenance, repair, and production of domestic medical equipment, as well as updates on global medical equipment.

e) To participate in scientific research activities and the development of medical equipment manufacturing in Vietnam.

f) To propose to competent authorities to strengthen training for staff in the field of medical equipment for production and business areas, exploitation, use, repair, maintenance, and effective utilization of existing staff capabilities.

g) To participate in advisory, appraisal, and critical review activities for programs and projects on medical equipment when invited.

h) To cooperate with professional associations within the Vietnam Medical and Pharmaceutical Association and other scientific and technological associations in Vietnam. Implement international cooperation with associations and non-governmental organizations from other countries operating in the field of medical equipment according to the law.

i) To manage and organize members, help them unite, improve their professional skills, protect their legitimate rights, and pay attention to their working conditions and spiritual and material life. Organize seminars and exhibitions on scientific and technological equipment in the field of medical equipment according to state regulations.

k) To manage the assets and finances of the Association in accordance with the law.

RIGHTS AND RESPONSIBILITIES OF MEMBERS

Chapter II
a) Regular Members:

Article 5: Membership Standards:

Individual members are those engaged in the fields of science and technology, management, production, business, maintenance, and repair of medical equipment. Individuals recognized as members must:

- Agree with the Association's charter.

- Voluntarily join the Association.

Organizational members:

Organizations and businesses operating in the field of medical equipment that agree with the Association's charter and voluntarily join may also be considered for regular membership. b) Supporting Members:

Organizations and individuals inside and outside Vietnam with Vietnamese citizenship engaged in the field of medical equipment who agree with the Association's charter may be recognized as supporting members. c) Honorary Members:

Vietnamese citizens who have made significant contributions to the Association's activities, upon the Standing Committee's approval and invitation, can become honorary members. Honorary members and supporting members do not have the right to vote, run for, or nominate candidates for leadership positions in the Association.

Rights and duties of members.

Article 6: a) Rights of members:

- To be elected and nominated to Association executive bodies.

- To make proposals and inquiries about the Association's activities, discuss and vote on Association matters.

- To participate in Association conferences, seminars, training sessions, and scientific activities organized by the Association.

- To receive assistance from the Association in the field of science and technology regarding methods and means (within the Association's capacity) in learning, researching, disseminating, applying, and teaching medical equipment. Priority discounts on purchasing Association journals and publications.

- To exchange scientific and technological issues in the field of medical equipment with individuals and foreign scientific associations under the Association's sponsorship and assistance, within the Association's capacity and according to state regulations.

- To be protected by Association levels in their legitimate rights as members.

- To be issued a member card.

- To request withdrawal from the Association.

b) Duties of members:

- To regularly participate in an Association organization, actively engage in Association activities.

- To contribute to the research, development, dissemination, and application of scientific and technological advancements in the field of medical equipment.

- To respect and comply with the Association's charter, resolutions of congresses, and decisions of Association executive bodies.

- Pay membership fees fully and on time.

Chapter III
Article 8. Principles of Organization

Article 7: Organizational principles

The Vietnam Medical Equipment Association operates under the principle of centralized democracy, voluntariness, self-management, and financial self-sufficiency.

Article 8: The Association is organized as follows:

a). At the Central level: Vietnam Medical Equipment Association:

b). In provinces and centrally administered cities: (Hereinafter referred to collectively as province): Provincial Medical Equipment Association.

The establishment of the Association at the provincial level is decided by the People's Committee of the province. If the provincial association agrees with the charter of the Vietnam Medical Equipment Association and requests to join, it will be recognized as a member association.

c). At the grassroots level: Branch associations (within an entity such as a hospital, medical equipment enterprise, medical equipment management agency, with five members or more can establish a branch association)

Article 9: The highest leadership body of the Association is the National Congress, which convenes every five years. An extraordinary congress may be convened if more than half of the members of the Central Executive Board request it. The composition and number of delegates attending the congress are determined by the incumbent Central Executive Board.

Responsibilities of the Congress:

- Summarize and evaluate the Association's activities during the previous term, discuss directions and action plans for the new term.

- Approving and amending the Charter (if necessary)

- Elect the Central Executive Board and the Central Inspection Board.

- Deciding important matters concerning the purpose, mission, rights, and responsibilities of the Association.

Article 10: The Central Executive Board is the leadership body between congress terms. The number of Central Executive Board members is set by the Congress and directly elected.

The Executive Board has the following responsibilities:

- Lead the implementation of the Congress resolutions.

- Leading the implementation of the Association's Charter

- Develop relations with domestic and international organizations, contributing to the development of the Association.

- Elect the Central Executive Board Standing Committee and the Chairman, Vice Chairmen, General Secretary...

- The Central Executive Board meets regularly once every twelve months (except in emergencies).

Article 11: The permanent office of the Central Executive Board is the Standing Committee, consisting of the Chairman, Vice Chairmen, General Secretary, Deputy General Secretaries, and some members. The number of members in the Standing Committee shall not exceed one-third of the total number of members of the Central Executive Board.

The Standing Committee of the Association has the following tasks:

- Direct the implementation of decisions of the Central Executive Board of the Association between two sessions of the Central Executive Board.

- Recognizing the Executive Boards of provincial associations and issuing membership cards.

- Planning and reporting on the Association's activities according to the regulations of the Central Executive Board.

- Monitoring the activities of provincial associations and specialized sub-committees.

- The Standing Committee meets regularly once every six months. When necessary, upon the proposal of the Chairman and the General Secretary, the Standing Committee may convene an extraordinary meeting.

Article 12: The Chairman of the Association is elected from among the standing members of the Central Executive Board, presides over meetings of the Central Executive Board and the Standing Committee, oversees the implementation of resolutions of the Central Executive Board and the Standing Committee, appoints heads of specialized departments, the Director of the Office, and is responsible for all activities of the Association under the law.

Article 13: The Vice Chairmen are elected by the Central Executive Board, appointed by the Chairman to lead specific areas of the Association's activities.

Article 14: The General Secretary is elected by the Central Executive Board, with tasks assigned by the Chairman.

To assist the permanent office, there is the Central Association Office. The Office is headed by the Director of the Office.

Article 15: Inspection Committee:

The Central Executive Board elects an inspection committee, which has the following responsibilities:

- Inspect the implementation of resolutions of the congress, the charter, regulations, and annual work programs of the Association.

- Inspect members in their activities to commend and reward them, while identifying violations of the law to promptly correct them.

- Inspect economic and financial activities of the Association and its affiliated organizations; examine and resolve complaints and petitions.

Article 16: When necessary, the Standing Committee of the Association may consider and decide to establish specialized sub-committees, economic organizations, and services to generate financial resources and serve the development of the Association. Such establishments shall comply with the provisions of the law.

Chapter IV
REWARDS AND DISCIPLINE

Article 17: Organizations and members with outstanding achievements are rewarded by the Association or recommended for rewards by competent state authorities.

Article 18: Organizations and members who damage the reputation and prestige of the Association, act contrary to the charter and resolutions of the Association, shall be disciplined from reprimand to expulsion. In cases where material losses are caused, in addition to disciplinary measures, they must also compensate according to the law.

Article 19: Member organizations and individuals of the Association who fail to pay membership fees or participate in three consecutive sessions without valid reasons within one year, will be removed from the membership list.

Chapter V
ASSOCIATION FINANCES

Article 20: The Association's income comes from the following sources:

- Membership fees contributed by members. The level of membership fees is decided annually by the Central Executive Board of the Association.

- Income from the Association's professional and technical activities.

- Contributions from individuals and branch associations, provincial associations, from the income generated by the Association's activities.

- Contributions from units, centers... established or supported by the Central Association.

- Money and goods donated by individuals and organizations both domestically and internationally in support of the Association.

Article 21: The Association's expenditures include:

- Organizing scientific activities, conferences, and seminars.

- Printing materials related to the common work of the Association.

- Supporting research for organizations and individuals on scientific topics that are significant to the activities of the Association.

- Administrative fees: Paying salaries and allowances for full-time and part-time staff. Equipping the central office with physical facilities.

- Awards and incentives provided by the Association.

Article 22: All income and expenditures of the Association are carried out in accordance with the principles of transparency as prescribed by the state financial authority.

The Executive Board of the Association is responsible for managing the Association's finances on a regular basis and annually, and for final settlement at each national congress.

Chapter VI
EFFECTIVE DATE OF IMPLEMENTATION

Article 23: Any amendments or supplements to this charter are decided by the National Congress of the Vietnam Medical Equipment Association.

This charter consists of VI chapters and 23 articles, which were adopted by the National Congress of the Vietnam Medical Equipment Association on December 27, 2002, and became effective upon approval by the Ministry of Home Affairs.
