Pursuant to the Government Decree No. 74/CP dated November 1, 1995 on the functions, tasks, powers, and organizational structure of the Ministry of Industry;
Pursuant to Decree No. 50/CP dated August 28, 1996 of the Government on the establishment, restructuring, dissolution, and bankruptcy of state-owned enterprises;
Pursuant to Decision No. 68/1998/QĐ-TTg dated March 27, 1998 of the Prime Minister on the pilot establishment of state-owned enterprises within training institutions and research facilities;
Pursuant to the opinion of the Ministry of Planning and Investment at Circular No. 752/BKH-DN dated February 3, 2000;

Article 1. Establish the Textile - Garment Production and Service Company under the Textile - Garment Economic and Technical Institute, a member unit of the Vietnam Textile - Garment Corporation.
Trading name: PRODUCTION AND SERVICE FOR TEXTILE - GARMENT COMPANY, abbreviated as PROSECO.
Head office address: No. 478, Minh Khai Street, Hai Ba Trung District, Hanoi City.
The Textile - Garment Production and Service Company is a state-owned enterprise, independently accounting for its economic activities, possessing full legal personality, having a seal, bank account, and operating production and business activities in accordance with the law and the Company's Charter.
Article 2. Business activities of the Company:
- Implementing new technologies and techniques from research results applied to production through small-scale sample manufacturing to produce textile and garment products,
- Producing and trading textile, yarn, and garment products,
- Providing training, education, technology transfer services for yarn, textile, and garment, and other services supporting the company's production and business activities.
Registered capital of the Company: 3,296,426,574 Vietnamese dong.

Article 3. Authorize the Director of the Textile - Garment Economic and Technical Institute to manage the Textile - Garment Production and Service Company; responsible for directing the company's operations according to its assigned functions and tasks, complying with state policies and laws; drafting the Company's Charter to be submitted to the Vietnam Textile - Garment Corporation.
Authorize the General Director of the Vietnam Textile - Garment Corporation to approve the organizational and operational charter of the Company and appoint management positions within the Company as stipulated in Article 6 of Decision No. 68/1998/QĐ-TTg of the Prime Minister;
- The Textile - Garment Production and Service Company is responsible for completing all necessary registration procedures and operating in accordance with the Company's Charter and relevant laws.
Article 4. THIS DECISION SHALL TAKE EFFECT 15 DAYS FROM THE DATE OF SIGNATURE.
The Chief of the Office of the Ministry, the Chief Inspector of the Ministry, Heads of Departments and Bureaus under the Ministry, Chairman of the Board of Directors, General Director of the Vietnam Textile - Garment Corporation, Director of the Textile - Garment Economic and Technical Institute, and Director of the Textile - Garment Production and Service Company shall be responsible for implementing this Decision.
