Pursuant to Decree No. 44/1998/NĐ-CP dated June 29, 1998 of the Government on converting state-owned enterprises to joint-stock companies;
At the proposal of the Chairman of the People's Committee of Ho Chi Minh City,
DECISION:
Article 1. Approves the plan for the shareholding reform of the state-owned enterprise, the Export-Import Trade Company of Thu Duc, as proposed in Circular No. 5375/UBKT dated December 23, 1999 of the Chairman of the People's Committee of Ho Chi Minh City:
1. The Charter Capital of the joint-stock company: 14,000,000,000 VND
Where:
State shareholding ratio: 40% of the Charter Capital,
Shareholding ratio sold to employees within the company and other entities outside the company: 60% of the Charter Capital.
2. The actual value of the Export-Import Trade Company of Thu Duc (as decided by the Minister of Finance in Decision No. 1805/QD-BTC dated December 9, 1999) at the time of July 1, 1999 for shareholding reform is 31,836,759,060 VND, including the actual value of the state capital in the company amounting to 14,757,225,784 VND.
3. Preferential treatment for employees within the enterprise:
The total number of shares sold at a preferential price to employees within the enterprise is 24,000 shares; the preferential value amount is 720,000,000 VND.
Among which, the number of preferential shares sold to poor employees within the enterprise to be repaid gradually is 730 shares corresponding to 51,100,000 VND.
Article 2. Convert the state-owned enterprise, the Export-Import Trade Company of Thu Duc, to a joint-stock company:
Full name in Vietnamese: Thu Duc Trading and Import-Export Joint Stock Company.
International trade name: Thu Duc Trading and Import Export Joint Stock Company.
Abbreviation: TIMEXCO.
Head office: No. 191 Quang Trung Street, Hiep Phu Ward, District 9, Ho Chi Minh City.
Article 3. The Thu Duc Trading and Import-Export Joint Stock Company engages in production and business activities in the following sectors:
Production and trading of processed forest products, agricultural, aquatic, and seafood, foodstuffs, packaging materials, handicrafts, electrical machinery, raw materials, fuel, spare parts, construction materials, transportation means, export-import services, and trade.
Warehousing services.
Article 4. The Thu Duc Trading and Import-Export Joint Stock Company:
Is a legal entity under Vietnamese law from the date of registration for business operations, conducting business according to the registered license, implementing independent economic accounting systems, having its own seal, and being allowed to open bank accounts in accordance with the law. It operates according to the Company Charter and the Enterprise Law.
The Director and Chief Accountant of the Export-Import Trade Company of Thu Duc are responsible for managing and operating the enterprise until the entire company is handed over to the Board of Directors and General Director of the Thu Duc Trading and Import-Export Joint Stock Company.
Article 5. This Decision takes effect from the date of signature. Any previous decisions contrary to this Decision are hereby abolished. The Chairman of the People's Committee of Ho Chi Minh City, the Director of the Export-Import Trade Company of Thu Duc, and the Board of Directors of the Thu Duc Trading and Import-Export Joint Stock Company are responsible for implementing this Decision./.
