Regarding the Approval of the Charter

Organization and Operation of Vietnam Industrial Times

THE MINISTER OF INDUSTRY

Pursuant to the Press Law dated December 28, 1989 and the Law Amending and Supplementing Certain Provisions of the Press Law dated June 12, 1999;

Pursuant to Decree No. 55/2003/NĐ-CP dated May 28, 2003 of the Government stipulating the functions, tasks, powers, and organizational structure of the Ministry of Industry;

Considering the proposal of the Editor-in-Chief of Vietnam Industrial Times at Document No. 116/CV-VP dated December 22, 2003;

At the suggestion of the Director of the Department of Organization and Cadres,

DECISION:

Article 1. Approves the Charter for the Organization and Operation of Vietnam Industrial Times attached to this Decision.

Article 2. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.

The Head of the Office of the Ministry, the Inspector General of the Ministry, Heads of Departments, Directors of Bureaus, Heads of agencies and units under the Ministry, and the Editor-in-Chief of Vietnam Industrial Times are responsible for implementing this Decision./.

 

CHARTER

Organization and Operation of Vietnam Industrial Times

(Issued together with Decision No.: 09/2004/QĐ-BCN

PART I

GENERAL PROVISIONS

Article 1Vietnam Industrial Times (hereinafter referred to as Vietnam Industrial Times) is a press organ and voice of the Vietnamese industrial sector directly under the Ministry of Industry.

International trade name: Viet Nam Industrial TimesAbbreviation: VIT.

Main office: No. 54, Hai Ba Trung Street, Hoan Kiem District, Hanoi City.

Vietnam Industrial Times has a Representative Office in Ho Chi Minh City and permanent agencies in some provinces and centrally governed cities.

Article 2. Vietnam Industrial Times is a state-run enterprise with income, ofhaving legal personality, operating on state budget funds for public services and certain income-generating activities, allowed to open accounts at State banks and treasuries (including foreign currency accounts), and possessing seals for operations and transactions in accordance with the law.

Article 3. Vietnam Industrial Times operates under the Press Law of the Socialist Republic of Vietnam, subject to comprehensive and direct leadership and management by the Ministry of Industry; state management over the press by the Ministry of Culture, Sports and Tourism and other relevant ministries; and enjoys policies and systems applied to the national press system.

Article 4. Organizational Party Cells of the Communist Party of Vietnam and mass organizations.

1. Vietnam Industrial Times has an organizational cell of the Communist Party of Vietnam operating according to the Party Charter, tasked with leading Vietnam Industrial Times to implement the Party's guidelines, policies, and state laws, mobilizing all Party members and the masses to unite in fulfilling the political mission of Vietnam Industrial Times.

2. The organizational cells of the Vietnam General Confederation of Labor and the Ho Chi Minh Communist Youth Union within Vietnam Industrial Times are established and operate according to the Trade Union Law and the Ho Chi Minh Communist Youth Union Charter, and are comprehensively and directly led by the organizational cell of the Communist Party of Vietnam within Vietnam Industrial Times.

Chapter II

DUTIES AND POWERS

Article 5. Vietnam Industrial Times have the main duties and powers as follows:

1. To organize the dissemination and propaganda of the Party's guidelines, state laws, industry work policies, and the Ministry of Industry's directives on managing and developing the economy, science, technology, environment, and human resource training and development in the industrial sector.

2. To organize economic and social information and reports on advanced and modern scientific and technological achievements both domestically and internationally; international economic information serving industry propaganda and national economic development.

3. To introduce and promote new models and exemplary cases applying new and modern technologies in production and business within the industry.

To participate in combating corruption and negative practices in production, business, and daily life to contribute to building and developing the socio-economic cause according to the Party's renewal policy; encourage cadres and workers in the industry to enthusiastically compete in realizing the industrialization and modernization of the country.

4. To organize activities and provide information through various forms such as publishing publications, scientific conferences, trade fairs, exhibitions, advertising, and introducing scientific and technological achievements, environmental issues, and new products. The newspaper is responsible for:

a) Developing and submitting to the Ministry key directions and contents for publishing newspapers, publications, books, and exchanging information according to the plan for developing Vietnam Industrial Times;

b) Implementing the wide distribution or targeted distribution of communication products according to the objectives and purposes stipulated in the Press Law.

5. To organize research on economics, state administration sciences, science and technology, and the environment to serve information and propaganda work, including:

a) Specialized research projects and topics at the ministerial and national levels assigned by the Minister or proposed by the Editor-in-Chief for approval by the Ministry. The Editor-in-Chief is responsible for implementing these through annual research contracts in accordance with current regulations;

b) Research and development tasks in specialized journalism, information, advertising, and product promotion implemented through economic contracts with domestic and foreign agencies, organizations, and production-business entities;

c) Journalism and communication products, books, special reports, and research results created by the newspaper, Vietnam Industrial Times is responsible for registering copyrights with the competent state agency and requesting state protection.

d) For research results and press publications belonging to the client or contracting party, Vietnam Industrial Times is responsible for safekeeping and confidentiality in accordance with state regulations. When publishing, exchanging, or transferring, it is decided by the competent authority of the state or the contracting party.

6. To carry out service and trading activities related to the journalism field as prescribed by law to support information work and generate revenue for reinvestment and development.

7. To organize retraining and professional development for journalists and editors according to the requirements of the newspaper and other units.

8. To implement cooperation and exchange of scientific and technical information and environmental information with domestic and foreign agencies and organizations as prescribed by law.

9. To carry out some advisory, service, and trading activities related to the field as prescribed by law.

10. To manage organization, staffing, and assets allocated according to state regulations and the Ministry of Industry's delegated management.

Chapter III

PLANS AND INVESTMENTS

Article 6. To develop and submit to the Ministry of Industry for approval five-year and annual plans, including:

1. Investment plan for material infrastructure to serve the development of the Industrial Newspaper.

2. Plan for materials and specialized equipment.

3. Plan for providing consulting, technical services, and developing press and information products to meet the needs of agencies and units within the industry and readers' demands.

4. Financial plan.

5. Labor and salary plan.

6. Training and capacity-building plan for officials, staff, reporters, and editors.

Article 7. The Industrial Newspaper, when assigned or authorized by the Ministry to organize and implement investment projects for the development of the Industrial Newspaper using state budget funds, shall be responsible for:

1. Preparing and submitting to the Ministry for approval the investment preparation and implementation plans.

2. Organizing bidding work and implementing construction steps according to the management level of the Ministry and national regulations.

3. Submitting to the Ministry for decision on design modifications, changes in technical solutions, or adjustments to the total investment amount already approved.

4. For projects utilizing self-funded or self-raised capital, the Industrial Newspaper shall comply with current legal provisions.

5. Signing economic contracts related to assigned tasks.

Chapter IV

FINANCE AND ASSETS

Article 8. Sources of financial resources ensuring the operation of the Industrial Newspaper include:

1. Operational funding from the state budget, research and science and technology funding from topics through state-level, ministry-level, local-level, and institutional contracts.

2. Revenue from economic contracts with agencies and units inside and outside the Ministry.

3. Revenue from production and business activities, advertising services, specialized scientific and technological services, and other services as prescribed by law.

4. Sponsorship funding from organizations, enterprises, and individuals both domestically and internationally.

5. Borrowed credit and capital mobilization from employees according to current regulations.

6. Supplementary capital from the operations of the Industrial Newspaper after fulfilling obligations to the State.

Article 9. Vietnam Industrial Times has financial autonomy, actively creates capital, and establishes and uses various types of funds for their intended purposes effectively in accordance with current national regulations.

Article 10. Vietnam Industrial Times must prepare quarterly and annual revenue and expenditure plans, submit accounting and statistical reports, and settle accounts according to legal regulations on accounting and statistics.

Article 11. The assets of the Industrial Newspaper include fixed assets and current assets transferred by the State and the Ministry of Industry, and those acquired by the Industrial Newspaper itself. The Industrial Newspaper is responsible for:

1. Properly preserving and efficiently using assets in its operational fields.

2. Fully registering and recording all assets in ledgers as prescribed by the State.

Article 12. Liquidation, transfer, and reallocation of the Industrial Newspaper's assets shall be carried out in accordance with current legal regulations.

Chapter V

LABOR AND SALARIES

Article 13. Based on assigned functions and tasks, the Industrial Newspaper is responsible for:

1. Establishing Regulations and organizing recruitment, hiring reporters, professional staff, and implementing labor policies and benefits for employees as prescribed by law.

2. The Industrial Newspaper may use the form of hiring experts, contributors, and workers to perform professional tasks, services, and production-business activities of the Newspaper..

Article 14Based on the national wage system, the wage fund from the budget, and revenues from consulting, service, and production-business activities, the Industrial Newspaper shall establish a wage distribution regulation in accordance with current national regulations.

Article 15The Industrial Newspaper shall implement technical safety and labor protection for employees and equipment in accordance with legal regulations.

Chapter VI

MANAGEMENT ORGANIZATION

Article 16. The organizational structure of the Industrial Newspaper includes:

1. Leadership:

a) Editor-in-Chief,

b) Deputy Editors-in-Chief.

2. Professional Departments:

a) Office,

b) Information, Technical, and Publishing Department,

c) Trade Department,

d) Weekly Department,

đ) Special Topics Information Department,

e) Ethnic Minorities and Mountainous Areas Department,

g) Electronic Newspaper and Data Center Department,

h) Product Idea Magazine Department,

i) Other professional departments.

3. Representative offices in Ho Chi Minh City and permanent agencies in some provinces and centrally-administered cities.

4. Service facilities including printing facilities, service centers, product showcase stores, and supply centers for specialized materials and equipment.

Article 17. The Industrial Newspaper operates under the head-of-department system, with the Editor-in-Chief appointed, relieved of duty, and held accountable before the Minister and the law for all aspects of the Newspaper's activities by the Minister.

The Editor-in-Chief is primarily responsible for the following tasks:

1. Organizing and managing the activities of the Industrial Newspaper in compliance with laws and current national regulations.

2. Developing and implementing five-year and annual programs and plans; conducting mid-term and final reviews, regular reporting, and special reports to the Minister on the evaluation of the Newspaper's activities.

3. Approving and being accountable to the Minister and the law for all articles, news items, images published in the Industrial Newspaper, publications, and communication products before printing.

4. Defining the responsibilities and authorities of subordinate units based on the Charter of Organization and Activities of the Industrial Newspaper.

5. Implementing state policies and systems for officials, reporters, editors, and employees in accordance with the tasks and conditions of the Industrial Newspaper to maximize the professional expertise of each member.

6. Deciding on appointments, dismissals, receptions, transfers, salary increases, retirement, rewards, disciplinary actions, and sending employees for study and work both domestically and abroad according to the Ministry of Industry's cadre management levels.

7. Managing and using the material and technical infrastructure, capital, and assets of the Industrial Newspaper effectively in accordance with national regulations.

8. Within the scope of granted authority, issuing management regulations and rules consistent with current national regulations to standardize the Newspaper's activities.

9. Convening and chairing meetings of the Industrial Newspaper and deciding on the establishment of advisory boards of the Newspaper.

10. Attend meetings convened by the Ministry's leadership to discuss activities of the Ministry and the sector.

11. When absent, the Editor-in-Chief shall delegate authority to a Deputy Editor-in-Chief to manage and handle work, but the Editor-in-Chief remains responsible before the Ministry and the law for such delegation.

Article 18. The Deputy Editors-in-Chief assist the Editor-in-Chief of the Industry Newspaper, assigned specific tasks by the Editor-in-Chief, and are accountable to the Editor-in-Chief, the Ministry, and the law for the assigned duties.

The appointment and removal of Deputy Editors-in-Chief are proposed by the Editor-in-Chief and decided by the Minister of Industry.

Article 19. Specialized departments, business units, representative offices, and permanent agencies have the following main responsibilities:

1. Managing one or more aspects of work according to the functions and tasks assigned.

2. Propose and develop projects, initiatives, policies, and draft management decisions for the Editor-in-Chief of the Industry Newspaper to consider and decide.

3. Implement decisions of the Editor-in-Chief and handle regular work within their functional scope and assigned tasks.

Article 20Specialized departments, business units, service providers, production units, and technology transfer units are established, defined in terms of functions, tasks, authorities, and managerial positions by the Editor-in-Chief.

Article 21. Councils.

1. The establishment of advisory councils (Councils: scientific, salary, recruitment and selection, competition and rewards, discipline) is decided by the Editor-in-Chief and each council has its own operational regulations.

2. The Editorial Board of the Industry Newspaper serves as an advisory body assisting the Editor-in-Chief in making important decisions regarding the content of the newspaper and publishing publications and books when necessary; the board consists of: Chairman, Vice-Chairman, Secretary, and several management staff, economic experts, science and technology researchers, and journalists who are specialists in journalism, economics, science, technology, training, and international cooperation fields.

3. The Editorial Board has the following responsibilities:

a) Discussing strategies for development, policies, training, and international cooperation in journalism, communication, and other areas of the newspaper.

b) Discussing and approving long-term, five-year, and annual plans of the newspaper.

c) Nominating heads of programs, projects, and topics; reviewing outlines, examining, and evaluating research results at the Industry Newspaper level, conducting internal evaluations of research works at the Ministry and State levels.

Article 22. Duties and authorities of staff, reporters, editors, and employees.

1. Being assigned clear tasks and having the responsibility to complete them well.

2. Reporters and editors of the Newspaper may attend meetings of the Ministry and visit agencies, enterprises, and institutions to carry out their professional work as stipulated by the law.

3. Strictly comply with the Editor-in-Chief's regulations and current laws.

4. Use working equipment as prescribed and have the obligation to maintain and preserve the common assets of the Industry Newspaper.

5. Participate in discussions and provide suggestions for building work programs, plans, mid-term reviews, and final summaries of their units and the Industry Newspaper; propose measures to improve organizational management, working conditions, material and spiritual life, environmental hygiene, and training for employees to meet the requirements of the Industry Newspaper.

6. Participate in discussions and build regulations on organizational management, rights, and obligations of staff, reporters, editors, and employees in the Industry Newspaper.

7. Be nominated by the Editor-in-Chief to be arranged, utilized, and benefit from state policies for employees according to the Labor Code.

Chapter VI

RELATIONSHIP BETWEEN THE INDUSTRY NEWSPAPER AND

STATE ORGANIZATIONS AND LOCAL AUTHORITIES

Article 23. The Industry Newspaper is subject to inspection and supervision by the Ministry of Industry and relevant state management agencies as follows:

1. Adhere to laws, implement state and Ministry of Industry regulations related to the Industry Newspaper.

2. Adhere to financial, credit, tax, profit distribution, accounting, and statistical systems as prescribed by laws on accounting and statistics.

3. Comply with state and Ministry of Industry regulations on organizational and personnel matters including establishment, division, merger, restructuring, dissolution; approval, amendment, and supplementation of the Charter of the Industry Newspaper; appointment, removal, transfer, reward, and punishment of the Editor-in-Chief and Deputy Editor-in-Chief of the Industry Newspaper.

4. Implement regulations on foreign relations and import-export.

5. Ensure the implementation of rights and obligations towards staff, reporters, editors, and workers in accordance with the law.

Article 24. The Industry Newspaper cooperates and coordinates with functional departments, specialized state management agencies under the Ministry, scientific and technological research units, information media, training institutions, enterprises, and other organizations in all fields to fulfill the newspaper's mission. throughout the country.

Vietnam Industrial Times It is permitted to establish cooperative relationships and exchange experiences in various fields as specified in the mission with agencies and organizations in the region and internationally as prescribed by law.

Article 25. The relationship between the Editor-in-Chief and the Party Committee of the Industry Newspaper is implemented according to Decision No. 51/QD-TW dated November 19, 1992 of the Central Committee of the Communist Party of Vietnam.

Article 26. Relationship between the Editor-in-Chief of the Industry Newspaper and the Trade Union Committee is a cooperative relationship to resolve issues related to the fulfillment of trade union functions, responsibilities, rights, and obligations of members according to the 1990 Trade Union Law.

Article 27. The Editor-in-Chief of the Industry Newspaper creates working conditions and provides necessary information for the Communist Youth Union to perform its functions, responsibilities, rights, and obligations according to the Charter of the Communist Youth Union.

Article 28. The Industry Newspaper is subject to state administration and complies with administrative regulations and obligations towards People's Councils and People's Committees at all levels as state management agencies on the territorial jurisdiction as prescribed by law.

Chapter VII

IMPLEMENTING PROVISIONS

Article 29. These Statutes shall apply to the Vietnam Industry Newspaper; its subordinate units, staff, reporters, editors, and employees of the Vietnam Industry Newspaper. They are responsible for implementing these Statutes.

Article 30. Based on the provisions set forth in these Statutes, the Editor-in-Chief is responsible for establishing and promulgating internal regulations and rules regarding the functions, tasks, and authorities of each department within the organizational structure of subordinate units to regulate the activities of the Vietnam Industry Newspaper. to ensure orderly operations.

Article 31. Any amendments, supplements, or adjustments to these Statutes shall be proposed by the Editor-in-Chief and decided upon by the Minister of Industry after review./.
