THE MINISTER OF INDUSTRY
Pursuant to Decree No. 74/CP dated November 1, 1995 of the Government on the functions, tasks, powers, and organizational structure of the Ministry of Industry;
Pursuant to Decree No. 50/CP dated August 28, 1996 of the Government on the establishment, restructuring, dissolution, and bankruptcy of state-owned enterprises;Pursuant to Decision No. 68/1998/QĐ-TTg dated March 27, 1998 of the Prime Minister on the pilot establishment of state-owned enterprises within training institutions and research facilities;
Pursuant to the agreement expressed in document number 1008/BKH-DN dated February 11, 1999, issued by the Ministry of Planning and Investment;
At the request of Vietnam Coal Corporation (in document number 208/TT-HDQT dated January 26, 1999) and the Director of the Personnel and Organization Department,
DECISION:
Article 1. Establish the "Technology Transfer Consulting Company under the Mining Institute" as a subsidiary of Vietnam Coal Corporation.
- The Company is a state-owned enterprise operating independently with full legal personality, having its own seal and bank account, conducting business activities in accordance with the law and the Charter of the Company's Organization and Operation.
- The main office is located at Ngo Gia Tu Street, Duc Giang Town, Gia Lam District, Hanoi City.
Article 2. Business activities of the Company:
- Implementing new technology from research results in production through projects such as investigation, exploration, survey, processing, and product consumption.
- Constructing mining industrial facilities.
- Engaging in construction materials production and trade.
- Processing and trading coal and other mineral products.
- Repairing, supplying spare parts, equipment, and goods for production and daily life.
- Providing training, education, technology transfer services for mining and other related services.
- Registered capital of the Company: 3,000,000,000 Vietnamese dong

Article 3. The Minister of Industry delegates authority to the Director of the Mining Science and Technology Institute to manage the Technology Transfer Consulting Company under the Mining Institute, and is responsible for organizing the drafting of the Company's Charter on Organization and Operation to be submitted to higher authorities; bearing responsibility for directing the enterprise to operate according to its assigned functions and tasks, and being accountable to the Minister for compliance with laws and state policies and the effectiveness of the enterprise's operations;
- The Minister of Industry delegates authority to the General Director of Vietnam Coal Corporation to approve the Company's Charter on Organization and Operation and appoint management positions of the Company as stipulated in Article 6 of Decision No. 68/1998/QD-TTg of the Prime Minister;
- The Technology Transfer Consulting Company under the Mining Institute is responsible for completing all necessary registration procedures for business operations in accordance with the Company's Charter and relevant laws.
Article 4. THIS DECISION SHALL TAKE EFFECT 15 DAYS FROM THE DATE OF SIGNATURE.
The Head of the Ministry’s Office, the Inspector General, Heads of functional Departments, Directors of specialized management Bureaus under the Ministry, the General Director of Vietnam Coal Corporation, the Director of the Mining Science and Technology Institute, and the Director of the Technology Transfer Consulting Company under the Mining Institute are responsible for implementing this Decision./.
