Pursuant to the State Enterprise Law dated April 20, 1995;

Pursuant to the Government Decree No. 73/CP dated November 1, 1995 on the functions, tasks, powers, and organizational structure of the Ministry of Agriculture and Rural Development

Pursuant to the Government Decree No. 50/CP dated August 28, 1996 on the establishment, restructuring, dissolution, and bankruptcy of state enterprises and the Government Decree No. 38/CP dated April 28, 1997 amending and supplementing certain articles of the Government Decree No. 50/CP

Pursuant to the Decision No. 1693/NN-ĐTXD/QĐ dated July 16, 1997 of the Minister of Agriculture and Rural Development on the investment project for constructing the Nong Cong Sugar Factory in Thanh Hoa Province

Pursuant to the minutes of the meeting to review the establishment of a state enterprise held on January 13, 1999 by the Ministry of Agriculture and Rural Development

Considering the proposal of the Board of Directors of Vietnam Sugar Corporation 1 at the Report No. 991/1998-MĐI/TTr dated December 28, 1998 and the proposal of the Director of the Cadre and Civil Servant Organization Department

Pursuant to …;

Article 1. Establish Nong Cong Sugar Company as an independent accounting member enterprise under Vietnam Sugar Corporation 1 - Ministry of Agriculture and Rural Development.

Article 2. Nong Cong Sugar Company has:

- Full legal personality, independent accounting,

- Articles of organization and operation.

- Management apparatus (General Director, Deputy General Directors, Chief Accountant, and specialized departments assisting the General Director).

- Seal and bank account.

- Main office located at: Tea Hill Area, Le Dinh Chinh Agricultural Farm, Thang Long Commune, Nong Cong District, Thanh Hoa Province.

- International trade name: NONG CONG SUGAR COMPANY.

Abbreviation: NONG CONG SUGAR.

- Branches and representative offices: located in Hanoi and Ho Chi Minh City.

Article 3. Business activities of Nong Cong Sugar Company:

- Organizing construction of the factory according to the economic and technical justification approved by the Ministry and organizing effective production.

- Sugar cane processing industry and post-sugar products.

- Sugarcane cultivation.

- Technical services for sugar cane.

Article 4. Total business capital (according to the approved mission and justification) is: 111,618 million VND.

The state budget capital already available from Van Diem Sugar Company transferred to Nong Cong Sugar Company up to December 26, 1998 was 6,531,206,000 VND.

Article 5. The General Director of Nong Cong Sugar Company is responsible for completing all necessary registration procedures with competent authorities in accordance with current national regulations and operating in compliance with the law.

Article 6. The Head of the Ministry's Office, the Director of the Cadre and Civil Servant Organization Department, Heads of relevant functional agencies under the Ministry, the Board of Directors, and the General Director of Vietnam Sugar Corporation 1, the General Director of Nong Cong Sugar Company are responsible for implementing this Decision./.
