DECISION OF THE MINISTER OF HOME AFFAIRS

Regarding the approval of the Charter of the

Vietnam Clean Water and Environmental Sanitation Association

THE MINISTER OF THE MINISTRY OF HOME AFFAIRS

- On the basis of Decree No. 102/SL-L004 dated May 20, 1957 on the right to establish Associations,

- On the basis of Decree No. 86/2002/NĐ-CP dated November 5, 2002 of the Government on the functions, tasks, powers, and organizational structure of ministries and ministerial-level agencies,

- Considering the proposal of the Chairman of the Vietnam Clean Water and Environmental Sanitation Association and the Director of the Department for Non-Governmental Organizations;

DECISION:

Article 1: Approves the Charter of the Vietnam Clean Water and Environmental Sanitation Association which was adopted at the First National Congress on December 25, 2002.

Article 2: The Chairman of the Vietnam Clean Water and Environmental Sanitation Association and the Director of the Department for Non-Governmental Organizations shall be responsible for implementing this Decision.

CHARTER

VIETNAM CLEAN WATER AND ENVIRONMENTAL SANITATION ASSOCIATION

PART I

Name of the Association: The Association for Southeast Asian Studies of Vietnam (referred to as the Southeast Asian Science Association - Vietnam).

Article 1. NAME OF THE ASSOCIATION:

- Name: VIETNAM CLEAN WATER AND ENVIRONMENTAL SANITATION ASSOCIATION

- International trade name: Viet Nam Association For Safe Water and Environmental Sanitation; abbreviated form: VN SAWASANA.

- Vietnam Clean Water

- Environmental Sanitation Association is a voluntary professional social organization of individuals and organizations engaged in or concerned with the field of Clean Water and Environmental Sanitation.

- The Association has its own Emblem and Anthem.

Article 2. AIMS AND OBJECTIVES OF THE ASSOCIATION

The Vietnam Clean Water and Environmental Sanitation Association gathers widely individuals and organizations working in the field of Clean Water and Environmental Sanitation without distinction of gender, ethnicity, religion, political opinion, or related professions, aiming to advise and consult management authorities, producers, and business operators of clean water, protect consumer rights, contribute to ensuring better quality of clean water, maintain environmental hygiene in Vietnam, and improve public health.

Article 3. SCOPE OF ACTIVITY

The Vietnam Clean Water and Environmental Sanitation Association operates nationwide, with headquarters in Hanoi. The Association has full legal personality, its own seal, and separate bank account. Its activities in the fields of Clean Water and Environmental Sanitation, and related areas, are under the supervision of the Ministry of Health and the patronage of the Ministry of Natural Resources and Environment.

Article 4. THE VIETNAM CLEAN WATER AND ENVIRONMENTAL SANITATION ASSOCIATION HAS THE FOLLOWING TASKS

1. To gather widely individuals and organizations working in or related to the field of Clean Water and Environmental Sanitation who agree with the Charter of the Association, voluntarily joining the Vietnam Clean Water and Environmental Sanitation Association to promote and disseminate knowledge about water and environmental sanitation among the people and mobilize the people's participation in activities related to providing clean water, preventing water pollution, improving water sources and environmental sanitation, practically contributing to caring for and enhancing public health.

2. To participate in the formulation of policies and guidelines on Clean Water and Environmental Sanitation.

3. To provide advice and critique on issues related to Clean Water and Environmental Sanitation to state functional agencies and other economic sectors when requested.

4. To provide advice on other matters when requested such as:

- Establishing standards and technical regulations to ensure the quality of Clean Water and Environmental Sanitation.

- Promoting enterprises to apply quality management systems for Clean Water and Environmental Sanitation.

5. To participate in scientific research activities and consumer protection activities in the field of Clean Water and Environmental Sanitation according to the law.

6. To participate in communication and education activities, publishing a magazine on Clean Water and Environmental Sanitation in Vietnam according to the law.

7. To organize training courses on Clean Water and Environmental Sanitation, organizing service and consulting activities, organizing exhibitions, seminars, and research on applying Clean Water and Environmental Sanitation technology in Vietnam according to the law.

8. To implement international cooperation and cooperate with other associations operating in related fields according to the law.

9. To implement social projects in the field of Clean Water and Environmental Sanitation when assigned by the State.

10. To manage the organization, members, help members unite, enhance their qualifications, protect the legitimate rights of members, manage assets and funds according to current laws.

CHAPTER III

METHODS OF OPERATION OF THE ASSOCIATION

Article 5: METHODS OF OPERATION

The Vietnam Clean Water and Environmental Sanitation Association operates on a voluntary basis, covering all costs and means of operation itself.

MEMBERS

Article 6: MEMBERS

1. Corporate members: Vietnamese organizations and enterprises operating in the field of clean water and environmental sanitation that agree to the Charter of the Vietnam Clean Water and Environmental Sanitation Association, voluntarily engage in activities for the Association, submit membership applications, appoint representatives to join the Association, and are admitted to the Association upon approval by the Executive Board of the Association.

2. Individual members: Vietnamese citizens working in the field of clean water and environmental sanitation or related fields, who agree to the Charter of the Association, voluntarily apply to join the Association and are admitted upon approval by the Central Executive Board of the Association.

3. Supporting members: Vietnamese organizations and citizens residing abroad, businesses engaged in clean water and environmental sanitation with foreign investment in Vietnam, who agree to the Charter of the Vietnam Clean Water and Environmental Sanitation Association and provide financial support to the Association's activities, are recognized as supporting members upon approval by the Executive Board of the Association.

4. Honorary members: Vietnamese citizens who have made significant contributions to the protection and maintenance of clean water and environmental sanitation, or who have made substantial contributions to the activities of the Vietnam Clean Water and Environmental Sanitation Association, are invited to become honorary members of the Association by the Executive Board of the Association.

Article 7: DUTIES AND RIGHTS OF MEMBERS

1. Members have the duty to respect the Charter of the Association, promote and participate in all activities of the Association, and pay membership fees.

2. Members have the right to participate in the Association's activities, receive assistance from the Association to participate in scientific and technical activities, and enjoy other rights stipulated by the Central Association. Members have the right to discuss and vote on all matters of the Association, elect and be elected to Association bodies, and receive member cards, and request to leave the Association.

3. Supporting members and honorary members have the right to discuss and propose matters concerning the Association but are not entitled to vote, run for, or be elected to Association bodies.

CHAPTER V

Article 8. Principles of Organization

Article 8: ORGANIZATIONAL PRINCIPLES

The Vietnam Clean Water and Environmental Sanitation Association is organized on a voluntary, self-managed, and self-financed basis. Article 9: ORGANIZATION OF THE ASSOCIATION INCLUDES:

The number of Central Executive Board members is decided by each term's Congress.

2. In provinces and centrally-administered cities:

If there is a need to establish a provincial or municipal Vietnam Clean Water and Environmental Sanitation Association, it will be decided by the People's Committee of the province/city and will be a voluntary member of the Central Association.

Local member associations: operate under the professional guidance of the Central Executive Board of the Association and must not contravene the Charter of the Association.

3. At the grassroots level, branch associations may be established. If there are five or more members, a branch association or a specialized branch association may be established.

4. The Vietnam Clean Water and Environmental Sanitation Association is organized to conduct research and training in clean water and environmental sanitation, and may establish legal entities within the Association to operate in the field of clean water and environmental sanitation in accordance with the provisions of the law.

Article 10: LEADERSHIP BODY OF THE ASSOCIATION

The leadership body of the Association is the National Congress of Delegates of the Association with a term of five years.

Delegates attending the National Congress of Delegates of the Association are elected by organizational units of the Association and invited by the Central Executive Board of the Association, the number of invited delegates shall not exceed 10% of the number of delegates convened.

Article 11: TASKS OF THE NATIONAL CONGRESS OF DELEGATES OF THE ASSOCIATION

1. Discuss and approve the report on the term of work of the Central Executive Board of the Association.

2. Decide on the goals, directions, and tasks of the Association's work for the next five years.

3. Amend the Charter of the Association (if required).

4. Elect the Central Executive Board of the Association and the election method shall be decided by the Congress (secret ballot or show of hands).

Article 12: TASKS OF THE CENTRAL EXECUTIVE BOARD OF THE ASSOCIATION

The Central Executive Board of the Association is the leadership body of the Association between two terms of Congresses, the Central Executive Board convenes regularly once a year. The Central Executive Board has the following tasks:

1. Organize the implementation of the Resolutions of the Congress.

2. Lead the work of the Association during the period between Congress sessions.

3. Elect the Standing Committee consisting of one Chairman, several Vice Chairmen, and one Vice Chairman who will take up the full-time position of General Secretary.

4. Elect the Inspection Board.

5. Organize specialized boards of the Association.

6. When necessary, the Executive Board may decide to supplement or relieve members of the Central Executive Board if at least 2/3 of the total number of members in the Executive Board agree. The number of replacement members shall not exceed 1/3 of the number of members elected by the Congress.

Article 13: TASKS OF THE STANDING COMMITTEE

1. The Standing Committee has the following tasks:

a) Represent the Executive Board to direct and manage the activities of the Association between two meetings.

b) Report on the performance during the meetings of the Executive Board.

c) Decide on the establishment of various boards, board leaders, and affiliated organizations of the Association as prescribed by law.

d) Decide on organizing domestic and international scientific conferences, sending officials to attend domestic and international scientific conferences and foreign missions as prescribed by the State.

e) Decide on joining international and regional organizations as prescribed by law.

f) Decide on issues related to commendation, rewards, and discipline within the Association's authority.

2. The Standing Committee convenes every six months.

3. The Chairman of the Association is the legal representative of the Association before the law, responsible to the State for all activities of the Association, represents the Association in relations with other organizations, chairs meetings of the Executive Board and the Standing Committee, organizes the implementation of the Resolutions of the Congress and decisions of the Executive Board, and is accountable to the Executive Board and all members of the Association for the activities of the Association.

4. The Vice Chairmen assist the Chairman, assigned by the Chairman to handle specific issues and authorized to manage the work of the Executive Board when the Chairman is absent.

6. In the absence of an individual assuming this role, the Chairman of the Association performs these responsibilities.

7. The Central Office of the Association, the various boards, and the affiliated organizations under the Central Office are decided by the Central Standing Committee. Specialized boards convene every three months.

Article 14: DUTIES OF THE INSPECTION BOARD

The Inspection Board of the Association has the duty to inspect compliance with the Charter of the Association; implementation of Central Association Resolutions; and handling letters of complaint related to members and Association organizations. The Inspection Board has the right to request reports from members and organizations and units directly under the Central Association on issues related to the inspection content approved by the Central Association Executive Board. The term of office of the Inspection Board is five years, with one Vice President of the Association serving as the Head of the Board.

Chapter VI

ASSOCIATION FINANCES

Article 15: FINANCES OF THE ASSOCIATION INCLUDE

1. Voluntary membership fees.

- Individual members voluntarily pay according to their capacity.

- Organizational members voluntarily pay according to their capacity.

2. Donations and sponsorships from organizations and individuals both within and outside the country as prescribed by law.

3. Income from other lawful activities.

Article 16: MANAGEMENT OF FINANCES AND ASSETS

The Association has independent finances and assets. Expenditures of the Association include:

1. Expenses for meetings, international relations, information, and publication activities.

2. Salaries and allowances for full-time and part-time staff.

3. Awards and subsidies for members in professional activities.

4. Equipment and facilities for the Central Association Office.

5. Other activities decided by the Executive Board.

Management and use of income and expenditures in the Association's activities must comply with the regulations of the Central Association Executive Board and adhere to current financial management principles under the law.

Chapter VII

REWARDS AND DISCIPLINE

Article 17: AWARDS

Members and organizations of the Association that achieve outstanding results will be awarded by the Association or recommended for awards by the State and local authorities. The form of award is determined by the Central Association Executive Board.

Article 18: DISCIPLINE

If Association officials, members, and organizations violate seriously the Charter of the Association, they will be subject to disciplinary action. The form of discipline is determined by the Central Association Executive Board.

Chapter VIII

IMPLEMENTATION PROVISIONS

Article 19: EFFECTIVENESS OF THE CHARTER

1. This Charter consists of eight chapters and nineteen articles, adopted at the First National Congress of Delegates on December 25, 2002.

2. Only the National Congress of Delegates of the Vietnam Clean Water and Environmental Sanitation Association has the right to propose amendments and supplements to this Charter for approval by the competent authority.

3. This Charter takes effect from the date it is approved by the Ministry of Home Affairs.
