Guidelines for establishment conditions and registration of operation

of scientific and technological organizations

 

Pursuant to the Law on Science and Technology dated June 9, 2000;

Pursuant to Decree No. 54/2003/NĐ-CP dated May 19, 2003 of the Government stipulating the functions, tasks, powers, and organizational structure of the Ministry of Science and Technology, and Decree No. 28/2004/NĐ-CP dated January 16, 2004 of the Government amending and supplementing certain articles of Decree No. 54/2003/NĐ-CP;

Pursuant to Decree No. 81/2002/NĐ-CP dated October 17, 2002 of the Government detailing the implementation of certain provisions of the Law on Science and Technology;

The Ministry of Science and Technology issues guidelines for the conditions of establishment and registration of operation of scientific and technological organizations.

I. GENERAL PROVISIONS

This Circular provides detailed guidance on the conditions for establishment and registration of operation of scientific and technological organizations (hereinafter referred to as "Science and Technology" or "ST"), except for universities, academies, and colleges.

Thông tư này áp dụng đối với tổ chức, cá nhân có liên quan đến hoạt động kinh doanh đối tượng thủy sản nuôi chủ lực trên lãnh thổ Việt Nam.

This Circular applies to all scientific and technological organizations belonging to various economic sectors, including:

a) Research organizations, research and technology development organizations (hereinafter referred to as "Research and Development" or "R&D"), including R&D organizations with foreign capital established for non-profit purposes.

b) Science and technology service organizations (excluding business science and technology service organizations), including science and technology service organizations with foreign capital.

II. CONDITIONS FOR ESTABLISHING SCIENTIFIC AND TECHNOLOGICAL ORGANIZATIONS

1. Objectives and directions of activities

Scientific and technological organizations must have objectives and directions of activities that do not violate prohibitions stipulated in Article 8 of the Law on Science and Technology and other related legal documents.

2. Name of scientific and technological organization

a) Types of scientific and technological organizations

- R&D organizations include the following types: institute, center, laboratory, research station, experimental farm, monitoring station, testing station, science-industry cooperative.

- Science and technology service organizations include the following types: center, office.

b) Scientific and technological organizations must meet the following conditions regarding their trade name:

They must have a full trade name in Vietnamese:

- The name must clearly reflect the main field of activity of the scientific and technological organization;

- The name must include the type of scientific and technological organization.

Scientific and technological organizations may also have a foreign language name, which is a translation from Vietnamese into the corresponding foreign language.

In addition to the full name, scientific and technological organizations may have an abbreviated name (including both Vietnamese and foreign languages).

c) The name of a scientific and technological organization without a supervising authority shall not be identical to the names of other scientific and technological organizations already registered at the same authority issuing the Certificate of Registration for Scientific and Technological Activities.

3. Charter of organization and operation

a) Scientific and technological organizations must have a charter of organization and operation approved or issued by the authority or organization deciding on establishment. In cases where there is a delegation of authority by the authority or organization deciding on establishment, the direct management authority of the scientific and technological organization may approve or issue the charter. Any amendments or supplements to the charter must be decided by the authority or organization approving or issuing the charter.

b) For scientific and technological organizations established by individuals, the charter must bear the signature of that individual.

c) For scientific and technological organizations established through cooperation or association, the charter must bear the signatures of the cooperating or associating parties.

4. Scientific and technological human resources

a) Each scientific and technological organization must have at least four people with a university or college degree or higher, including at least one person with expertise in the field applied for registration.

For scientific and technological organizations established and operating in areas with difficult socio-economic conditions or extremely difficult conditions, they must have at least one person with a university or college degree in the field applied for registration.

Determination of areas with difficult socio-economic conditions or extremely difficult conditions shall be carried out according to the provisions of Decree No. 35/2002/NĐ-CP dated March 29, 2002, amending and supplementing List A, B, and C specified in the appendix to Decree No. 51/1999/NĐ-CP dated July 8, 1999, of the Government detailing the implementation of the Law on Encouraging Domestic Investment (Amended).

b) Each scientific and technological organization must have at least two people working under a regular employment system.

c) The head of a scientific and technological organization must have a university degree or higher.

In cases where a scientific and technological organization is established and operates in areas with difficult socio-economic conditions or extremely difficult conditions, the head must have a college degree or higher.

For national, ministry-level, or provincial-level R&D organizations, the head must hold a doctoral degree or a senior associate professor title or higher.

d) Civil servants subject to the Civil Servants and Public Officials Ordinance are not allowed to establish, participate in establishing, or manage and operate private scientific and technological organizations.

5. Main office

Scientific and technological organizations must have a main office, which is the location of the administrative body of the organization.

6. Material and technical facilities

The material and technical facilities of scientific and technological organizations include workshops, office equipment, machinery and equipment, other material and technical means, and financial resources serving scientific and technological activities.

The minimum material and technical facilities of scientific and technological organizations include office equipment, including: information and communication tools, desks and chairs.

7. Other provisions

a) Scientific and technological organizations conducting experiments involving humans and animals must obtain written permission from the competent state management agency for health;

b) Scientific and technological organizations opening schools or training classes must obtain written permission from the competent state management agency for education and training;

c) Scientific and technological organizations conducting activities in special fields if required to obtain permission from the competent state management agency, must obtain written permission from the competent state management agency before carrying out such activities.

III. REGISTRATION DOCUMENTS

OF SCIENTIFIC AND TECHNOLOGICAL ORGANIZATIONS

1. Application for registration of scientific and technological activities

The application for registration of scientific and technological activities must comply with the contents prescribed in Appendix I. Enterprises importing tobacco raw materials and cigarette paper for producing tobacco products for export or processing tobacco products for export shall submit registration applications according to Form

2. Decision on establishment

The following scientific and technological organizations (except in cases where Vietnamese individuals, overseas Vietnamese, or foreign individuals establish scientific and technological organizations independently) must have a decision on establishment issued by the competent authority or organization:

a) National-level research and development organizations shall be established by a decision of the Government.

b) Research and development organizations at the ministry and provincial levels shall be established by a decision of the Prime Minister or delegated to the minister, the chairman of the provincial People's Committee, or the municipal People's Committee under central jurisdiction to establish.

c) Research and development organizations of the National Assembly, Supreme People's Court, and Supreme People's Procuracy shall be established pursuant to the Law on Organization of the National Assembly, the Law on Organization of the People's Courts, and the Law on Organization of the People's Procuracies.

d) Research and development organizations of political organizations and socio-political organizations at the central level must have a decision to establish issued by the head of such organizations.

đ) Research and development organizations at the grassroots level must have a decision to establish issued by the head of the competent agency or organization as follows:

- A decision to establish issued by the minister, the head of an equivalent ministry-level agency, the head of a government-affiliated agency, the chairman of the provincial People's Committee, or the municipal People's Committee under central jurisdiction;

- A decision to establish issued by the head of national-level or provincial-level research and development organizations, research and development organizations of central-level political organizations and socio-political organizations, enterprises, universities, academies, colleges, and state hospitals after obtaining approval from their direct superiors;

- A decision to establish issued by the head of political organizations and socio-political organizations not covered by point 2.d of this section, social organizations, occupational social organizations, and other organizations.

e) Research and development organizations established through cooperation or collaboration between two or more agencies or organizations must have a decision to establish issued by the authorized agency or organization after obtaining a written agreement from all participating parties.

g) Science and technology service organizations must have a decision to establish issued by the head of the competent state agency or organization, political organizations, socio-political organizations, social organizations, occupational social organizations, or other organizations.

h) Science and technology organizations with 100% foreign capital (established in Vietnam by international organizations or foreign organizations) must have a decision to establish issued by the authorized international or foreign organization. Science and technology organizations established through cooperation or collaboration between foreign organizations or individuals and Vietnamese organizations or individuals must have a written agreement among the parties.

3. Charter of organization and operation

The charter of science and technology organizations is the legal basis for the organization and operation of such organizations. The charter must include all basic contents as prescribed in Appendix II attached hereto.

4. Scientific and technological human resources

a) A list of human resources of science and technology organizations compiled according to the model prescribed in Appendix III attached hereto and must be confirmed by the agency or organization that established the organization or the directly managing agency or organization. (if applicable).

b) Key personnel in science and technology organizations established by individuals, science and technology organizations of socio-political organizations, social organizations, and occupational social organizations must have complete files, including:

- An application for key position employment at the science and technology organization;

- A curriculum vitae confirmed by the local authority where the individual resides;

- A certified copy of the highest educational degree (certified by a notary public or the issuing authority).

In case the key personnel is not a Vietnamese citizen, they must have a legal status certificate issued by the authorized authority of the country of which they hold citizenship.

c) Part-time personnel must have a written permit to work part-time from the science and technology organization where they hold a full-time position.

5. Files of the head of a science and technology organization

The files of the head of a science and technology organization include:

a) A decision appointing the head of a science and technology organization by the competent agency or organization (except for science and technology organizations established by individuals).

b) A scientific curriculum vitae according to the model prescribed in Appendix IV attached hereto confirmed by the competent authority.

For science and technology organizations established by individuals, the scientific curriculum vitae is filled out by the individual and the individual bears legal responsibility for the information provided.

c) A certified copy of the highest educational degree (certified by the competent state authority).

d) The head of a non-state science and technology organization must also provide a personal curriculum vitae confirmed by the local authority where they reside.

The head of a science and technology organization who is not a Vietnamese citizen must have a legal status certificate issued by the authorized authority of the country of which they hold citizenship.

6. Files regarding the main office

a) For state science and technology organizations: there must be a land allocation decision, construction permit, or a decision allocating the office premises by the competent authority, or a lease or loan contract for the main office premises.

b) For non-state science and technology organizations: there must be one of the following documents:

- Documents confirming that the science and technology organization is the owner of the main office premises;

- A lease or loan contract for the main office premises and the organization must bear legal responsibility for the validity of the lease or loan contract.

7. Declaration of material and technical facilities of science and technology organizations

a) For state science and technology organizations, the declaration of material and technical facilities must be confirmed by the establishment agency or the directly managing agency.

b) For science and technology organizations not covered by point a of this section, the head of the organization must declare the material and technical facilities of their own organization, sign the declaration, and bear legal responsibility for the declaration.

The declaration of material and technical facilities of science and technology organizations is made according to the provisions in Appendix V attached hereto.

IV. PROCEDURES FOR REGISTRATION OF ACTIVITIES AND LIQUIDATION

SCIENCE AND TECHNOLOGY ORGANIZATIONS

1. Levels of registration for science and technology activities

a) The following science and technology organizations shall register their activities with the Ministry of Science and Technology:

- Research and development organizations established by the Government;

- Research and development organizations established by a decision of the Prime Minister or delegated to the minister or the chairman of the provincial People's Committee, or the municipal People's Committee under central jurisdiction to establish;

- Research and development organizations established by the National Assembly, Supreme People's Court, and Supreme People's Procuracy.

- Research and technology organizations established by political organizations and socio-political organizations at the central level;

- Research and technology organizations with foreign capital.

b) Research and technology organizations not specified in point a of this item shall register their activities with the Department of Science and Technology where their main office is located.

The certificate of registration for research and technology activities shall be issued according to the unified form prescribed in Appendix VII and Appendix VIII attached hereto.

2. Procedures for registering scientific and technological activities

a) Research and technology organizations submit two sets of registration files, including one original file; pay fees and charges as prescribed by laws on fees and charges.

The registration file of research and technology organizations includes the documents prescribed in Section III of this Circular.

b) Within fifteen working days from the date of receipt of complete and valid files, the competent authority shall be responsible for examining the files and issuing the Certificate of Registration for Scientific and Technological Activities to research and technology organizations. In case of disagreement, a written response must be provided stating the reasons.

3. Procedures for registering changes and supplements to contents in the Certificate of Registration for Scientific and Technological Activities that have been issued

After receiving the Certificate of Registration for Scientific and Technological Activities, if there are changes or supplements to the following contents of such certificate, research and technology organizations must register these changes or supplements. Specifically, as follows:

a) Registering changes or supplements to the fields of scientific and technological activities:

The file for registering changes or supplements includes:

- A letter requesting registration of changes or supplements to the fields of scientific and technological activities of the research and technology organization;

- Decision on changes or supplements to the fields of scientific and technological activities in the Charter and Operations of the research and technology organization.

b) Registering a change of name of the research and technology organization:

The file for registering a change of name includes:

- A letter requesting registration of a change of name of the research and technology organization;

- Decision on changing the name of the research and technology organization.

c) Registering a change of the establishment decision-making body or the direct management body of the research and technology organization:

The file for registering changes includes:

- A letter requesting registration of a change of the name of the establishment decision-making body or the direct management body of the research and technology organization;

- A copy of the Decision on changing the name of the establishment decision-making body or the direct management body of the research and technology organization (certified by the competent state agency).

d) Registering a change of main office (except in cases stipulated in point 3.d of this item).

The file for registering changes includes:

- A letter requesting registration of a change of main office of the research and technology organization;

- Document on the main office (as prescribed in point 6, Section III of this Circular).

Within ten working days from the date of receipt of complete and valid files regarding changes or supplements to the contents of the Certificate of Registration for Scientific and Technological Activities as specified in points a, b, c, and d, the competent authority shall issue a new Certificate of Registration for Scientific and Technological Activities to the research and technology organization according to Appendix VII or Appendix VIII attached hereto.

đ) In the case where a research and technology organization registered with a Department of Science and Technology transfers its main office to another province or centrally-administered city, the research and technology organization must withdraw the registration file from the previous Department of Science and Technology and register its scientific and technological activities with the new Department of Science and Technology. The registration file for scientific and technological activities at the new location includes:

- A letter requesting registration of a change of main office;

- Document on the main office (as prescribed in point 6, Section III of this Circular);

- Original Certificate of Registration for Scientific and Technological Activities of the research and technology organization;

- Set of registration files for scientific and technological activities previously submitted to the Department of Science and Technology in the province or city where the main office was located before.

Within fifteen working days from the date of receipt of the complete and valid files of the research and technology organization transferring its main office, the Department of Science and Technology must issue a new Certificate of Registration for Scientific and Technological Activities to the research and technology organization according to Appendix 8 attached hereto.

If the name of the research and technology organization does not coincide with the name of any other registered research and technology organization within the same province or centrally-administered city to which it is transferring, within five working days from the date of receipt of the registration file, the Department of Science and Technology receiving the file must notify the research and technology organization and guide them to choose a different name.

Within fifteen days from the date of issuance of the new Certificate of Registration for Scientific and Technological Activities, the Department of Science and Technology where the research and technology organization has transferred its main office shall be responsible for sending a notification to the previous Department of Science and Technology that issued the certificate to inform relevant agencies in the province or centrally-administered city and retain the file.

4. Registering changes to capital upon request of the research and technology organization

When a research and technology organization requests a change in registered capital, the authority issuing the Certificate of Registration for Scientific and Technological Activities shall be responsible for certifying the registration of the change for that organization.

The file for registering changes of the research and technology organization includes:

- A letter requesting registration of a change in capital of the research and technology organization;

- Document on the capital of the research and technology organization (as prescribed in point 7, Section III of this Circular).

Within ten working days from the date of receipt of complete and valid files, the competent authority shall issue a new Certificate of Registration for Scientific and Technological Activities to the research and technology organization according to Appendix VII or Appendix VIII attached hereto.

5. Reissuing the Certificate of Registration for Scientific and Technological Activities

a) In the event of loss of the Certificate of Registration for Scientific and Technological Activities, the research and technology organization has the right to request reissue of the Certificate of Registration for Scientific and Technological Activities.

Upon losing the Certificate of Registration for Scientific and Technological Activities, the research and technology organization must report to the police station where the loss occurred, the authority issuing the Certificate of Registration for Scientific and Technological Activities, and announce the loss through mass media.

Thirty days after the announcement, if the research and technology organization cannot find the lost Certificate of Registration for Scientific and Technological Activities, they may request the authority issuing the Certificate of Registration for Scientific and Technological Activities to reissue it. The application file for reissuing the Certificate of Registration for Scientific and Technological Activities includes:

- A letter requesting reissuance of the Certificate of Registration for Scientific and Technological Activities;

- Confirmation from the police station regarding the report of the loss of the Certificate of Registration for Scientific and Technological Activities;

- A receipt from the press or broadcasting agency confirming the receipt of the announcement regarding the loss of the Certificate of Registration for Scientific and Technological Activities of the scientific and technological organization, or the newspaper that published this announcement.

b) In the case where the Certificate of Registration for Scientific and Technological Activities is torn or damaged, the scientific and technological organization has the right to request issuance of a new Certificate of Registration for Scientific and Technological Activities, including the following documents:

- An application for issuance of a new Certificate of Registration for Scientific and Technological Activities;

- The original Certificate of Registration for Scientific and Technological Activities that is torn or damaged.

c) Within ten days from the date of receiving a complete application, the agency that issued the Certificate of Registration for Scientific and Technological Activities shall issue a new Certificate of Registration for Scientific and Technological Activities to the scientific and technological organization according to Appendix VII or Appendix VIII attached to this Circular.

d) On the newly issued Certificate of Registration for Scientific and Technological Activities, the date of issuance of the first Certificate of Registration for Scientific and Technological Activities and the date of reissuance of the Certificate of Registration for Scientific and Technological Activities shall be recorded.

6. Effectiveness of the Certificate of Registration for Scientific and Technological Activities

a) The Certificate of Registration for Scientific and Technological Activities issued by the Ministry of Science and Technology or the Provincial Department of Science and Technology to scientific and technological organizations is valid throughout the country.

b) The Certificate of Registration for Scientific and Technological Activities issued by the Ministry of Science and Technology or the Provincial Department of Science and Technology remains valid until the expiration date stated on the Certificate.

c) In cases where the Certificate of Registration for Scientific and Technological Activities does not specify a term or has not yet expired, if the scientific and technological organization voluntarily requests to change the Certificate of Registration for Scientific and Technological Activities, the issuing authority shall issue a new Certificate of Registration for Scientific and Technological Activities to the organization.

d) In cases where the Certificate of Registration for Scientific and Technological Activities of a scientific and technological organization expires according to Decree No. 35/HĐBT dated January 28, 1992 of the Council of Ministers (now the Government) on management of scientific and technological activities, at least fifteen days before the expiration date of the Certificate of Registration for Scientific and Technological Activities of the scientific and technological organization, the organization must submit an application to the issuing authority for issuance of a new Certificate of Registration for Scientific and Technological Activities. The application includes:

- A letter requesting reissuance of the Certificate of Registration for Scientific and Technological Activities;

- The original Certificate of Registration for Scientific and Technological Activities issued by the Ministry of Science and Technology, including all changes and supplements. - Column (7): Land area in land allocation decisions, lease decisions, or documents of the competent authority or actual land area managed and used (applicable to assets that are buildings and land)..

Within fifteen days from the date of receiving the application, the issuing authority must issue a new Certificate of Registration for Scientific and Technological Activities to the scientific and technological organization according to the model specified in this Circular (Appendix 7 or Appendix 8) to ensure continuous operation of the organization.

7. Revocation of the Certificate of Registration for Scientific and Technological Activities

a) The Certificate of Registration for Scientific and Technological Activities will be revoked in the following cases:

- The scientific and technological organization does not operate within twelve months from the date of issuance of the Certificate of Registration for Scientific and Technological Activities;

- The scientific and technological organization ceases operations for more than twelve consecutive months without a legitimate reason;

- The competent state agency discovers false information in the registration dossier of the scientific and technological organization;

- Pursuant to the decision or recommendation of the competent agencies due to the scientific and technological organization's violation of laws during its operation.

b) The issuing authority of the Certificate of Registration for Scientific and Technological Activities shall issue a decision to revoke the Certificate of Registration for Scientific and Technological Activities issued to the organization.

8. Dissolution of Scientific and Technological Organizations

a) The scientific and technological organization shall be dissolved in the following cases:

- By the decision of the agency or organization that established the scientific and technological organization;

- By the decision of the head of the scientific and technological organization, in the case of an individual who established the scientific and technological organization;

- If the Certificate of Registration for Scientific and Technological Activities is revoked; in this case, the agency revoking the Certificate of Registration for Scientific and Technological Activities shall require in writing the competent agency or organization or the head of the scientific and technological organization (in the case of an individual who established the scientific and technological organization) to issue a decision to dissolve the scientific and technological organization. Thereafter, the scientific and technological organization must dissolve within six months from the date of revocation of the Certificate of Registration for Scientific and Technological Activities and carry out the tasks stipulated in point 8.b of this section.

b) The scientific and technological organization being dissolved must carry out the following tasks:

- Within seven working days from the date of the dissolution decision, the scientific and technological organization must send the dissolution decision to the issuing authority of the Certificate of Registration for Scientific and Technological Activities, persons with rights, obligations, and interests related, and employees of the organization; simultaneously, it must publicly post the Decision at the main office of the organization and publish it in the local newspaper or central daily newspaper for three consecutive issues regarding the dissolution of the organization;

- At the latest sixty days from the date of the dissolution decision, the scientific and technological organization must:

+ Complete the termination of labor contracts and employment contracts with its employees;

+ Complete the settlement of concluded contracts;

+ Complete the financial obligations; settle all debts (if applicable);

- Report in writing to the issuing authority of the Certificate of Registration for Scientific and Technological Activities on the completion of the above tasks; return the Certificate of Registration for Scientific and Technological Activities to the issuing authority and return the seal to the police station where the seal was engraved.

c) The issuing authority of the Certificate of Registration for Scientific and Technological Activities shall notify in writing the police and tax authorities about the revocation of the Certificate of Registration for Scientific and Technological Activities of the scientific and technological organization.

V. BRANCHES AND REPRESENTATIVE OFFICES

OF SCIENTIFIC AND TECHNOLOGICAL ORGANIZATIONS

1. Procedures for registering Branches and Representative Offices

a) Scientific and technological organizations wishing to establish Branches or Representative Offices must register the establishment of Branches or Representative Offices with the Provincial Department of Science and Technology where the Branch or Representative Office is located.

b) The registration dossier for Branches and Representative Offices includes:

- An application for registration of activities of Branches and Representative Offices according to the form specified in Appendix 6 attached to this Circular;

- The decision to establish Branches and Representative Offices (specifying clearly the content and scope of activities);

- Documents regarding the Branch Manager, Representative Office (similar to the regulations on the head of scientific and technological organizations as stipulated in Point 5, Section III of this Circular);

- Documents regarding the office location of the Branch, Representative Office (similar to the regulations on the main office location as stipulated in Point 6, Section III of this Circular);

- A certified copy (certified by the competent state agency) of the Scientific and Technological Activities Registration Certificate of the scientific and technological organization.

Within ten working days from the date of receiving complete and valid documents, the Department of Science and Technology shall be responsible for issuing the Scientific and Technological Activities Registration Certificate for the Branch or Representative Office of the scientific and technological organization. In case of disagreement, a written response must be provided with clear reasons stated.

Within ten working days from the date of issuance of the Scientific and Technological Activities Registration Certificate for the Branch or Representative Office, the scientific and technological organization must send a certified copy of the Scientific and Technological Activities Registration Certificate of the Branch or Representative Office to the agency that issued the Scientific and Technological Activities Registration Certificate for the scientific and technological organization to supplement the file.

c) In the event of dissolution of the scientific and technological organization or revocation of its Scientific and Technological Activities Registration Certificate, the agency issuing the Scientific and Technological Activities Registration Certificate for the scientific and technological organization shall be responsible for sending a letter requesting the agency issuing the Scientific and Technological Activities Registration Certificate for the Branch or Representative Office to revoke the Scientific and Technological Activities Registration Certificate of the Branch or Representative Office of the scientific and technological organization.

The Scientific and Technological Activities Registration Certificate for the Branch or Representative Office shall be made according to the model prescribed in Appendix IX and Appendix X attached to this Circular.

2. Procedures for registering changes and supplements to the contents in the Scientific and Technological Activities Registration Certificate of the Branch or Representative Office

When changing or supplementing any of the registered contents of the Branch or Representative Office, the scientific and technological organization must go through the procedures for registering changes and supplements at the Department of Science and Technology where the Branch or Representative Office is located.

The procedures for registering changes and supplements for the Branch or Representative Office shall be carried out similarly to the regulations for scientific and technological organizations as stipulated in Point 3, Section IV of this Circular.

3. Reissuing the Scientific and Technological Activities Registration Certificate for the Branch or Representative Office

In the event that the Scientific and Technological Activities Registration Certificate for the Branch or Representative Office is lost or damaged, the scientific and technological organization has the right to request reissuance of the Scientific and Technological Activities Registration Certificate for the Branch or Representative Office.

The procedures for reissuing the Scientific and Technological Activities Registration Certificate for the Branch or Representative Office shall be carried out according to the provisions in Point 5, Section IV of this Circular.

4. Termination of activities of the Branch or Representative Office

When terminating the activities of the Branch or Representative Office, the scientific and technological organization must send a letter to the Department of Science and Technology where the Branch or Representative Office is located, accompanied by a certified copy of the decision to terminate operations issued by the competent authority that established the Branch or Representative Office and the Scientific and Technological Activities Registration Certificate of the Branch or Representative Office.

VI. RESPONSIBILITIES OF THE AGENCY ISSUING REGISTRATION CERTIFICATES AND OF SCIENTIFIC AND TECHNOLOGICAL ORGANIZATIONS

REGISTRATION AND OF SCIENTIFIC AND TECHNOLOGICAL ORGANIZATIONS

1. Responsibilities of the agency issuing registration certificates for scientific and technological activities

The agency issuing the Scientific and Technological Activities Registration Certificate has the responsibility to:

a) Issue new, reissue, and revoke the Scientific and Technological Activities Registration Certificate of scientific and technological organizations and the Scientific and Technological Activities Registration Certificate of Branches or Representative Offices;

b) Inspect the activities of scientific and technological organizations under its jurisdiction;

c) Certify changes in registered capital of scientific and technological organizations upon request of the organization.

2. Responsibilities of scientific and technological organizations

Scientific and technological organizations have the following responsibilities:

a) Within thirty working days from the date of issuance of the Scientific and Technological Activities Registration Certificate of the scientific and technological organization or the Scientific and Technological Activities Registration Certificate of the Branch or Representative Office, they must publish information in daily newspapers of the central or local authorities where the main office or Branch or Representative Office is located, with at least three consecutive issues containing the following information:

- Name of the scientific and technological organization; name of the Branch or Representative Office (if applicable),

- Scientific and Technological Activities Registration Certificate of the scientific and technological organization and Scientific and Technological Activities Registration Certificate of the Branch or Representative Office (number, date, and issuing agency) (if applicable),

- Establishing authority - Column (7): Land area in land allocation decisions, lease decisions, or documents of the competent authority or actual land area managed and used (applicable to assets that are buildings and land).,

- Head of the scientific and technological organization,

- Main office location, Branch or Representative Office location (if applicable),

- Fields of activity of the scientific and technological organization or Branch or Representative Office (as specified in the issued Scientific and Technological Activities Registration Certificate);

b) Display the signboard of the organization at the main office or Branch or Representative Office location after obtaining the Scientific and Technological Activities Registration Certificate of the scientific and technological organization or the Scientific and Technological Activities Registration Certificate of the Branch or Representative Office;

c) Operate within the fields registered;

d) Register, declare, and pay taxes in accordance with the law.

VII. IMPLEMENTATION ORGANIZATION

1. The Office of Registration of Scientific and Technological Activities of the Ministry of Science and Technology is responsible for processing applications for registration of scientific and technological activities for organizations under the Ministry's jurisdiction for issuing Scientific and Technological Activities Registration Certificates; guiding and inspecting the issuance of Scientific and Technological Activities Registration Certificates by provincial Departments of Science and Technology.

2. Provincial Departments of Science and Technology under the Central Government are responsible for organizing implementation and reporting to the Ministry of Science and Technology every six months (in June and December each year), and submitting special reports as required by the Ministry on the situation of registration of scientific and technological activities in their locality, accompanied by certified copies of the Scientific and Technological Activities Registration Certificates of organizations issued by the Department.

3. This Circular takes effect fifteen days after its publication in the Official Gazette. During implementation, if there are any difficulties, please promptly reflect them in writing to the Ministry of Science and Technology for consideration and resolution./.
