ON THE TRANSFORMATION OF THE SAIGON TRANSPORT SERVICE COMPANY INTO A JOINT STOCK COMPANY

PRIME MINISTER

Pursuant to the Government Organization Law dated September 30, 1992;

Pursuant to Decree No. 44/1998/NĐ-CP dated June 29, 1998 of the Government on the conversion of state-owned enterprises into joint-stock companies;

At the proposal of the Minister of Transport,

DECISION:

Article 1. Approves the plan for the transformation of state-owned enterprises: The Saigon Transport Service Company, based on the proposal in Document No. 2584/BGTVT dated August 7, 2000, and Document No. 344/BGTVT dated February 14, 2000, from the Minister of Transport:

1. The Charter Capital of the Joint Stock Company: 30,000,000,000 VND.

Wherein:

- State Shareholding Ratio: 37% of the Charter Capital;

- Shareholding Ratio sold to employees within the enterprise: 33% of the Charter Capital;

- Shareholding Ratio sold to entities outside the enterprise: 10% of the Charter Capital;

- Shareholding Ratio sold to foreign investors: 20% of the Charter Capital.

2. The actual value of the company as of July 1, 1999, for the purpose of transformation into a joint stock company is 21,141,180,595 VND, including the actual value of the state capital at the enterprise being 12,614,744,199 VND.

3. Employee benefits:

Total number of shares offered at a preferential price to employees: 30,410 shares; the total preferential value: 912,300,000 VND.

4. Training and retraining for employees: 200,000,000 VND.

Article 2. Transform the Saigon Transport Service Company under the Ministry of Transport into a Joint Stock Company:

Full name in Vietnamese:

SAIGON TRANSPORT SERVICE JOINT STOCK COMPANY.

- International trade name:

SAIGON TRANSPORT AGENCY JOINT STOCK COMPANY.

- Abbreviation: Tranaco

- Main office: No. 19-21-23 Pham Viet Chan Street, Nguyen Cu Trinh Ward, District 1, Ho Chi Minh City.

Article 3. The Saigon Transport Service Joint Stock Company operates in the following industries:

- Transportation, loading and unloading of general goods, oversized and overweight goods, containers, and transit for Laos and Cambodia;

- Transportation and cargo handling services both domestically and internationally;

- Maritime agency and brokerage services;

- Port and warehouse business;

- Import and export of goods;

- Export of labor;

- Tourism services, office rental;

- Mechanical repair and processing, other industrial products.

Article 4. The Saigon Transport Service Joint Stock Company

- Is a legal entity under Vietnamese law from the date of registration for business operations, implementing independent economic accounting, having its own seal, and opening bank accounts according to the law. Operates according to the Company's Articles of Association and the Enterprise Law.

- The General Director and Chief Accountant of the Saigon Transport Service Company are responsible for managing the business until the entire enterprise is handed over to the Board of Directors of the Saigon Transport Service Joint Stock Company.

Article 5. This Decision takes effect from the date of signing. Abolishes previous Decisions that conflict with this Decision. The Minister of Transport, the General Director of the Saigon Transport Service Company, and the Board of Directors of the Saigon Transport Service Joint Stock Company are responsible for implementing this Decision./.
