Approving the project to establish the Urban Infrastructure Investment and Development Corporation for pilot operation under the holding company-subcompany model, engaging in diversified business sectors with the main sector being urban infrastructure investment and development, contributing to effectively implementing the urban development plan until 2010 with consideration up to 2020 of Hanoi City.

Pursuant to the Law on Organization of the Government dated December 25, 2001;

Pursuant to the State Enterprise Law on April 20, 1995;

Pursuant to the Enterprise Law dated June 12, 1999;

Considering the proposal of the People's Committee of Hanoi City,

DECISION:

Article 1. 1. The holding company - Urban Infrastructure Investment and Development Corporation (UDIC) is a state-owned enterprise formed based on restructuring the Urban Infrastructure Investment and Development Company under the Hanoi Department of Construction.

- The management structure of the holding company includes: Board of Directors, Supervisory Board, General Director, Deputy General Directors, Chief Accountant, and supporting staff.

- The holding company is responsible for inheriting all legitimate rights and obligations of the previous Urban Infrastructure Investment and Development Company.

2. Subsidiaries are joint-stock companies in which the holding company holds controlling shares, including:

- Joint-stock Company Thinh Lieu Concrete and Construction,

- Joint-stock Company Dong Duong Construction and Production of Building Materials,

- Joint-stock Company Industrial Construction,

- Joint-stock Company Construction and Development of Infrastructure,

- Joint-stock Company Hanoi Industrial Production and Installation,

- Joint-stock Company Vinh Tuy Concrete and Construction,

- Joint-stock Company Dai La Building Materials and Construction,

- Joint-stock Company Phuc Thinh Building Materials and Construction,

- Joint-stock Company Hanoi Consulting and Design Construction,

- Joint-stock Company Electrical and Water Installation Construction,

- Joint-stock Company Installation and Equipment Business,

- Joint-stock Company Hong Ha Building Materials Import and Export,

- Joint-stock Company Construction Consulting,

- Joint-stock Company Urban Infrastructure Investment and Development,

- Joint-stock Company Hanoi Housing Construction No. 2,

- Joint-stock Company Viet-Tiep Lock,

- Joint-stock Company Civil Construction Hanoi,

3. Other companies with capital contributions from the holding company:

4. The Urban Infrastructure Investment and Development Corporation operates under the holding company-subcompany model, conducting accounting and investing capital in subsidiaries and other companies according to the Articles of Organization and Operation and Financial Regulations approved by competent state authorities.

Task assignment:

Article 2. 1. The Minister of Finance shall approve the financial regulations of the Urban Infrastructure Investment and Development Corporation based on the proposal of the People's Committee of Hanoi City.

2. The Chairman of the People's Committee of Hanoi City:

- Study the reduction of the number of small-scale subsidiaries operating in the same main business sector.

- Directs the implementation of the project; decides on the establishment of the holding company; and the subsidiaries mentioned in Article 1 of this Decision in accordance with current regulations.

The Chairman of the People's Committee of Hanoi City, Ministers of the Ministries of Finance, Planning and Investment, Home Affairs, Labor, Invalids and Social Affairs, Construction, Governor of the State Bank of Vietnam, and related agencies are responsible for implementing this Decision./.

- Proposes the Prime Minister to approve the Articles of Organization and Operation of the holding company.

Article 3. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.

The Chairman of the People's Committee of Hanoi City, the Ministers of Finance, Planning and Investment, Home Affairs, Labor - Invalids and Social Affairs, Construction, the Governor of the State Bank of Vietnam, and relevant agencies shall be responsible for implementing this Decision./.
