Regarding the conversion of the Northern, Central, and Southern Civil Aviation Airport Clusters into state-owned enterprises operating public services

to become a state-owned enterprise engaged in public service activities

PRIME MINISTER

Pursuant to the Government Organization Law dated September 30, 1992;

Pursuant to the State Enterprise Law on April 20, 1995;

Pursuant to Decree No. 56/CP dated October 2, 1996 of the Government on state-owned enterprises operating public services;

Considering the proposal of the Director of the Civil Aviation Administration of Vietnam;

DECISION:

Article 1. The Northern Civil Aviation Airport Cluster, the Central Civil Aviation Airport Cluster, and the Southern Civil Aviation Airport Cluster shall be converted from revenue-generating public service units into state-owned enterprises operating public services under the Civil Aviation Administration of Vietnam, named respectively as the Northern Civil Aviation Region Cluster, the Central Civil Aviation Region Cluster, and the Southern Civil Aviation Region Cluster (referred to collectively as the Civil Aviation Region Clusters).

Article 2. The Civil Aviation Region Clusters shall have legal personality; they shall have their own seals and separate bank accounts; they shall enjoy civil rights and obligations as prescribed by law; they shall bear full responsibility for all activities and business operations within the scope of capital under their management.

The Northern Civil Aviation Region Cluster shall have the international trading name of Northern Airports Authority (NAA); its main office shall be located at Noi Bai International Airport, Hanoi City; its charter capital at the time of conversion into a state-owned enterprise is VND 520,077 million.

The Central Civil Aviation Region Cluster shall have the international trading name of Middle Airports Authority (MAA); its main office shall be located at Da Nang International Airport, Da Nang City; its charter capital at the time of conversion into a state-owned enterprise is VND 509,259 million.

The Southern Civil Aviation Region Cluster shall have the international trading name of Southern Airports Authority (SAA); its main office shall be located at Tan Son Nhat International Airport, Ho Chi Minh City; its charter capital at the time of conversion into a state-owned enterprise is VND 522,652 million.

Article 3. The Civil Aviation Region Clusters shall perform the following primary tasks:

1. Managing and operating regional airports, providing air services and other public services to ensure the safe and efficient operation of flights by airlines;

2. Being authorized by the Director of the Civil Aviation Administration of Vietnam to carry out certain state management tasks directly related to the operation of airport clusters;

3. Safeguarding, developing, and using effectively the capital, land, and other resources allocated by the State in accordance with laws and State policies;

4. Organizing and managing research, application of scientific and technological advancements, and training and development of staff belonging to the Civil Aviation Region Clusters.

Article 4. The Director of the Civil Aviation Administration of Vietnam shall submit to the Prime Minister for issuance of regulations on coordination between the Civil Aviation Region Clusters and national defense and related sectors; based on the Law on State-Owned Enterprises and current regulations, approve the Charter of Organization and Operation, appoint Directors, Deputy Directors, and Chief Accountants of the Civil Aviation Region Clusters, and direct the implementation of subsequent procedures as stipulated in Decree No. 50/CP dated August 28, 1996 of the Government on the establishment, restructuring, and bankruptcy of state-owned enterprises.

Article 5. This Decision takes effect from the date of signing. All previous provisions contrary to this Decision are abolished.

The Ministers, Heads of ministerial-level agencies, Heads of agencies attached to the Government, Chairpersons of People's Committees of provinces and centrally governed cities, and the Director of the Civil Aviation Administration of Vietnam are responsible for implementing this Decision./.
