THE MINISTER OF THE MINISTRY OF HOME AFFAIRS
Pursuant to Decree No. 102/SL-L004 dated May 20, 1957 on the right to establish Associations;
Pursuant to the Government Decree No. 45/2003/NĐ-CP dated May 9, 2003 on the functions, tasks, powers, and organizational structure of the Ministry of Home Affairs;
Pursuant to the Government Decree No. 88/2003/NĐ-CP dated July 30, 2003 on the organization, operation, and management of associations;
Considering the proposal of the Chairman of the Vietnam Pediatric Orthopaedic Association and the Director of the Department of Non-Governmental Organizations,
DECISION:
Article 1. Approves the Charter of the Vietnam Pediatric Orthopaedic Association which was adopted at the First Term General Assembly on August 25, 2005.
Article 2. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.
Article 3. The Chairman of the Vietnam Pediatric Orthopaedic Association and the Director of the Department of Non-Governmental Organizations shall be responsible for implementing this Decision./.

NAME, AIMS AND OBJECTIVES
PART I
Name of the Association:
Article 1. Name
Vietnam Pediatric Orthopaedic Association English abbreviation:
International trade name: VPOA.
Article 2. Aims and Objectives The Vietnam Pediatric Orthopaedic Association is a voluntary professional social organization of doctors, graduates, and staff who are Vietnamese citizens engaged in research, teaching, and treating children with musculoskeletal diseases and deformities through orthopedic surgery and other treatment methods, aiming to care for, protect, and enhance the health of children, build the pediatric orthopedics specialty, and gradually modernize the Vietnamese medical system.
The Association operates under the principle of democratic centralism, voluntariness, self-management, and self-financing.
Article 3. Scope of Activities and Legal Status
The Vietnam Pediatric Orthopaedic Association operates throughout the country in accordance with the laws of the Socialist Republic of Vietnam and this Charter. Its activities are subject to state management by the Ministry of Health. The Association is a member of the Vietnam Medical and Pharmaceutical Association.
The Association has legal personality, its own seal and bank account, and operates in compliance with state laws.

1. Coordinate the activities of members in gathering, encouraging, and supporting pediatric orthopedic professionals to maintain and promote medical ethics traditions, foster camaraderie, improve professional expertise, intensify scientific research and teaching, disseminate medical knowledge to the public, thereby contributing to reducing mortality rates, disability rates, congenital malformations in children's locomotor systems; enhancing the quality of life and human resources to meet industrialization and modernization requirements, and building and defending the nation.
2. Participate in providing opinions on legal normative documents related to the Association's activities as stipulated by law. Propose policies and measures to state management agencies concerning the field of pediatric orthopedics to facilitate the development of the pediatric orthopedics specialty in Vietnam.
Chapter II
TASKS AND POWERS OF THE ASSOCIATION
Article 4. Tasks of the Association
3. Represent members in internal and external relations relevant to the Association's functions and responsibilities. Exchange experiences with related specialty associations and pediatric associations both domestically and internationally as prescribed by law.
4. Advise competent authorities on the direction of pediatric orthopedics development. Critically review and provide social appraisal for state and societal projects, works, and research topics related to pediatric orthopedics.
5. Protect the honor, rights, and legitimate interests of members in accordance with current laws.

Article 5. Powers of the Association
1. Representing member organizations and members in activities related to the objectives, purposes, and tasks of the Association.
2. Implementing research topics, supporting members in conducting scientific research activities, participating in evaluating scientific research works in the field of pediatric reconstructive surgery when requested.
3. Organizing training sessions, enhancing knowledge and improving professional expertise, providing information on pediatric reconstructive surgery for members.
4. Publishing books and journals of the Association in accordance with the provisions of the law.
5. Joining the World Association of Pediatric Reconstructive Surgery Societies and establishing relationships with international pediatric reconstructive surgery societies within the region in compliance with Vietnamese laws and international laws.
Chapter III
ORGANIZATIONAL STRUCTURE OF THE ASSOCIATION
Article 6. The organizational structure of the Association includes:
1. The National Congress of Delegates;
2. Executive Board, Standing Committee;
3. President, Vice Presidents of the Association;
4. Office;
5. Units under the Association: Central Branch of Pediatric Reconstructive Surgery; Local Branches of Pediatric Reconstructive Surgery; Specialized Branches of Pediatric Reconstructive Surgery: microsurgery, hand, upper limb, lower limb, foot.
Article 7. The highest leading body of the Vietnam Association of Pediatric Reconstructive Surgery is the National Congress of Delegates.
The National Congress of Delegates convenes once every five years.
An extraordinary session of the National Congress of Delegates may be convened if at least half of the Executive Board members or two-thirds of the members request it, with the number of delegates determined by the Executive Board.
The National Congress of Delegates elects the Executive Board of the Vietnam Association of Pediatric Reconstructive Surgery. The number of Executive Board members is determined by the National Congress.
Article 8. The Executive Board has the following duties and powers:
1. Implementing the action program of the National Congress of Delegates.
2. Conducting democratic consultations to elect the Standing Committee (President, Vice Presidents, General Secretary, Deputy General Secretaries, some members), appointing, nominating, replacing, and dismissing these positions.
3. Deciding on the recognition of membership and withdrawal from membership.
4. Providing opinions and recommendations to competent authorities regarding issues related to the protection, care, and rights of children.
5. Deciding on the plan to prepare for the next term's National Congress of Delegates.
Article 9. The Executive Board elects the Standing Committee to assist the Executive Board in carrying out the Association's regular work.
1. The Standing Committee consists of: President, Vice Presidents, General Secretary, Deputy General Secretaries, and some members; the number of standing members shall not exceed one-third of the total number of Executive Board members.
2. Depending on work requirements, the Standing Committee may establish specialized committees: Organization and External Relations Committee, Inspection Committee, Science and Technology Promotion and Publication Committee, Economic and Financial Committee. Each committee is headed by a standing member.
3. The Standing Committee has the following duties and powers:
a) Assisting the Executive Board in carrying out the Association's regular work.
b) Depending on work requirements, the Standing Committee establishes specialized committees based on the direction and tasks of the Association according to the spirit of the National Congress of Delegates.
4. The Association has an office located at the Central Children's Hospital in Hanoi, managed by the President of the Association.
5. The Association has its own journal: Vietnam Journal of Pediatric Reconstructive Surgery. Publication must comply with the relevant state laws.
Article 10.
1. The Branch of Pediatric Reconstructive Surgery is a member of the Vietnam Association of Pediatric Reconstructive Surgery and must have at least twenty-one members to be established and recognized by the Executive Board of the Association. The term of the Branch Executive Board is two and a half years.
2. The Branch Executive Board is elected by the Branch Congress of Delegates or the General Meeting of Members of the Branch and recognized by the Executive Board of the Association. The number of Branch Executive Board members is ten percent of the total number of members. The Branch Executive Board elects the Standing Committee consisting of: President, Vice Presidents, one to two Secretaries. The number of Standing Committee members shall not exceed one-third of the total number of Branch Executive Board members. A Branch Executive Board with fewer than seven members does not elect Standing Committee members.
3. Branches have the following duties and benefits: organizing professional experience exchanges for members within their local area (province or city). Participating in Association activities, respecting and implementing the Charter of the Association, being subject to state management according to current laws.
4. The Association's Executive Board and Branch Executive Boards meet once a year. In addition, when necessary, the Association's Standing Committee and Branches may convene extraordinary meetings earlier or later than scheduled and must notify all Executive Board members of the reasons.
5. Relationships between Branches are cooperative, equal, sincere solidarity, mutual respect, coordinating unified actions to fulfill the common tasks of the Association and the tasks of each member.
Chapter IV
MEMBERS
Article 11. Membership Standards
Vietnamese citizens who voluntarily join and operate within a grassroots organization of the Association and meet the following criteria and conditions may be recognized as members:
1. Being a practicing or retired senior or mid-level doctor or scientific and technical officer working in state or private sector positions within the country, specializing in orthopedic treatment for children with musculoskeletal diseases and deformities, and submitting a voluntary application to join the association.
2. Individuals who have made significant contributions to pediatric orthopedic research and technology, and submit a voluntary application to join the association. In this case, two members must recommend them, and their application must be accepted by the Executive Board of the association.
Article 12. Responsibilities of Members
1. Adhering to the Charter of the Association, strictly implementing directives and resolutions of the Executive Board, national laws, fostering unity within the pediatric orthopedic field and the medical profession generally, contributing to building a strong national medical foundation.
2. Actively studying to enhance professional skills, cultivating medical ethics to continuously improve preventive care, treatment, and scientific research, contributing to the growth and development of the pediatric orthopedics field, worthy of Chairman Ho Chi Minh's teachings: "Doctors should be like kind mothers."
3. Participating in Association activities, fulfilling specific requirements set forth by the Association to build a stronger and more robust Association.
4. Paying membership fees as prescribed.
Article 13. Benefits of Members
1. Discussing, questioning, and criticizing the activities of the Executive Board; voting on all Association matters; nominating and electing candidates for the Executive Board at various levels of the Association.
2. Receiving training in medical ethics, professional skills, policies, and related legal regulations.
3. Presenting scientific research topics during Association scientific and technological events; having research works published in Association journals or recommended for publication in General Association journals; receiving Association comments on selected works to be recommended for awards by competent authorities.
4. Having the Association protect legitimate rights and interests in professional activities and authorship rights if infringed upon.
5. Receiving assistance and intervention from legal authorities when occupational risks occur.
6. Requesting withdrawal from the Association if deemed unable to continue meeting membership requirements.
Article 14. Procedures for Joining and Leaving the Association
1. Individuals wishing to participate in Association activities must voluntarily apply to join the Association when they meet membership criteria, which will then be reviewed and decided upon by the President upon recommendation by the Executive Board.
2. Members will be removed from the Association in the following cases: Violation of laws and the Association Charter, failure to comply with resolutions and decisions of the Executive Board, damaging the Association's reputation; Violation of professional ethics.
3. Members who wish to withdraw from Association activities may request removal from the Association.
4. The removal of a member is proposed by the Association Office, reviewed by the Executive Board, and decided upon by the President.
5. After the decision to remove a member is made, the Association Office has the responsibility to notify the removed member and publicly announce it according to the Association's regulations.
Chapter V
ASSETS AND FINANCES OF THE ASSOCIATION
Article 15. The financial resources of the Association include:
1. Membership fees, income from business service activities in accordance with the provisions of the law.
2. Legal sponsorship funds from organizations and individuals both within and outside the country in accordance with the provisions of the law.
3. The Association may establish a support fund for scientific and technological activities in accordance with the provisions of the law.
4. The financial resources of the Association shall be used in accordance with the regulations of the Executive Board of the Association and the guidance of the Ministry of Finance.
Article 16. Conditions for dissolution and settlement of assets and finances
1. For assets and finances sponsored by domestic and foreign organizations and supported by the State which the Association has fully fulfilled its obligations regarding assets and settled all debts, the remaining assets and financial balances shall be decided by the competent state authority.
2. For self-owned financial resources which the Association has fully fulfilled its obligations regarding assets and settled all debts after dissolution, the remaining assets and financial balances shall be decided by the dissolved Executive Board of the Association.
Chapter VI
REWARD AND VIOLATION HANDLING
Article 17. Awards
Branches and members who have outstanding achievements in association work shall be awarded by the decision of the Executive Board of the Association or recommended to state agencies for awards in accordance with the provisions of the law.
Article 18. Handling violations
1. Members of the Association who violate the Charter of the Association and harm the reputation of the Association shall be subject to disciplinary action by the decision of the Executive Board of the Association. Disciplinary measures include: reprimand, warning, or removal of membership status.
2. Branches that fail to report their activities to the Association for two years or more shall be subject to reprimand, warning, or removal of membership status depending on the severity of the violation.
3. Member branches that dissolve themselves or are dissolved, and members who are disciplined by the authorities and found not to meet the membership criteria shall not be recognized as members of the Association. The Executive Board of the branch examines and decides on disciplinary actions against members in its own branch and reports to the Executive Board of the Association.
Chapter VII
IMPLEMENTING PROVISIONS
Article 19. Only the National Congress of the Vietnam Pediatric Plastic Surgery Association has the right to amend and supplement the Charter of the Association. Any amendments or supplements must be recognized by the competent state authority.
Article 20. This Charter consists of 7 chapters and 20 articles, adopted by the National Congress of the Vietnam Pediatric Plastic Surgery Association on August 25, 2005. This Charter takes effect according to the approval decision of the Ministry of Home Affairs./.
