Pursuant to the Law on Organization of the Government dated December 25, 2001;

Based on Directive No. 01/2003/CT-TTg dated January 16, 2003 of the Government Chairman on continuing to promote the restructuring, modernization, development, and improvement of efficiency of state-owned enterprises;

Pursuant to Directive No. 01/2003/CT-TTg dated January 16, 2003 of the Prime Minister on continuing to intensify the restructuring, modernization, development, and improvement of efficiency of state-owned enterprises;

Considering the proposal of the Ministry of Health (document No. 11655/TTr-BYT dated December 31, 2002); the Ministry of Finance (document No. 2392 TC/TCNH dated March 18, 2003); the Ministry of Home Affairs (document No. 194/BNV-TCBC dated January 29, 2003);

the Ministry of Labor, Invalids and Social Affairs (document No. 254/LĐTBXH-CSLĐVL dated January 24, 2003); the Ministry of Planning and Investment (document No. 627 BKH/DN dated January 28, 2003); the Central Economic Commission (document No. 41-CV/KTTW dated January 30, 2003),

DECISION:

Article 1. Approves the overall plan for restructuring and modernizing state-owned enterprises under the Ministry of Health for the period 2003-2005 as attached hereto.

The Minister of Health shall direct the acceleration of the implementation of the pharmaceutical industry development strategy until 2010, pursuant to Decision No. 108/2002/QĐ-TTg of the Prime Minister; reorganize the distribution system, strengthen state management over drug prices and quality to meet people's health care needs; and promptly develop a project on antibiotic production and essential drugs for submission to the Prime Minister for consideration and decision.

Article 2. The Minister of Health shall be responsible for directing the restructuring and modernization of state-owned enterprises under the Ministry according to the approved content and schedule. Any adjustments or supplements must be approved by the Prime Minister.

Article 3. The Ministry of Finance, the Ministry of Planning and Investment, the Ministry of Home Affairs, the Ministry of Labor, Invalids and Social Affairs, and related agencies shall be responsible for coordinating with the Ministry of Health in implementing the Plan.

The Steering Committee for Enterprise Reform and Development shall be responsible for urging, guiding, and monitoring the implementation of this plan, and at the same time proposing solutions to overcome difficulties during the implementation process to the Prime Minister.

Article 4. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.

The Minister of Health and heads of related agencies shall be responsible for enforcing this Decision. /.

LIST OF STATE-OWNED ENTERPRISES UNDER THE MINISTRY OF HEALTH TO BE RESTRUCTURED AND MODERNIZED FOR THE PERIOD 2003-2005

I. ENTERPRISES IN WHICH THE STATE WILL CONTINUE TO HOLD 100% CAPITAL AND MAINTAIN THE CURRENT STAFFING UNTIL 2005, INCLUDING 11 ENTERPRISES:

- Central Pharmaceutical Company 1,

- Central Pharmaceutical Company 2,

- Central Pharmaceutical Company 3,

- Vaccine and Biological Products Company 1,

- Vaccine and Biological Products Company 2,

- Pharmaceutical Science Company,

- Central Pharmaceutical Factory 1,

- Medical Publishing House,

- Center for Cooperation with Foreign Experts and Health Capacity Building,

- Central Pharmaceutical Factory 25,

- Central Pharmaceutical Factory 5.

II. ENTERPRISES TO BE CONVERTED INTO JOINT-STOCK COMPANIES:

1. Enterprises where the State will hold controlling shares exceeding 50% of the total shares, including 04 enterprises:

a) To be implemented in 2003:

- Import-Export Medical Company I Hanoi,

- Central Herbal Medicine Company 1,

b) To be implemented in 2004:

- Import-Export Medical Company II,

- Central Pharmaceutical Factory 2.

2. Enterprises where the State will hold the minimum share of 51% of the registered capital when selling shares for the first time, including 04 enterprises:

a) To be implemented in 2003:

- Medical Equipment Factory,

- Central Medical Equipment Company 2.

b) To be implemented in 2005:

- Central Medical Equipment Company 1,

- Medical Plastic Company.

3. Enterprises where the State will hold less than 50% of the registered capital or not hold any shares, including 05 enterprises:

a) To be implemented in 2003:

- Central Pharmaceutical Factory 3,

- Hue Pharmaceutical Company,

- Chemical Pharmaceutical Factory.

b) To be implemented in 2004:

Medical Construction Company.

c) To be implemented in 2005:

Central Medical Equipment Company 3.

III. STATE CORPORATION:

Dissolve the Vietnam Medical Equipment Corporation after completing the ownership conversion of its member enterprises. /
