Pursuant to Decree No. 50/CP dated August 28, 1996 of the Government on the establishment, restructuring, dissolution, and bankruptcy of state-owned enterprises and Decree No. 38/CP dated April 28, 1997 of the Government amending and supplementing certain articles of Decree No. 50/CP;

Considering the proposal of the Board of Directors of Vietnam Livestock Corporation and the Director of the Cadre and Civil Servant Affairs Department;

To merge the Tam Dao Foreign Pig Breeding Enterprise, An Khanh Livestock Breeding Enterprise, and An Khanh Animal Feed Enterprise into My Van Livestock Breeding Enterprise in their entirety (including tasks, land, assets, labor, capital...) and rename My Van Livestock Breeding Enterprise to Northern Pig Breeding Company

DECISION:

Article 1. The capital and business operations of the Company shall be the combined capital and business operations of the three enterprises.

The headquarters of the Northern Pig Breeding Company shall be located in Chi Phung Kien Commune, My Hao District, Hung Yen Province

The Northern Pig Breeding Company is a state-owned enterprise operating for public benefit and is an independent accounting unit under Vietnam Livestock Corporation, having legal personality, using its own seal, and opening transaction accounts at banks.

After the merger, the Tam Dao Foreign Pig Breeding Enterprise, An Khanh Livestock Breeding Enterprise, and An Khanh Animal Feed Enterprise shall become dependent accounting units of the Northern Pig Breeding Company, opening transaction accounts at banks, and using seals of dependent state-owned enterprises.

The Board of Directors and General Director of Vietnam Livestock Corporation are responsible for organizing and directing the merger in accordance with current national regulations.

Article 2. The Director of the Northern Pig Breeding Company must complete all procedures to change the name of the enterprise, re-register capital, business operations, and conduct business activities in accordance with the law.

This decision takes effect fifteen days from the date of signature. The Head of the Ministry's Office, the Director of the Cadre and Civil Servant Affairs Department, the Heads of related units, the Board of Directors and General Director of Vietnam Livestock Corporation, and the Directors of the enterprises mentioned in Article 1 of this Decision are responsible for implementing this decision./.

The Director of the Northern Pig Breeding Company must complete all procedures to change the company name, re-register capital, business fields, and business operations in accordance with the law.

Article 3. This Decision takes effect fifteen days from the date of signing. The Head of the Ministry's Office, the Department Heads of the Cadre and Civil Servant Organization Department, the Heads of relevant units, the Board of Directors and General Director of the Vietnam Livestock Corporation, and the Directors of enterprises mentioned in Article 1 of this Decision are responsible for implementing this Decision./.
