DECISION OF THE MINISTER OF HOME AFFAIRS

Regarding the approval of the amended Charter

of the Vietnam Titan Association

THE MINISTER OF THE MINISTRY OF HOME AFFAIRS

- Pursuant to Decree No. 102/SL-L004 dated May 20, 1957 on the right to establish associations,

- Pursuant to Decree No. 181/CP dated November 9, 1994 of the Government on the functions, tasks, powers, and organizational structure of the Civil Service Committee under the Government (now the Ministry of Home Affairs),

- Pursuant to Decree No. 86/2002/NĐ-CP dated November 5, 2002 of the Government on the functions, tasks, powers, and organizational structure of ministries and ministerial-level agencies;

- Considering the proposal of the Chairman of the Vietnam Titan Association and the Director of the Department for Non-Governmental Organizations;

DECISION:

Article 1. Approves the Charter of the Vietnam Titan Association which was adopted at the Fourth National Congress on August 29, 2002.

Article 2. The Chairman of the Vietnam Titan Association and the Director of the Department for Non-Governmental Organizations shall be responsible for implementing this Decision.

 

 

CHARTER

(Amended during the Fourth Term Congress in August 2002)

PREAMBLE

Our country has a considerable amount of beach ilmenite deposits. The industry of titanium mining and processing in Vietnam has made significant progress, with production capacity growing rapidly, technology and equipment gradually modernizing, with domestically developed technology and equipment still occupying a primary position, and markets and customers becoming more stable.

In its twelve years of operation, the Titanium Association has received attention, guidance, and support from central and local management levels. The Association has been consolidated and developed, affirming itself as a positive factor in the Vietnamese ilmenite industry.

PART I
Name of the Association:

Article 1: The Association is named theVietnam Titanium Association

Article 2:The Vietnam Titanium Association is a voluntary non-governmental organization of units engaged in scientific research, production, and business of titanium products.

The purpose of the Association is to link, cooperate, and support each other economically and technically in research, production, business, services, enhance product value; represent and protect the legitimate interests of members; contribute to creating additional jobs and improving the living standards of workers.

Article 3: The Vietnam Titanium Association has legal personality, its own seal, and separate accounts.

The main office is located in Hanoi City, the Association has representative offices both domestically and internationally according to the law.

Article 4. The Vietnam Titanium Association operates nationwide, subject to the management of the Ministry of Industry in research, production, business, service activities related to titanium, in accordance with the laws of the Socialist Republic of Vietnam and this Charter.

PART II
TASKS AND POWERS OF THE ASSOCIATION

Article 5:Duties and powers of the Association:

1. To disseminate and educate members about the Party's and State's policies on building and developing the titanium industry across all economic sectors, ensuring environmental hygiene from titanium production activities, protecting labor safety.

2. To represent members in making proposals to the State regarding policies, measures to encourage and assist in developing the titanium industry, protecting the legitimate rights and interests of members, resolving cases and incidents causing damage to the industry and members' rights and interests; fulfill obligations towards the State.

3. To motivate and utilize the enthusiasm and creative labor of members; cooperate and support each other economically and technically in research, production, business, service activities related to titanium based on exchanging experiences, promoting and applying new scientific and technological achievements; unite to help each other in difficult living conditions.

4. To provide advisory support to organizations and individuals within the Association in the process of reorganizing and restructuring professions.

5. Organizing conferences and seminars to exchange professional experiences, encouraging cooperation and collaboration among members to coexist and develop. Promoting trade between enterprises and members and among members and economic organizations.

6. To build and develop the Association and membership, establish material foundations, and expand the scope of the Association.

To build and develop international relations with individuals and organizations in Southeast Asia and around the world in accordance with the law.

CHAPTER III
MEMBERS

Article 6:Members

1/ Regular Members: Vietnamese legal entities operating in fields such as production, business, research, consumption... of titanium who agree with the Charter of the Association, voluntarily submit applications to join the Association, pay admission fees and membership dues can become formal members of the Association.

2/ Associated Members: Organizations and individuals related to titanium production, business, processing, consumption, service, and foreign-invested production and business organizations... who agree with the Charter of the Association and submit applications can become associated members of the Association.

3/ Honorary Members: Citizens, scientific and technical managers, and legal entities who have contributed to the development of the industry generally and the Association specifically may be invited by the Association to become honorary members.

Article 7: Procedures for terminating membership rights:

1/ Members voluntarily requesting to withdraw from the Association must submit a letter to the Executive Board of the Association.

2/ Members will be expelled from the Association in cases of serious violation of the Charter of the Association, affecting the reputation, credibility, and finances of the Association.

3/ Being suspended from operation by state authorities, dissolved, or declared bankrupt.

The rights and obligations of members cease after the Association's Executive Board issues a notice.

The Executive Board of the Association will notify all members of those who request to withdraw from the Association, those who are expelled, and those whose names are removed.

Article 8: Rights of members:

1/ To participate in the General Assembly, elect representatives to attend the General Assembly of the Association.

2/ To discuss, vote, question, criticize all activities of the Association; to make suggestions and express opinions to state agencies through the Association.

3/ To run for election, nominate, and be elected to the Executive Board of the Association and other positions within the Association.

4/ To receive information dissemination on production experience, vocational training, and improvement of scientific and technical knowledge by means such as providing information and materials, attending seminars, training courses, technical demonstrations, technology transfer, domestic and international field trips.

5/ To receive assistance and support from the Association in their individual research projects, inventions, and protection of their rights and policies in production and product consumption in accordance with state laws.

6/ To receive assistance and introduction by the Association to entities both within and outside the industry for production contracts, technical consultancy...

7/ To have the right to leave the Association.

8/ Associated members and honorary members enjoy the same rights as regular members, except for the rights to run for election, vote, and participate in voting.

Article 9: Obligations of members:

1. Strictly comply with the state's policies, laws, and regulations stipulated in this Charter; implement resolutions of the Association; promote the recruitment of new members.

2. Participate in the activities and life of the Association; unite and cooperate with other members to build a stronger organization.

3. Provide necessary information and data to serve the activities of the Association.

4. Pay membership fees and dues in full as prescribed.

PART IV
ORGANIZATION OF THE ASSOCIATION

Article 10:The Titan Vietnam Association is organized and operates based on the principles of voluntarism, self-management, financial self-sufficiency, and equality among all members.

Article 11: Organization of the Association includes:

- The General Assembly of all members

- The Executive Board of the Association

- The Standing Board of the Association

- Inspection Board

Article 12: National Congress of the Titan Vietnam Association:

1/ The National Congress of the Titan Vietnam Association is the highest authority of the Association. The Congress is held every four years.

2/ Main tasks of the Congress:

- Discussing reports on the summary of the term and the new direction of the Association's activities;

- Deciding on the direction and program of the Association's work;

- Deciding to amend and supplement the Charter of the Association;

- Discussing and deciding on important issues of the Association that exceed the decision-making authority of the Executive Board of the Association;

- Discussing, approving the final accounts and adopting the new financial plan;

- Elects the Executive Board of the Association;

3/ An extraordinary Congress may be convened to address urgent issues of the Association upon the proposal of two-thirds of the Executive Board members or more than half of the members requesting it.

4/ Resolutions of the Congress are adopted according to the principle of majority rule.

Article 13: Executive Board of the Association:

1. The Executive Board of the Association is the leading body of the Association between Congresses. The number of Executive Board members is determined by the Congress and elected directly by secret ballot or show of hands. The candidate must receive more than 50% of valid votes.

Members of the Executive Board can be re-elected or relieved of their duties before the term ends at the discretion of the Congress or upon the request of more than half of the members.

The term of office of the Executive Board of the Association is four years, operating under regulations approved by the Congress.

2. The Executive Board of the Association convenes regularly once a year.

3. Duties and powers of the Executive Board:

Deciding on measures to implement resolutions and the term program of activities of the Congress.

Decides on the annual work program and plan and reports the results of the Executive Board's activities to the members.

- Approve the annual budget plan and final accounts.

- Specifies the organization and operation of specialized committees, the Association's office, and representative offices in various regions; Establishes principles, systems, usage, and management of the Association's assets and finances.

- Electing and dismissing leadership positions of the Association: President, Vice-President, and General Secretary.

- Appoint heads of specialized committees and representatives of the Association in various regions.

- Preparing content, agenda, and documents to submit to the Congress.

- Deciding to convene the next term Congress or the annual delegates' meeting.

- Considering membership applications and expelling members.

Article 14: Standing Board:

1. The Standing Board is elected by the Association's Executive Committee and consists of the Chairman, Vice Chairmen, Secretary General, and some members. The number of members is decided by the Association's Executive Committee.

2. The Standing Board represents the Executive Committee to direct and manage the Association's activities between two meetings and must report on their work at each meeting of the Executive Committee.

3. The Standing Board operates according to the Charter approved by the Association's Executive Committee.

4. The Standing Board convenes once every four months.

Article 15: Chairman and Vice Chairmen:

1/ The Chairman of the Association has the authority and responsibility:

- Representing the Association before the law.

- Organize and implement Congress resolutions, Representative Meeting resolutions, and Executive Board decisions.

- To convene and chair meetings of the Association's Executive Committee.

- To approve personnel for the Association's office.

- Be responsible to the Executive Board and all members for the activities of the Association.

2/ The Vice Chairmen of the Association assist the Chairman, assigned specific tasks by the Chairman, and one Vice Chairman may be authorized to manage the Executive Committee's work when the Chairman is absent.

Article 16: Secretary General of the Association:

- Directly manages all activities of the Association's Office.

- Draft operational regulations of the Office and financial management regulations of the Association for approval by the Executive Board.

- Regularly reports to the Standing Board and the Executive Committee on the Association's activities.

- Prepares annual reports and term reports of the Association's Executive Committee.

- Manage member lists, files, and documentation.

- Is responsible before the Association's Executive Committee and under the law for the activities of the Association's office.

Article 17: Association Office.

1/The Association Office is organized and operates according to the Charter submitted by the Secretary General for approval by the Association's Executive Committee.

2/ Staff of the Association Office are hired and work under fixed-term contracts.

3/ Operating funds of the Office are budgeted by the Secretary General and submitted for approval by the Association's Executive Committee.

Article 18: Inspection Board:

1/ The Inspection Board is directly elected by the General Assembly of the Association. The number of Inspection Board members is decided by the General Assembly.

2/ The Inspection Board operates according to the Charter approved by the General Assembly.

CHAPTER V
FINANCE AND ASSETS OF THE ASSOCIATION

Article 19: Revenue of the Association:

- Membership fees

- Membership fees contributed by members in accordance with regulations.

- Sponsorship from domestic and foreign organizations and individuals in accordance with legal provisions.

- Other lawful revenues.

Article 20: Expenditures of the Association.

Expenditures are made according to the Association's financial regulations, such as paying salaries to staff, compensating collaborators, infrastructure, communication, charity, and other reasonable expenditures approved by the Standing Board of the Association.

Article 21: Management and Use of Finance and Assets.

1/ The Association's Executive Committee stipulates the management and use of the Association's finance and assets in accordance with state regulations.

2/ The Inspection Board is responsible for inspecting and reporting annually on finances and public assets to members.

Chapter VI
REWARD AND DISCIPLINE

Article 22: Awards.

Members, members of the Association's Executive Committee, Standing Board, Inspection Board, officers, and staff of the Association who have outstanding achievements contributing to the development of the titanium industry and the construction of the Association will be appropriately rewarded by the Association and may be recommended by the Association to relevant state agencies for awards.

Article 23: Disciplinary Measures.

Members, members of the Association's Executive Committee, Standing Board, Inspection Board, officers, and staff of the Association who act contrary to the Charter, Resolutions of the Association, damage the reputation and honor of the Association, frequently miss regular meetings without valid reasons, or fail to pay membership fees for one year, will be criticized, reprimanded, warned, or removed from the membership list depending on the severity, or referred to competent state authorities for handling violations according to the law.

Chapter VII
IMPLEMENTING PROVISIONS

Article 24: Any amendment or supplement to the Charter must be unanimously proposed by the National Congress of the Vietnam Titanium Association and approved by the competent state authority to take effect.

Article 25: This Charter was unanimously adopted by the Fourth Term General Congress of the Vietnam Titanium Association on August 29, 2002, and took effect from the date it was approved by the Ministry of Home Affairs. This Charter will cease to be effective when the Association ceases operations or is dissolved./.
