Regarding the transfer of Kien Giang Import-Export Companyunder the Southern Foodstuff Corporationbecome a joint stock company with single member responsibility

PRIME MINISTER

Pursuant to the Law on Organization of the Government dated December 25, 2001;

Pursuant to the State Enterprise Law dated November 26, 2003;

Pursuant to Decree No. 63/2001/NĐ-CP dated September 14, 2001;

Considering the proposal of the Board of Directors of the Southern Foodstuff Corporation.

DECISION:

Article 1. Transfer the Kien Giang Import-Export Company, an independent accounting member enterprise under the Southern Foodstuff Corporation, into a Limited Liability Company for Import-Export Kien Giang.

The Limited Liability Company for Import-Export Kien Giang shall have its own seal, be entitled to open accounts at domestic and foreign banks in accordance with the law, and operate in accordance with the Company's Articles of Association and the Enterprise Law.

- Full name: Limited Liability Company for Import-Export Kien Giang.

- International trade name: KIEN GIANG IMPORT&EXPORT CO., LTD.

- Abbreviation: KIGIMEX

- Registered capital: 20,000,000,000 VND (twenty billion VND).

- Head office: No. 174 Ngo Quyen Street, Rach Gia City, Kien Giang Province.

Article 2. Main business activities of the company: trading in foodstuffs, agricultural products, aquatic products, materials, fuel oil, services, and other businesses as prescribed by law.

Article 3. Organization and operation:

1. The organizational structure of the company follows the model of Chairman and General Director.

2. The organization and operation of the company are specifically regulated in the Company's Charter.

Article 4. The State body authorized to represent the owner:

Board of Directors of the Southern Foodstuff Corporation.

The Board of Directors of the Southern Foodstuff Corporation is responsible for exercising the rights of the owner of the capital according to current regulations and the Company's Articles of Association.

Article 5. The Limited Liability Company for Import-Export Kien Giang is responsible for receiving and using effectively the capital and assets transferred by the Board of Directors of the Southern Foodstuff Corporation to fulfill production and business development tasks; inheriting all rights and obligations of the Kien Giang Import-Export Company.

Article 6. The Chairman of the Limited Liability Company for Import-Export Kien Giang is responsible for drafting the Organizational and Operational Regulations of the Company to submit to the Board of Directors of the Southern Foodstuff Corporation for approval; appointing the General Director, Deputy General Directors, and Chief Accountant of the company in accordance with current laws.

Article 7. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.

The Board of Directors of the Southern Foodstuff Corporation, the General Director of the Kien Giang Import-Export Company, and the Chairman of the Limited Liability Company for Import-Export Kien Giang are responsible for implementing this Decision./.
