CIRCULAR

REGULATIONS ON SERVICE FEES IN THE SECURITIES FIELD APPLICABLE AT THE HO CHI MINH CITY SECURITIES EXCHANGE AND VIETNAM SECURITIES DEPOSITORY

The Government issues this Decree amending and supplementing Clause 2, Article 12 of Decree No. 91/2015/NĐ-CP dated October 13, 2015 of the Government on state capital investment in enterprises and management and use of capital and assets in enterprises, which has been amended and supplemented at Clause 5, Article 1 of Decree No. 32/2018/NĐ-CP dated March 8, 2018 of the Government amending and supplementing some articles of Decree No. 91/2015/NĐ-CP.

Pursuant to the Law on Fees and Charges dated November 25, 2015;

Pursuant to the Law on Prices dated June 20, 2012;

Pursuant to the Law on Public Debt Management dated November 23, 2017;

Pursuant to Decree No. 177/2013/ND-CP dated November 14, 2013, and Decree No. 149/2016/ND-CP dated November 11, 2016 of the Government amending and supplementing certain articles of Decree No. 177/2013/ND-CP dated November 14, 2013 of the Government detailing and guiding the implementation of certain provisions of the Law on Prices;

Pursuant to Decree No. 58/2012/ND-CP dated July 20, 2012, and Decree No. 60/2015/ND-CP dated June 26, 2015 of the Government amending and supplementing certain articles of Decree No. 58/2012/ND-CP dated July 20, 2012 detailing and guiding the implementation of certain provisions of the Securities Law and the Law Amending and Supplementing Certain Provisions of the Securities Law;

Pursuant to Decree No. 86/2016/ND-CP dated July 1, 2016 of the Government on conditions for investment and business in securities, and Decree No. 151/2018/ND-CP dated November 7, 2018 of the Government amending and supplementing certain decrees stipulating conditions for investment and business under the management of the Ministry of Finance;

Pursuant to Decree No. 42/2015/ND-CP dated May 5, 2017 of the Government on derivative securities and the derivative securities market;

Pursuant to Decree No. 91/2018/ND-CP dated June 26, 2018 of the Government on issuance and management of government guarantees;

Pursuant to Decree No. 93/2018/ND-CP dated June 30, 2018 of the Government on management of local government debt;

Pursuant to Decree No. 95/2018/NĐ-CP dated June 30, 2018 of the Government on the issuance, registration, registration custody, listing, and trading of government debt instruments on the securities market;

Pursuant to Decree No. 87/2017/NĐ-CP dated July 26, 2017, issued by the Government, stipulating the functions, tasks, powers, and organizational structure of the Ministry of Finance;

In accordance with the proposal of the Director of the Price Management Department and the Chairman of the State Securities Commission,

The Minister of Finance issues this Circular prescribing service fees in the securities field applicable at the Ho Chi Minh City Securities Exchange and Vietnam Securities Depository.

Article 1. Scope of Regulation

This Circular prescribes service fees in the securities field applicable at the Ho Chi Minh City Securities Exchange (hereinafter referred to as "Ho Chi Minh City Securities Exchange" or "SGDCK") and at the Vietnam Securities Depository (hereinafter referred to as "Vietnam Securities Depository" or "VSD") in accordance with the law.

Article 2. Applicability

1. Organizations providing services in the securities field as prescribed in this Circular include: Ho Chi Minh City Securities Exchange, Vietnam Securities Depository established and operating in Vietnam.

2. Individuals and organizations using the securities services provided by the service providers mentioned in Clause 1 of this Article include: trading members of the Ho Chi Minh City Securities Exchange (including derivatives trading members), members of the Vietnam Securities Depository (including depository members and clearing members); organizations registering for listing; listed organizations; fund management companies; issuers; organizations opening accounts directly at the Vietnam Securities Depository; individuals and organizations transferring ownership of securities outside the Ho Chi Minh City Securities Exchange's trading system; National Treasury; organizations issuing government-guaranteed bonds in accordance with the Public Debt Management Law; People's Committees of provinces and cities issuing local government bonds.

3. Other organizations and individuals related thereto.

Article 3. Service fees in the securities field applicable at the Ho Chi Minh City Securities Exchange and the Vietnam Securities Depository

1. Service fees in the securities field applicable at the Ho Chi Minh City Securities Exchange and the Vietnam Securities Depository are detailed in the Fee Schedule and Annex attached to this Circular.

2. Service fees in the securities field prescribed in this Circular are not subject to value-added tax in accordance with the Law on Value-Added Tax and any amendments or supplements thereto (if any).

3. For other services not specified in the Fee Schedule, the Ho Chi Minh City Securities Exchange and the Vietnam Securities Depository may set their own service fees in accordance with the actual provision of services and the laws on prices and related laws.

4. The Ho Chi Minh City Securities Exchange and the Vietnam Securities Depository must publicly display service fees, comply with the laws on prices, the laws on securities, and relevant guiding documents.

Article 4. Provisions on payment for service usage fees in the securities sector

1. In cases where an organization re-registers its trading member status at the Stock Exchange, it shall pay service usage fees for registering as a derivatives trading member, managing trading members, maintaining online connection services, and using terminal equipment as if it were a new member. registration as a new member.

In cases where an organization re-registers its trading member depositor clearing member status with VSD , it shall pay service usage fees for managing trading members deposit, clearing members, and registering as a clearing member as if it were a new member. registration as a new member.

2. In cases where trading members are suspended from trading by the Stock Exchange or their trading activities are halted or their online connections are terminated extending into the following year without being terminated as members , such trading members must still pay service usage fees for managing trading members, maintaining online connections, and using terminal equipment in the following year.

In cases where trading members deposit, clearing members are suspended from service provision by VSD for securities custody, clearing, and transaction settlement or temporarily halted from securities custody, clearing and transaction settlement services extending into the following year without being terminated as members , such custodiansor clearing member must still pay service usage fees for managing trading members deposit, clearing members in the following year.

3. In cases where the entity implements audit recommendations, inspections, or financial authorities' requests for activities under its management during the year, the entity must prepare a report on the implementation of audit recommendations, inspections, and financial authorities' requests in accordance with this Circular. Data implemented according to audit recommendations and inspection agencies' requests for projects using state budget investment funds reported according to the model specified in Circular No. 85/2017/TT-BTC dated August 15, 2017 of the Ministry of Finance regarding the final settlement of state budget investment fund usage according to annual fiscal years and other relevant documents shall not be consolidated into the reporting form specified in this Circular. Trading members who have been suspended from trading or had their trading activities halted or their online connections terminated to terminate their member status in that year do not need to pay service usage fees for managing trading members, maintaining online connections, and using terminal equipment in subsequent years. Custodians and clearing members who have been suspended from service provision for securities custody, clearing, and transaction settlement or temporarily halted from securities custody, clearing, and transaction settlement to terminate their member status

In case as custodians, clearing members do not need to pay service usage fees for managing trading members, maintaining online connections, and using terminal equipment in pay service usage fees for managing trading members 4. The service fee for market-making members shall be reduced by a maximum of up to 80% of the price specified in Point 4, Section I, Part A of the Fee Schedule and a maximum of up to 70% of the price specified in Point 3, Section I, Part B of the Fee Schedule after market-making members fulfill their market-making obligations as prescribed by law and specific conditions set by competent authorities. Article 5. Provisions on the time of collection, payment, and refund of service usage fees in the securities sector

1. For annual periodic charges from service prices stipulated in the Service Fee Schedule attached to this Circular, organizations and individuals using the services are responsible for paying the Stock Exchange, VSD before January 31 each year.

2. For monthly periodic charges from service prices stipulated in the Service Fee Schedule attached to this Circular, organizations and individuals using the services are responsible for paying the Stock Exchange,

VSD no later than the 15th day of the following month. no later than the 15th day of the following month.

3. For organizations newly registering as members of the Stock Exchange, VSD, and newly listing, they shall make payments for service usage fees for registering as derivatives trading members, managing trading members, managing listings, maintaining regular online connection services, using terminal equipment, registering as clearing members, managing custodian members, managing clearing members, within five (5) working days from the date the Stock Exchange issues the Decision approving member status, Decision approving listing, VSD issues the Certificate organize credit institutions, foreign bank branches are responsible for organizing the implementation of this Circular.of custodian member, clearing member.

Article 6. Management and use of revenue from providing services in the securities sector

1. Revenue from providing services, after fulfilling obligations to the state budget as prescribed by law, the remaining portion shall be managed and used by the Stock Exchange and VSD in accordance with the provisions of law.

2. Revenue of VSD from the service of transferring ownership of securities as stipulated at Point 17 (excluding Points 17.1c and 17.5) Part A Section II of the Fee Schedule issued together with this Circular shall be regulated by VSD for the Stock Exchange according to the agreement in the Service Provision Contract to ensure that the maximum amount transferred does not exceed 50% of the revenue received for cases of transferring ownership of listed or registered securities for trading on the Stock Exchange.

3.
