Decision No. 138/2000/QD-BNN/TCCB on converting the independent accounting system of Bac Son Tea Factory to a dependent accounting system under Vietnam Tea Corporation and merging Bac Son Tea Factory with Co Loa Material Transport Station into Co Loa Tea Processing and Agricultural Products Food Company

DECISION OF THE MINISTER

MINISTRY OF AGRICULTURE AND RURAL DEVELOPMENT

Regarding thetransfer of the independent accounting system of Bac Son Tea Factory to a dependent accounting system under Vietnam Tea Corporation and the merger of Bac Son Tea Factory with Cổ Loa Material Transport Station into Cổ Loa Tea Processing and Agricultural Products Company

THE MINISTER OF THE MINISTRY OF AGRICULTURE AND RURAL DEVELOPMENT

Pursuant to Decree No. 73/CP dated November 1, 1995 of the Government on the functions, tasks, powers, and organizational structure of the Ministry of Agriculture and Rural Development;

Pursuant to Decree No. 50/CP dated August 28, 1996 of the Government on the establishment, restructuring, dissolution, and bankruptcy of state-owned enterprises;

Pursuant to Decision No. 394/NN-TCCB/QĐ dated December 29, 1995 of the Minister of the Ministry of Agriculture and Rural Development on the establishment of Vietnam Tea Corporation;

Pursuant to Decision No. 215/NN-TCCB/QĐ dated July 12, 1990 of the Minister of the Ministry of Agriculture and Forestry (now the Ministry of Agriculture and Rural Development) on the relocation of the headquarters of Material Transport Station from Soc Son District to Co Loa Warehouse-Dong Anh-Hanoi;

Pursuant to Decision No. 118/1999-QĐ/BNN-TCCB dated August 16, 1999 of the Minister of the Ministry of Agriculture and Rural Development on the reorganization of Bac Son Tea Factory;

Considering the proposal of the Board of Directors of Vietnam Tea Corporation at Report No. 986/TTr-TCCB dated November 1, 2000 and the proposal of the Director of the Personnel and Organization Department,

DECISION: 

Article 1. -Now reorganize Bac Son Tea Factory (a member enterprise directly under Vietnam Tea Corporation) and Cổ Loa Material Transport Station as follows:

1/ Transfer the independent accounting system of Bac Son Tea Factory to a dependent accounting system under Vietnam Tea Corporation.

2/ Merge Bac Son Tea Factory, a unit under the dependent accounting system of Vietnam Tea Corporation, with Cổ Loa Material Transport Station to form Cổ Loa Tea Processing and Agricultural Products Company.

Article 2. -Cổ Loa Tea Processing and Agricultural Products Company has:

Main office located at: Viet Hung Commune - Dong Anh District - Hanoi City

Branch office: Bac Son Town - Phu Yen District - Thai Nguyen Province

The company is a member unit under the dependent accounting system of Vietnam Tea Corporation, entitled to use its own seal and open accounts at banks according to current regulations.

Article 3. -Cổ Loa Tea Processing and Agricultural Products Company is subject to comprehensive direction and direct management by Vietnam Tea Corporation; the company is authorized to enter into economic contracts, actively carry out production and business activities, financial operations, organization, and personnel matters within the scope of authority delegated or entrusted by Vietnam Tea Corporation.

The organizational structure, functions, tasks, powers, staffing, and business sectors of the company shall be determined by the Board of Directors and General Director of Vietnam Tea Corporation based on the production and business requirements of the company and within the permitted business sectors of Vietnam Tea Corporation, aiming for efficiency and simplicity. The General Director of Cổ Loa Tea Processing and Agricultural Products Company is responsible for drafting the Charter of the Company's Organization and Operations to submit to the General Director and Board of Directors of Vietnam Tea Corporation for approval in accordance with the Law on State-Owned Enterprises and the Charter of Vietnam Tea Corporation's Organization and Operations.

Article 4. -The Board of Directors and General Director of Vietnam Tea Corporation are responsible for organizing and strictly supervising the implementation of the transfer of the independent accounting system of Bac Son Tea Factory to a dependent accounting system under Vietnam Tea Corporation; subsequently, merging Bac Son Tea Factory with Cổ Loa Material Transport Station according to the content of Article 1 above, ensuring that the unit stabilizes quickly, operates efficiently, and reports the results to the Ministry.

The Departments of Personnel and Organization, Finance and Accounting, Planning and Planning have the responsibility to guide and inspect Vietnam Tea Corporation and the relevant units to organize and restructure the enterprise in accordance with this decision of the Ministry and current state regulations.

Article 5. -Vietnam Tea Corporation is responsible for directing the General Director of Cổ Loa Tea Processing and Agricultural Products Company to complete all necessary procedures for business registration after implementing the enterprise restructuring with competent authorities and operating in compliance with the law.

Article 6. -This decision takes effect fifteen days after the date of issuance.

Decision No. 118/1999-QĐ/BNN-TCCB dated August 16, 1999 of the Minister of the Ministry of Agriculture and Rural Development on the reorganization of Bac Son Tea Factory and Decision No. 215/NN-TCCB/QĐ dated July 12, 1990 of the Minister of the Ministry of Agriculture and Forestry (now the Ministry of Agriculture and Rural Development) on the relocation of the headquarters of Material Transport Station from Soc Son District to Co Loa Warehouse-Dong Anh-Hanoi are hereby repealed.

Article 7. -The Head of the Ministry's Office, the Director of the Personnel and Organization Department, the Heads of related functional agencies under the Ministry, the Board of Directors and General Director of Vietnam Tea Corporation, the Director of Bac Son Tea Factory, and the Manager of Cổ Loa Material Transport Station are responsible for implementing this decision./.
