Regarding the conversion of Central Pharmaceutical Enterprise 26 into a joint-stock company
PRIME MINISTER
Pursuant to the Law on Organization of the Government dated December 25, 2001;
Pursuant to Decree No. 44/1998/NĐ-CP dated June 29, 1998 of the Government on the conversion of state-owned enterprises into joint-stock companies;
Pursuant to the proposal of the Minister of Health (document No. 777/TTr-BYT dated January 29, 2002),
DECISION:
Article 1. Approves the plan for the shareholding reform of State-owned enterprise Central Pharmaceutical Enterprise 26 under Vietnam National Pharmaceutical Corporation - Ministry of Health as follows:
1. The charter capital of the Joint-Stock Company: 20,000,000,000 VND.
Wherein:
- State shareholding ratio: 29% of the charter capital;
- Shareholding ratio sold to employees within the enterprise: 51% of the charter capital;
- Shareholding ratio sold to other entities outside the enterprise: 20% of the charter capital;
2. The actual value of Central Pharmaceutical Enterprise 26 at the time of 00:00 on January 1, 2001 for the purpose of shareholding reform is: 40,103,840,000 VND, of which the actual value of the State's capital in the enterprise: 20,785,908,151 VND.
3. Employee benefits:
Total number of shares sold at preferential prices to employees within the enterprise: 60,865 shares; the preferential value provided by the State: 1,825,950,000 VND.
4. The Ministry of Health shall coordinate with the Ministry of Finance to develop a plan to handle the difference between the actual value of the State's capital in the enterprise and the charter capital of the Joint-Stock Company, ensuring compliance with current financial regulations.
Training and retraining costs for employees shall be implemented according to current regulations.
Article 2. Convert State-owned enterprise Central Pharmaceutical Enterprise 26 under Vietnam National Pharmaceutical Corporation - Ministry of Health into Joint-Stock Company OPC Pharmaceutical:

Article 3. Joint-Stock Company OPC Pharmaceutical operates in industries as prescribed by law.
Article 4. Joint-Stock Company OPC Pharmaceutical:
- Is a legal entity under Vietnamese law from the date of issuance of business registration, operating according to the business license, implementing independent economic accounting, having its own seal, and opening bank accounts as prescribed by law. Operating according to the Charter of the Joint-Stock Company and the Law on Enterprises.
- The General Director and Chief Accountant of Central Pharmaceutical Enterprise 26 are responsible for managing and operating the enterprise until the handover of the entire enterprise to the Board of Directors and General Director of Joint-Stock Company OPC Pharmaceutical.
Article 5. This Decision takes effect from March 1, 2002. Decisions contrary to this Decision are abolished. The Minister of Health, Chairman of the Board of Directors of Vietnam National Pharmaceutical Corporation, General Director of Central Pharmaceutical Enterprise 26, General Director of Joint-Stock Company OPC Pharmaceutical, and the Board of Directors of Joint-Stock Company OPC Pharmaceutical are responsible for implementing this Decision./.
