THE MINISTER OF INDUSTRY
Pursuant to Decree No. 55/2003/NĐ-CP dated May 28, 2003 of the Government stipulating the functions, tasks, powers, and organizational structure of the Ministry of Industry;
Pursuant to Decree No. 64/2002/NĐ-CP dated June 19, 2002 of the Government on the conversion of state-owned enterprises into joint-stock companies;
Considering the proposal of Saigon Beer - Wine - Beverage Corporation (Document No. 108/2004/CV-HĐQT dated November 22, 2004), the privatization plan for Saigon Beer - Soc Trang Brewery, and the appraisal report of the Enterprise Reform and Development Board on November 19, 2004;
At the proposal of the Enterprise Reform and Development Board and the Director of the Personnel and Organization Department,
DECISION:
Article 1. Approving the privatization plan for Saigon Beer - Soc Trang Brewery (a subsidiary of Saigon Beer - Wine - Beverage Corporation) including the following main points:
1. Capital structure:
The charter capital of the joint stock company is 55,000,000,000 VND (Fifty-five billion VND). Of which:
State share: 51.00%;
Share sold to employees of the brewery: 10.06%;
Share sold outside the enterprise: 38.94%.
The value of one share: 100,000 VND.
2. The actual value of Saigon Beer - Soc Trang Brewery at the valuation date of June 30, 2004 for privatization (Decision No. 2869/QĐ-TCKT dated November 1, 2004 of the Ministry of Industry) is 105,148,095,243 VND. Of which, the actual value of the state capital in the brewery is 54,648,378,430 VND.
3. Employee benefits.
A total of 14,810 preferential shares were sold to 162 employees of the brewery with a preferential value of 444,300,000 VND. Among them, 7,340 preferential shares were sold on credit to 36 poor employees, valued at 198,100,000 VND.
4. Regarding the privatization costs, retraining of employees, and surplus labor resolution, the brewery will process and report to Saigon Beer - Wine - Beverage Corporation and relevant state authorities for approval according to current regulations.
Article 2. Converting Saigon Beer - Soc Trang Brewery into Saigon Beer - Soc Trang Joint Stock Company,
International trade name: SAIGON - SOCTRANG BEER JOINT STOCK COMPANY, abbreviated name: SASOBECO;
Head office: No. 16 National Highway 1, Ward 2, Soc Trang City, Soc Trang Province.
Article 3. The joint stock company engages in the following business activities:
Producing and trading various types of beer, wine, alcohol, and beverages;
Trading and processing agricultural products for beer, alcohol, beverage production and export;
Producing and trading animal feed, poultry feed, and aquaculture feed;
Operating restaurants, hotels, and tourism;
Engaging in other businesses in accordance with the law.
Article 4. Saigon Beer - Soc Trang Joint Stock Company shall be a legal entity under Vietnamese law from the date of registration; it may use its own seal and open bank accounts in accordance with the law; organize and operate in accordance with the Articles of Association of the joint stock company and the Law on Enterprises.
Saigon Beer - Soc Trang Joint Stock Company is a subsidiary of Saigon Beer - Wine - Beverage Corporation organized and operated under the parent-subsidiary model.
Article 5. Saigon Beer - Wine - Beverage Corporation is responsible for directing Saigon Beer - Soc Trang Brewery to sell shares and organize the first shareholders' meeting of the joint stock company in accordance with current regulations.
The General Director and Chief Accountant of Saigon Beer - Wine - Beverage Corporation are responsible for managing the operations of the brewery until the transfer of all capital, assets, employees, and land to the Board of Directors and General Manager of the joint stock company.
Article 6. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.
The Head of the Ministry's Office, the Inspector General of the Ministry, the Heads of Departments and Bureaus under the Ministry, the Chairman of the Board of Directors, and the General Director of Saigon Beer - Wine - Beverage Corporation, the Director of Saigon Beer - Soc Trang Brewery, and the Chairman of the Board of Directors and General Manager of Saigon Beer - Soc Trang Joint Stock Company are responsible for implementing this Decision./.
