THE MINISTER OF INDUSTRY
Pursuant to the Government Decree No. 74/CP dated November 1, 1995 on the functions, tasks, powers, and organizational structure of the Ministry of Industry;
Pursuant to the Minutes of the Management Reform Board of the Ministry of Industry dated February 22, 2000 approving the plan for the conversion of the Hanoi Industrial and Civil Construction Enterprise under the Domestic Coal Company into Dong Anh Installation Joint Stock Company;
Pursuant to the Minutes of the Assessment dated March 31, 1999, of the Enterprise Management Reform Board of the Ministry of Industry on approving the plan to convert Ky Dong Hotel into Haiphong Commercial Joint Stock Company;
At the proposal of the Chairman of the Board of Directors of Vietnam Steel Corporation (Document No. 474/T-HĐQT dated March 25, 1999), the Enterprise Management Reform Board of the Ministry of Industry and the Director of the Organization and Cadre Affairs Department,
DECISION:
Article 1. Approve the privatization plan for Ky Dong Hotel (a subsidiary accounting unit of Haiphong Metal Company - an independent member enterprise of Vietnam Steel Corporation), including:
1) Capital structure:
- The charter capital of the joint stock company is 1,500,000,000 VND (one billion five hundred million VND), of which:
+ The proportion of shares sold to employees of Haiphong Metal Company: 68% of the charter capital,
+ The proportion of shares sold to external entities: 32% of the charter capital.
2. Value of the Hanoi Industrial and Civil Construction Enterprise (Decision No. 29/QĐ/BTC dated January 15, 2000 of the Minister of Finance approving the value of the Hanoi Industrial and Civil Construction Enterprise at 00:00 on October 1, 1999 for the purpose of conversion):
2) Value of Ky Dong Hotel (according to Decision No. 2077/1998/QĐ/HĐQT dated December 19, 1998 of Vietnam Steel Corporation on determining the value of Ky Dong Hotel at 00:00 hours on July 1, 1998 for privatization):
- Actual enterprise value: 1,150,000,000 VND;
- Actual state capital value in the enterprise: 1,150,000,000 VND.
3) Employee benefits:
- Total number of preferential shares sold to employees of the enterprise is 810 shares (including 4 people); total preferential amount for employees is 24,300,000 VND.
Article 2Transfer Ky Dong Hotel (a subsidiary accounting unit of Haiphong Metal Company - an enterprise member of Vietnam Steel Corporation) to Haiphong Commercial Joint Stock Company from April 1, 1999.

Article 3Haiphong Commercial Joint Stock Company operates in the following industries:
- Hotel and tourism services,
- Import and export, material supply, and goods services.
Article 4.Haiphong Commercial Joint Stock Company is a legal entity under Vietnamese law from the date of business registration, implements independent economic accounting, uses its own seal, opens accounts at banks according to the law, and operates according to the Company's Charter and the Law on Enterprises.
Article 5. Vietnam Steel Corporation and Haiphong Metal Company are responsible for directing Ky Dong Hotel to organize the first General Meeting of Shareholders (to elect the Board of Directors, Supervisory Board, and approve the Company's Charter).
The Director and Chief Accountant of Haiphong Metal Company and Ky Dong Hotel are responsible for managing operations until the entire Ky Dong Hotel is handed over to the Board of Directors and General Manager of Haiphong Commercial Joint Stock Company.
Article 6.This Decision takes effect from the date of signature.
Article 7.The Director of the Ministry's Office, the Inspector General of the Ministry, the Heads of Departments and Bureaus under the Ministry, the Chairman of the Board of Directors, the General Director of Vietnam Steel Corporation, the Director of Haiphong Metal Company, and the Director of Ky Dong Hotel are responsible for implementing this Decision./.
