Regarding the transfer of the Ben Kien Shipyard Factory under the Vietnam Ship Industry Corporation to a State-owned Joint Stock Company with One MemberConsidering the proposal of the Board of Directors of the Vietnam Ship Industry Corporation, The Ben Kien Shipyard Factory, an independent accounting member enterprise under the Vietnam Ship Industry Corporation, shall be transferred to become a State-owned Joint Stock Company with One Member named Ben Kien Shipbuilding Industry Joint Stock Company.

Pursuant to the Law on Organization of the Government dated December 25, 2001;
Pursuant to the State Enterprise Law dated November 26, 2003;
Considering the proposal of the Board of Directors of Vietnam Shipbuilding Corporation,
DECISION:
Article 1. Transfer the Ben Kien Shipbuilding Factory – an independent accounting member enterprise under the Vietnam Shipbuilding Industry Corporation to become the State Capital Joint Stock Company Ben Kien Shipbuilding Industry (one-member company).
The State Capital Joint Stock Company Ben Kien Shipbuilding Industry (hereinafter referred to as the Company) shall have its own seal, open accounts at domestic and foreign banks in accordance with the law, and operate in accordance with the Enterprise Law and the Company's Articles of Association.
- International trade name: BenKien shipbuilding industry company ltd.
- Abbreviation in English: BENKIEN SHIN Co., Ltd.
- Registered charter capital: 49,594,562,448 Vietnamese dong.
- Head office: An Hong Commune, An Duong District, Haiphong City.
Business sectors:
Building and repairing water transport means, steel structures; designing, manufacturing, and installing mechanical equipment; civil construction; import and export service for materials, machinery, equipment, spare parts for water transport and civil use; technical design and technology consulting services; supervision, building, and repairing of water transport vessels and other business sectors as prescribed by law.
Article 2. Business sectors:
New construction and repair of waterway transport means and steel structures; design, manufacture, and installation of mechanical equipment; construction of civil works; import and export goods services: materials, machinery, equipment, spare parts for waterway transport and civil use; technical and technological consulting services; supervision, new construction, and repair of waterway transport vessels and other industries and trades as prescribed by law.
Article 3. Organization and operation:
1. The management structure of the Company follows the model of Chairman, General Director, and supporting staff.
2. The organization and operation of the Company are specifically regulated in the Company's Charter on organization and operation.
Article 4. The State-owned Joint Stock Company with a single member Saigon Shipbuilding Industry Company is represented by the Board of Directors of Vietnam Shipbuilding Corporation.
The Board of Directors of Vietnam Shipbuilding Corporation is responsible for exercising the rights of the owner according to current regulations and the Articles of Association of the Company.
Article 5. The State Capital Joint Stock Company Ben Kien Shipbuilding Industry shall be responsible for receiving and effectively utilizing capital and assets transferred by the Board of Directors of the Vietnam Shipbuilding Industry Corporation to fulfill production and business development tasks; inherit all rights and obligations of the Ben Kien Shipbuilding Factory.
Article 6. The Chairman and General Director of the State Capital Joint Stock Company Ben Kien Shipbuilding Industry shall be responsible for drafting the organizational and operational regulations of the Company to be submitted to the Board of Directors of the Vietnam Shipbuilding Industry Corporation for approval.
Article 7. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.
The Board of Directors of the Vietnam Shipbuilding Industry Corporation, the Director of the Ben Kien Shipbuilding Factory, and the Chairman and General Director of the State Capital Joint Stock Company Ben Kien Shipbuilding Industry are responsible for implementing this Decision./.
