Regarding the conversion of the Bach Dang Shipbuilding Factory under the Vietnam Shipbuilding Industry Corporation into a State-owned Joint Stock Company with One Member Considering the proposal of the Board of Directors of the Vietnam Ship Industry Corporation, The Ben Kien Shipyard Factory, an independent accounting member enterprise under the Vietnam Ship Industry Corporation, shall be transferred to become a State-owned Joint Stock Company with One Member named Ben Kien Shipbuilding Industry Joint Stock Company.

Pursuant to the State Enterprise Law dated November 26, 2003;

Considering the proposal of the Board of Directors of Vietnam Shipbuilding Corporation,

DECISION:

Article 1Transfer the Bai Dang Shipbuilding Factory - an independent accounting member enterprise under the Vietnam Ship Industry Corporation to Bai Dang Shipbuilding Joint Stock Company with State Capital Ownership.

The Bai Dang Shipbuilding Joint Stock Company with State Capital Ownership (hereinafter referred to as the Company) shall have its own seal, open accounts at domestic and foreign banks in accordance with the provisions of the law, and operate in accordance with the Enterprise Law and the Company's Articles of Association.

Abbreviated name in Vietnamese: Bach Dang Shipbuilding Factory Company.

International trading name: BACHDANG SHIPBUILDING INDUSTRY COMPANY LIMITED.

Registered charter capital: 71,063,955,557 VND.

Head office address: No. 3 Phan Dinh Phung Street, Hong Bang District, Hai Phong City.

Article 2Building new ships, repairing ships and floating structures; manufacturing and repairing drilling platforms, steel structures, and selling products; trading in materials, equipment parts, accessories, and goods related to the shipbuilding industry and other sectors as prescribed by law.

Article 3Organization and operation:

1. The management structure of the Company follows the model of Chairman, General Director, and supporting staff.

2. The organization and operation of the Company are specifically regulated in the Company's Charter on organization and operation.

Article 4The State Council authorized to represent the owner is the Board of Directors of the Vietnam Shipbuilding Industry Corporation. Vietnam.

Board of Directors of the Vietnam Shipbuilding Industry Corporation Vietnam shall be responsible for exercising the rights of the representative owner according to current regulations and the Company's Articles of Association.

Article 5The Bai Dang Shipbuilding Joint Stock Company with State Capital Ownership is responsible for receiving and effectively utilizing capital and assets provided by the Board of Directors of the Vietnam Ship Industry Corporation. The State-owned Joint Stock Company with One Member Bach Dang Shipbuilding Factory shall be responsible for receiving and effectively utilizing the capital and assets transferred by the Board of Directors of the Vietnam Shipbuilding Industry Corporation to fulfill production and business development tasks; inheriting all rights and obligations of the Bach Dang Shipbuilding Factory.

Article 6. The Chairman of the Company and the General Director of the Bai Dang Shipbuilding Joint Stock Company with State Capital Ownership are responsible for drafting the organizational and operational charter of the Company to be submitted to the Board of Directors of the Vietnam Ship Industry Corporation. Vietnam, Director of the Bach Dang Shipbuilding Factory, and Chairman and General Director of the State-owned Joint Stock Company with One Member Bach Dang Shipbuilding Factory are responsible for implementing this Decision./.

Article 7. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.
