Pursuant to Decree No. 102/SL-L004 dated May 20, 1957 on the right to establish Associations;
Pursuant to the Government's Decree No. 45/2003/NĐ-CP dated May 9, 2003 on the functions, tasks, powers, and organizational structure of the Ministry of Home Affairs;
Pursuant to Decree No. 88/2003/NĐ-CP dated July 30, 2003 on the organization, operation, and management of associations;
Considering the proposal of the Chairman of the Vietnam Civil Engineering Environment Association and the Director of the Department of Non-Governmental Organizations,
DECISION:
Article 1. Approves the Statutes of the Vietnam Civil Engineering Environment Association which were adopted at the Fourth General Assembly on February 14, 2004 of the Association.
Article 2. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.
Article 3. The Chairman of the Vietnam Civil Engineering Environment Association and the Director of the Department of Non-Governmental Organizations shall be responsible for implementing this Decision.

CHARTER
Vietnam Civil Engineering Environment Association

PART I
Name of the Association:
Article 1. Name
The name of the organization is: Vietnam Civil Engineering Environment Association.
The international trade name is: VIETNAM ASSOCIATION OF CIVIL ENGINEERING ENVIRONMENT.
The abbreviated name is: Vietnam Construction Environmental Association or VACEE.
Article 2. Aims and Objectives
The Vietnam Civil Engineering Environment Association is a voluntary professional social organization of individuals engaged in the field of construction environment within the territory of Vietnam. Members of the Vietnam Civil Engineering Environment Association unite and strive to contribute to building a prosperous, beautiful, modern Vietnam, enhancing the quality of living environments in cities, industrial zones, and rural areas, protecting the environment, and ensuring sustainable national development.
Article 3. Position
The Vietnam Civil Engineering Environment Association operates under the laws of the Socialist Republic of Vietnam. The Association is a member of the Vietnam Construction Association.
The Vietnam Civil Engineering Environment Association may join organizations and associations in the region and internationally that have the same specialty.
Such joining shall be in accordance with Vietnamese law.
Article 4. Scope of Activities
The Vietnam Civil Engineering Environment Association operates throughout the country, with its main office located in Hanoi, possessing legal personality, self-funding, and bearing responsibility before the law for its activities. Depending on the situation, the Association may establish representative offices in certain localities. The establishment of such offices shall comply with the provisions of the law.
The Association has its own press organ, symbols, seals, assets, finances, and separate accounts (Vietnamese currency and foreign currencies) at banks and state treasuries.
Chapter II
TASKS AND POWERS
Article 5. Tasks of the Association
1. Encouraging, supporting, and assisting members in their professional activities. Gathering, coordinating, and harmonizing the activities of individual and collective members, promoting traditions of unity and affection, improving professional expertise, vocational skills, and professional ethics, nurturing knowledge, contributing to the cause of building the nation, and striving for sustainable national development.
2. Implementing advisory, critical, and social appraisal functions in the field of construction environment; providing opinions and participating in the scientific foundation for formulating policies, laws, standards, plans, and projects for the development of construction environmental science.
3. Organizing research projects, establishing application research projects, transferring research results into production and daily life, summarizing scientific and technological issues in the field of construction environment.
4. Organizing training and professional development for members in terms of expertise, vocational skills, and laws. Identifying and nurturing talent in the field of construction environment for the country.
5. Fulfilling the duties of a member association of the Vietnam Construction Association. Cooperating with domestic scientific and technical associations, regional and international specialized organizations in accordance with the law.
6. Protecting the legitimate rights of members in accordance with Vietnamese law and the Association's statutes.
Article 6. Powers of the Association
1. Representing member organizations and members in internal and external relations related to the Association's functions and responsibilities.
2. Organizing scientific research, consulting services in accordance with the law.
3. Supporting and assisting members in conducting scientific research activities, participating in evaluating scientific works and projects in the field of construction environment.
4. Initiating or participating in the development of programs and projects to propose solutions to relevant state management agencies for the development of the construction environment specialty in Vietnam.
5. Publishing books, professional materials, and journals of the Association in accordance with the law for training, nurturing, enhancing knowledge, exchanging experiences, updating information, and refining professional ethics for members.
6. Developing the organization and activities of the Association in accordance with the statutes recognized by the law.
7. Joining and participating in the activities of professional organizations domestically, regionally, and globally in accordance with the law.
Chapter III
MEMBERS
Article 7. Members of the Association
Members of the Vietnam Civil Engineering Environment Association include: Regular members, Associated members, and Honorary members. Associated members and Honorary members are not eligible to participate in elections, nominations, or voting on matters concerning the leadership board of the Association.
Article 8. Regular members
1. Individual members: Vietnamese citizens working in the field of construction environment and related professions, who agree with the Association's statutes and voluntarily apply to join the Association, may be considered regular members of the Vietnam Civil Engineering Environment Association.
2. Collective members: Vietnamese organizations (companies, institutes, schools, etc.) with staff working in the field of construction environment and related professions, who agree with the Association's statutes and voluntarily apply to join the Association, may be considered regular members of the Vietnam Civil Engineering Environment Association.
Article 9. Associated members
Vietnamese organizations and citizens who do not meet the conditions to become regular members of the Association but have made significant contributions to the development of the Association, agree with the Association's statutes, may be recognized as associated members of the Association.
Article 10. Honorary members
Vietnamese citizens with prestige and capability in the field of construction environment, who show enthusiasm and support for the Association's activities, may be invited by the Association to become honorary members.
Article 11. Procedures for Joining the Association
1. Individuals meeting the conditions to become formal members wishing to join the Association must submit an application for membership to the Association along with copies of their certificates and professional activity records. The Executive Board reviews the application and recommends that the President decide on admission.
2. Organizations meeting the conditions to become formal members wishing to join the Association must establish a representative who submits an application for membership to the Association. The Executive Board reviews the application and recommends that the President decide on admission.
3. Citizens, organizations, and businesses wishing to become affiliated members must submit an application for membership to the President for recognition.
Article 12. Procedure for removing a member's name
1. A member's name will be removed in the following cases:
a) An organization ceases operations, is merged, dissolved, or declared bankrupt;
b) An individual no longer wishes to continue, lacks health capacity, or has passed away;
c) A member violates laws, breaches professional ethics, or violates the Charter of the Association.
2. The decision to remove a member's name is proposed by the Executive Board and decided upon by the President.
Article 13. Duties of Members
1. Adhere to the Charter of the Association, implement directives and resolutions of the Association, actively engage in activities for the benefit of the Association.
2. Promote the development of new members, mobilize public support for all activities of the Association.
3. Build unity within units and within the Association to continuously advance and develop the Association.
4. Actively study professional subjects, foster national pride, creativity, and contribute all abilities, knowledge, and professional experience to serve the country according to the Association's charter and objectives.
5. Provide information, promote, and disseminate scientific knowledge about the environment to the general public.
6. Participate in activities and pay membership fees as prescribed.
7. Protect the honor and legitimate interests of the Association.
Article 14. Rights of Members
1. Members have the right to participate in the Association's activities. They may discuss and vote on all matters of the Association, run for election, or be nominated to the Association's Executive Board.
2. Members are entitled to assistance, training, and improvement in professional qualifications from the Association regarding policies, regulations, and legal documents related to professional activities.
3. Members may present research topics, inventions, and innovations at scientific and technical meetings of the Association to solicit opinions, supplements, and improvements.
4. The Association provides comments on their works, selects them for commendation or recognition, and protects their authorship rights. Works can be published in Association journals and newsletters.
5. The Association, or through the General Association, protects their legitimate rights and interests in professional activities.
6. Members have the right to request withdrawal from the Association.
Chapter IV
Article 8. Principles of Organization
Article 15. Organizational principles
The Vietnam Construction Environment Association operates under the principle of centralized democracy, self-management, financial self-sufficiency, and collective work as stipulated by state regulations on associations and this Charter.
Article 16. The organization of the Association includes:
1. At the Central level: The Vietnam Construction Environment Association
2. At the grassroots level: Branch Associations. Grassroots organizations with five members or more may establish Branch Associations.
3. Individual members are those engaged in construction environmental activities (climate and microclimate, air environment, sound environment, light environment, water environment, solid waste, sanitation, occupational hygiene, urban, rural, and industrial area environmental management, energy-efficient architecture, and ecological architecture) in all grassroots organizations.
Article 17. National Congress of the Association
The highest leadership body of the Association is the National Congress. The National Congress convenes regularly every five years, convened by the Central Executive Board of the Association. An extraordinary Congress may be convened if at least two-thirds of the Central Executive Board members or at least half of the total number of formal members propose it.
The composition and number of delegates attending the Congress are determined by the current Central Executive Board of the Association.
1. Tasks of the Congress:
a) Summarize and evaluate the Association's activities during the term, discuss directions and action plans for the new term.
b) Approve and amend the Charter (if necessary).
c) Elect the Central Executive Board and the Inspection Board of the Association.
d) Decide on important issues concerning the purpose, mission, authority of the Association.
2. Voting principles of the Congress
a) The Congress may vote by raising hands or secret ballot. The form of voting is decided by the Congress.
b) Voting on Congress decisions requires more than half of the attending formal delegates to approve.
Article 18. Central Executive Board of the Association
1. The Central Executive Board of the Association serves as the leadership body between Congress terms, convening once a year, except in emergencies. The number of Central Executive Board members is decided and directly elected by the National Congress of the Association. During the term, the number of Central Executive Board members may be supplemented up to 20% of the total number of Central Executive Board members.
Supplementing Central Executive Board members is decided by the Central Executive Board.
2. The Central Executive Board of the Association has the following tasks:
a) Lead the implementation of the National Congress resolutions;
b) Lead the implementation of the Association's Charter;
c) Lead the implementation of the resolutions of the Central Executive Board of the Vietnam Construction Association;
d) Develop relations with domestic and foreign organizations, contributing to the development of the Association;
e) Elect the Executive Board: President, Vice Presidents, Secretary-General of the Association.
Article 19. Executive Board of the Association.
1. The Executive Board of the Association is the permanent body of the Central Executive Board of the Association, consisting of the President, Vice Presidents, Secretary-General, and some members. The number of Executive Board members does not exceed 15% of the total number of Central Executive Board members.
The Executive Board meets regularly every six months. In case of necessity, upon the recommendation of the President or Secretary-General, the Executive Board may convene extraordinary meetings.
2. The Executive Board of the Association has the following duties and powers:
a) Lead the implementation of the Central Executive Board's resolutions between meetings of the Central Executive Board.
b) Prepare plans and report on the Association's activities as prescribed by the Central Executive Board.
c) Decide on commendations and disciplinary actions.
d) Decision to establish specialized committees, affiliated organizations of the Association, scientific and technological organizations and services. The establishment of organizations under the Association shall comply with the provisions of the law. The Standing Board of the Association promulgates specific regulations and rules on the organization, operation, and management of affiliated organizations based on the provisions of the law.
e) Decision to recognize collective members (branch associations) and individual members.
Article 20. The Chairman of the Association
The Chairman of the Association is elected by the Central Executive Committee from among its members. The Chairman presides over meetings of the Executive Committee, the Standing Board of the Association, directs all activities of the Association to implement resolutions of the Executive Committee of the Association, of the Central Executive Committee, and is responsible before the law for all activities of the Association.
In the absence of the Chairman, if necessary, he may delegate a Vice-Chairman to perform his duties.
Article 21. Vice Chairmen of the Association.
Vice Chairmen of the Association are elected by the Central Executive Committee and assigned by the Chairman to oversee various aspects of the Association's operations.
Article 22. Secretary General of the Association
The Secretary-General is elected by the Central Executive Committee, permanently handles tasks assigned by the Chairman, and manages the Association's daily activities.
Article 23. Inspection Committee of the Association
The Inspection Board assists the Standing Board of the Association in inspecting compliance with the Charter of the Association, implementation of resolutions of the Central Executive Committee, and resolving complaints related to members and affiliated organizations. The Inspection Board has the right to request members and affiliated organizations to present issues relevant to the inspection content decided by the Standing Board.
The Inspection Board consists of a Head and several members. The Head of the Inspection Board is a member of the Standing Board.
Article 24. Specialized Committees and affiliated organizations of the Association
When necessary, the Standing Board may consider and decide to establish specialized committees, economic organizations, service centers to generate financial resources and serve the development of the Association. The establishment of affiliated organizations shall comply with the provisions of the law.
Chapter V
ASSOCIATION FINANCES
Article 25. Revenue of the Association
1. Membership fees of members. The level of membership fees is determined by the Standing Board.
2. Sponsorship funds from domestic and foreign organizations and individuals.
3. Revenue from scientific and technological activities, consulting, and service activities in accordance with the law.
4. Other revenues outside the above sources.
Article 26. Expenditures of the Association
1. Expenditure on scientific and technological activities and consulting, service activities;
2. Expenditure on training and professional knowledge enhancement for members;
3. International cooperation expenditure;
4. Salary, allowances, travel expenses, insurance, welfare for dedicated staff working for the Association and administrative management costs of the Association.
5. Other expenditures according to the Association's financial regulations.
Article 27. Management of assets and finances
1. Assets and finances of the Association are managed and utilized in accordance with the Standing Board's regulations, and guidelines from state financial management agencies.
2. Upon dissolution or liquidation of the Association, all assets and finances of the Association will be handled in accordance with the law.
Chapter VI
REWARDS AND DISCIPLINE
Article 28. Awards
Organizations and members who achieve outstanding results in Association work will be rewarded by the Association, or recommended for rewards by the Central Association, and competent state authorities.
Article 29. Disciplinary Measures
Organizations and members violating the following provisions, depending on the severity, will be disciplined with measures such as reprimand, warning, or removal from the Association's membership list.
1. Violating the Charter of the Association;
2. Damaging the reputation of the Association.
Chapter VII
IMPLEMENTING PROVISIONS
Article 30. Procedure for amending and supplementing the Charter
Amendments and supplements to this Charter must be approved by the National Congress of the Vietnam Environmental Construction Association.
Article 31. Effectiveness
This Charter comprises seven chapters and thirty-one articles, which were adopted at the National Congress of the Vietnam Environmental Construction Association on February 14, 2004, and took effect pursuant to the approval decision of the Ministry of Home Affairs./.
