THE MINISTER OF INDUSTRY
Pursuant to Decree No. 55/2003/NĐ-CP dated May 28, 2003 of the Government stipulating the functions, tasks, powers, and organizational structure of the Ministry of Industry;
Pursuant to Decree No. 64/2002/NĐ-CP dated June 19, 2002 of the Government on the conversion of state-owned enterprises into joint-stock companies;
Considering the proposal of Vietnam Electricity Corporation (Letter No. 434/CV-EVN-HĐQT dated December 3, 2004), the Privatization Plan of Khanh Hoa Power Company under Electricity Company 3, and the Appraisal Report of the Enterprise Reform and Development Board of the Ministry dated December 4, 2004;
At the proposal of the Enterprise Reform and Development Board and the Director of the Personnel and Organization Department,
DECISION:
Article 1. Approves the Privatization Plan of Khanh Hoa Power Company under Electricity Company 3 (a subsidiary company operating independently of Vietnam Electricity Corporation) including the following main points:
1. Capital structure:
The charter capital of the joint stock company is 163,221,000,000 VND (One hundred sixty-three billion, two hundred twenty-one million VND).
- State shareholding ratio: 51.00%;
- Shareholding ratio sold to employees within the enterprise: 36.00%;
- Shareholding ratio sold outside the enterprise: 13.00%.
Value of one share: 100,000 VND.
2. The actual value of Khanh Hoa Power Company at the time of December 31, 2003 for privatization (Decision No. 2587/QĐ-TCKT dated October 1, 2004 of the Ministry of Industry) is 251,920,611,379 VND. Among this, the actual value of the state capital in the enterprise is 171,710,975,719 VND.
3. Preferential treatment for employees within the enterprise.
A total of 122,372 preferential shares worth 3,671,160,000 VND are sold to 788 employees within the enterprise. Among these, 24,367 preferential shares worth 1,705,690,000 VND are sold on credit to 158 poor employees.
4. Regarding the privatization costs, retraining of employees, and surplus labor resolution of Khanh Hoa Power Company, Electricity Company 3 shall handle the procedures, report to Vietnam Electricity Corporation and relevant state authorities for approval according to current regulations.
Article 2. Transfer Khanh Hoa Power Company under Electricity Company 3 to become Khanh Hoa Power Joint Stock Company,
- International trading name: KHANHHOA POWER JOINT STOCK COMPANY;
- Abbreviation: KHPC;
- Head office located at: 11 Ly Thanh Ton Street, Nha Trang City, Khanh Hoa Province.
Article 3. The joint stock company engages in the following business activities:
- Production and trading of electric power; construction, installation, management, operation, and repair of small hydroelectric, thermal power plants, diesel power plants, and diesel generators;
- Management, operation of distribution networks up to 110 kV voltage level;
- Consulting on investment project establishment, surveying, designing, project management, supervising construction of small power plants, transmission lines, and substations up to 110 kV voltage level, and telecommunications works;
- Construction and installation of electrical works, grids, and substations up to 110 kV voltage level; construction and installation of public telecommunications works, industrial and civil works;
- Production and trading of centrifugal concrete products;
- Trading and import/export of electrical materials and equipment;
- Trading of telecommunications equipment; agency services for public telecommunications;
- Trading, hotel and service operations, computer equipment and software, real estate; cargo transportation;
- Engaging in other businesses in accordance with the provisions of the law.
Article 4. Khanh Hoa Power Joint Stock Company is a legal entity under Vietnamese law from the date of business registration, conducting independent economic accounting; it may use its own seal and open bank accounts in accordance with the law; it organizes and operates according to the Articles of Association of the joint stock company and the Enterprise Law.
Article 5. Vietnam Electricity Corporation is responsible for directing Electricity Company 3 to organize the sale of shares and convene the first General Meeting of Shareholders of Khanh Hoa Power Joint Stock Company in accordance with current regulations.
The Director and Chief Accountant of Electricity Company 3 are responsible for managing the operations of Khanh Hoa Power Company until the full transfer of capital, assets, labor, and land to the Board of Directors and General Manager of the joint stock company.
Article 6. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.
The Head of the Ministry's Office, the Inspector General of the Ministry, the Heads of Departments and Bureaus under the Ministry, the Chairman of the Board of Directors, the General Director of Vietnam Electricity Corporation, the Director of Electricity Company 3, the Director of Khanh Hoa Power Company, and the Chairman of the Board of Directors and General Manager of Khanh Hoa Power Joint Stock Company are responsible for implementing this Decision./.
