Pursuant to the Law on Organization of the Government dated December 25, 2001;
Pursuant to Decision No. 155/2004/QĐ-TTg dated August 24, 2004 of the Prime Minister on issuing criteria and classification lists for state-owned enterprises and independent accounting subsidiaries of state-owned corporations;
Considering the proposal of the Chairman of the People's Committee of Kien Giang Province,

Article 1. Approves the adjustment plan for the restructuring and renewal of state-owned enterprises directly under the People's Committee of Kien Giang Province in 2005 as set out in the attached appendix.
Article 2. The Chairman of the People's Committee of Kien Giang Province shall be responsible for:
1. Directing the restructuring and renewal of state-owned enterprises under its jurisdiction in accordance with the provisions of the law and the approved contents.
2. Deciding the proportion of State shares to hold when implementing the corporatization of state-owned enterprises based on the criteria and classification lists of state-owned enterprises; for enterprises that cannot be corporatized, actively convert them into one of the following restructuring forms: auction sale, dissolution, bankruptcy, and report to the Prime Minister.
3. Implementing the establishment of the new Kien Giang Tourism-Trading Corporation operating under the holding company-subcompany model in accordance with the provisions of Government Decree No. 180/2004/NĐ-CP dated October 28, 2004 on the establishment of new state-owned enterprises, organizational restructuring, and dissolution of state-owned enterprises.
4. Deciding to apply the holding company-subcompany model to the Agricultural-Forestry Company and the Import-Export Aquatic Products Company, where the holding companies are the Agricultural-Forestry Company and the Import-Export Aquatic Products Company, directing the corporatization of these holding companies in 2005.
5. Restructuring the Sugar Company in accordance with the provisions of Decision No. 28/2004/QĐ-TTg dated April 13, 2004 of the Prime Minister on organizing production and implementing certain measures to address difficulties faced by sugar factories and sugar companies; if restructuring cannot be carried out according to this Decision, proceed with the bankruptcy procedures for the company in accordance with the law.
6. Developing a restructuring plan for agricultural and forestry farms under provincial management for review by the Ministry of Agriculture and Rural Development before submitting it to the Prime Minister for consideration and decision.
Article 3. The Ministries of Finance, Planning and Investment, Home Affairs, Labor, Invalids and Social Affairs, and related agencies shall be responsible for coordinating with the People's Committee of Kien Giang Province in the implementation of this Decision.
The Steering Committee for Enterprise Renewal and Development shall be responsible for supervising, guiding, and monitoring the implementation.
Article 4. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.
The Chairman of the People's Committee of Kien Giang Province and the Heads of related agencies shall be responsible for enforcing this Decision./.
