Pursuant to the Law on Organization of the Government dated December 25, 2001;

Pursuant to the State Enterprise Law dated November 26, 2003;

Pursuant to the Enterprise Law dated November 29, 2005;

Pursuant to the Post and Telecommunications Ordinance dated May 25, 2002;

Considering the proposal of the Board of Directors of Vietnam Posts and Telecommunications Group,

DECISION:

Article 1. The organization of postal and telecommunications services within provinces of Vietnam Posts and Telecommunications Group (hereinafter referred to as VNPT) shall be as follows:

1. Not to establish Telecommunications Corporations I, II, and III. The Board of Directors of VNPT shall decide on restructuring the telecommunications service units within provinces that were previously separated from provincial post offices into Provincial Telecommunications Units which are dependent accounting units of VNPT (listed in the Appendix attached hereto).

2. To pilot the establishment of branches by Provincial Telecommunications and Postal Services to conduct telecommunications services within provinces and postal services within their operational areas.

The registration of branch operations shall be carried out in accordance with the provisions of the Enterprise Law 2005.

Article 2. Amend, supplement, and abolish the following relevant provisions:

1. Amend the provision regarding the structure of the Board of Directors of Vietnam Posts and Telecommunications Group stipulated in point a, Clause 2, Article 1 Decision No. 58/2005/QĐ-TTg dated March 23, 2005 of the Government Chairman on approving the Pilot Project for the Formation of Vietnam Posts and Telecommunications Group, as follows: The Board of Directors of Vietnam Posts and Telecommunications Group shall have up to nine members, including: the Chairman of the Board of Directors, the General Director, the Head of the Inspection Board of Vietnam Posts and Telecommunications Group; the General Director of Vietnam Post Corporation and other members. Members of the Board of Directors shall be appointed by the Prime Minister upon the recommendation of the Minister of Information and Communications.

2. Supplement Clause 4, Article 1 Decision No. 06/2006/QĐ-TTg dated January 9, 2006 of the Government Chairman on establishing the Parent Company - Vietnam Posts and Telecommunications Group, as follows: The Group shall be established based on the reorganization of the Vietnam Posts and Telecommunications Corporation Office and its supporting departments, Vietnam Inter-provincial Telecommunications Corporation, Vietnam International Telecommunications Corporation, Central Post Office, telecommunications service units within provinces that were previously separated from provincial post offices, and a part of Vietnam Postal Financial Corporation. The organizational structure and functions, duties, and powers of the Group's supporting machinery shall be specified in the Charter of the Organization and Operation of the Group.

3. Supplement the names of the Provincial Telecommunications Units established according to Clause 1 of this Decision and the Central Post Office into Section 2 of Appendix I of the Charter of the Organization and Operation of Vietnam Posts and Telecommunications Group issued together with Decision No. 265/2006/QĐ-TTg dated November 17, 2006 of the Government Chairman.

4. Abolish the provisions contrary to Clause 1 of this Decision in the Decisions of the Government Chairman on approving the Pilot Project for the Formation of Vietnam Posts and Telecommunications Group, establishing the Parent Company - Vietnam Posts and Telecommunications Group, and approving the Charter of the Organization and Operation of Vietnam Posts and Telecommunications Group.

Article 3. Implementation organization:

a) Implement the establishment, registration of activities, issuance of operational regulations for provincial and municipal telecommunications entities, and their branches, and direct Vietnam Post Corporation to implement these for provincial and municipal postal entities, and their branches, in accordance with the law;

b) Submit to the Ministry of Information and Communications and the Ministry of Finance for issuance, amendment, and supplementation of the financial regulations of Vietnam Post and Telecommunications Group, the Charter of Organization and Operation and Financial Regulations of Vietnam Post Corporation to align with the content and management requirements of the pilot program as stipulated in Article 1 of this Decision; This Decision;

c) Complete the separation of postal and telecommunications services and related tasks by the end of 2007 so that Vietnam Post Corporation can commence operations from January 1, 2008;

d) Take the lead and coordinate with the Ministry of Information and Communications, the Steering Committee for Enterprise Reform and Development, and relevant agencies to study and propose effective management and operation models for intra-provincial telecommunications networks. In 2008, the VNPT Board of Directors will submit to the Prime Minister on this matter. and the Enterprise Development and relevant agencies shall study to propose the most effective management organization for intra-provincial telecommunications networks. In 2008, the Board of Directors of VNPT shall report to the Government Prime Minister on this matter.

Article 4. This Decision shall take effect fifteen days after its publication in the Official Gazette.

The Ministers of the Ministries of Information and Communications, Planning and Investment, Finance, Labor, Invalids and Social Affairs, Home Affairs, Heads of relevant agencies, the Steering Committee for Enterprise Reform and Development, and the VNPT Board of Directors are responsible for implementing this Decision./.
