Regarding the conversion of Dong Nai Plastic Company into Dong Nai Plastic Construction Joint Stock Company

THE MINISTER OF INDUSTRY
Pursuant to Decree No. 55/2003/NĐ-CP dated May 28, 2003 of the Government stipulating the functions, tasks, powers, and organizational structure of the Ministry of Industry;
Pursuant to Decree No. 64/2002/NĐ-CP dated June 19, 2002 of the Government on the conversion of state-owned enterprises into joint-stock companies;
Considering the proposal of Dong Nai Plastic Company (document number 118/CPH-NĐN dated September 18, 2003), the plan for the privatization of Dong Nai Plastic Company, and the verification report of the Enterprise Reform and Development Board of the Ministry dated October 1, 2003;
At the proposal of the Enterprise Reform and Development Board and the Director of the Personnel and Organization Department,
DECISION:
Article 1. Approves the plan for the privatization of Dong Nai Plastic Company (a subsidiary under the Ministry of Industry) including the following main points:
1. Capital structure:
The registered capital of the joint stock company is 3,000,000,000 VND (Three billion VND). Of which:
- The proportion of shares sold to employees within the company: 86.35%;
- The proportion of shares sold outside the company: 13.65%.
The value of one share: 100,000 VND.
2. The actual value of Dong Nai Plastic Company at the time of privatization on January 1, 2003 (Decision No. 1983/QĐ-TCKT dated August 15, 2003 of the Ministry of Industry) is 28,512,142,444 Vietnamese dong. Among this, the actual value of the State capital in the company is 1,812,403,776 Vietnamese dong.
3. Preferential treatment for employees of the Company.
The total number of preferential shares sold to 105 employees within the company is 16,350 shares with a preferential value of 490,500,000 Vietnamese dong. Among these, the number of deferred payment preferential shares sold to 16 poor employees is 3,175 shares, valued at 222,250,000 Vietnamese dong.
4. Regarding the privatization costs and the resolution of surplus labor, the company shall process the necessary procedures and report to the Ministry of Industry and relevant state authorities for approval according to current regulations.
Article 2. Convert Dong Nai Plastic Company into Dong Nai Plastic Construction Joint Stock Company,
- International trade name: DONGNAI PLASTIC
- CONSTRUCTION JOINT STOCK COMPANY;
- Abbreviation: DONAPLAST;
- Head office: No. 9, Bien Hoa Industrial Zone 1, Dong Nai Province.
Article 3. The joint stock company engages in the following business activities:
- Producing and trading domestic matches and export products, export clothing products, plastic pipes, accessories, and other plastic products; producing new technology construction materials; constructing prefabricated houses and electrical and water works projects;
- Direct import and export; trading raw materials and supplies for production; operating tourism and travel services and other tourism services;
- Engaging in other businesses in accordance with the provisions of the law.
Article 4. Dong Nai Plastic Construction Joint Stock Company is a legal entity under Vietnamese law from the date of registration for business operations, conducting independent economic accounting, using its own seal, opening bank accounts in accordance with the law, and operating according to the Company's Charter and the Enterprise Law.
Article 5. Dong Nai Plastic Company shall organize the sale of shares and convene the first General Meeting of Shareholders of Dong Nai Plastic Construction Joint Stock Company in accordance with current regulations.
The Director and Chief Accountant of Dong Nai Plastic Company are responsible for managing the company's operations until the transfer of all capital, assets, labor, and land to the Board of Directors and General Manager of the joint stock company.
Article 6. This Decision takes effect fifteen days from the date of publication in the Official Gazette.
The Head of the Ministry's Office, the Inspector General of the Ministry, the Heads of Departments and Bureaus under the Ministry, the Director of Dong Nai Plastic Company, and the Chairman of the Board of Directors and General Manager of Dong Nai Plastic Construction Joint Stock Company are responsible for implementing this Decision./.
