Pursuant to Decree No. 55/2003/NĐ-CP dated May 28, 2003 of the Government stipulating the functions, tasks, powers, and organizational structure of the Ministry of Industry;
Pursuant to Decree No. 64/2002/NĐ-CP dated June 19, 2002 of the Government on the conversion of state-owned enterprises into joint-stock companies;
Considering the proposal of Vietnam Minerals Corporation (Document No. 1066/CV-TCLĐ dated October 16, 2003), the Plan for the Shareholding Reform of the Construction Ceramic Brick and Tile Factory under Company 6 for Mineral Development, and the Minutes of the Evaluation of the Plan by the Board for Enterprise Reform and Development on October 17, 2003;
At the proposal of the Enterprise Reform and Development Board and the Director of the Personnel and Organization Department,
DECISION:
Article 1. Approves the Plan for the Shareholding Reform of the Construction Ceramic Brick and Tile Factory under Company 6 for Mineral Development (an independent accounting member enterprise of Vietnam Minerals Corporation) including the following main points:
1. Capital structure:
The charter capital of the Joint Stock Company is 2,100,000,000 VND (Two billion one hundred million VND). Among which:
- The proportion of shares sold to employees in the Factory: 87.57%;
- The proportion of shares sold to external parties: 12.43%.
The value of one share: 100,000 VND.
2. The actual value of the Construction Ceramic Brick and Tile Factory under Company 6 for Mineral Development at the time of shareholding reform on June 30, 2003 (Decision No. 2525/QĐ-TCKT dated October 13, 2003 of the Ministry of Industry) is 28,480,537,999 VND. Of which, the actual value of the State-owned capital in the Factory is 2,032,367,045 VND.
4. Regarding the privatization costs, retraining of employees, and surplus labor resolution of the enterprise, An Lac Shoe Company will handle the procedures, report to the Ministry of Industry and relevant state authorities for approval according to current regulations.
The total number of preferential shares sold to 226 employees in the Factory is 12,300 shares with a preferential value of 369,000,000 VND. Among which, the number of preferential shares sold on credit to five poor employees is 260 shares, valued at 18,200,000 VND.
4. Regarding the costs of shareholding reform and retraining of employees in the Factory, Company 6 for Mineral Development shall handle the procedures and report to Vietnam Minerals Corporation and the Ministry of Industry for approval according to current regulations.
Article 2. Transfer the Construction Ceramic Brick and Tile Factory under Company 6 for Mineral Development to My Xuan Construction Ceramic Brick and Tile Joint Stock Company,

- Main office located at: Hac Dich Commune, Tan Thanh District, Ba Ria-Vung Tau Province.
Article 3. The Joint Stock Company engages in the following business activities:
- Extraction of clay raw materials;
- Production and trading of ceramic products and construction materials;
- Construction: civil, industrial, rental housing, technical infrastructure of mines;
- Engaging in other businesses in accordance with the provisions of the law.
Article 4. My Xuan Construction Ceramic Brick and Tile Joint Stock Company is a legal entity under Vietnamese law from the date of registration for business operations, independently accounting for economic activities, using its own seal, opening bank accounts according to legal provisions, operating according to the Articles of Association of the Joint Stock Company and the Law on Enterprises.
Article 5. Vietnam Minerals Corporation is responsible for directing Company 6 for Mineral Development to sell shares and organize the first General Meeting of Shareholders of My Xuan Construction Ceramic Brick and Tile Joint Stock Company in accordance with current regulations.
The Director and Chief Accountant of Company 6 for Mineral Development are responsible for managing the operations of the Construction Ceramic Brick and Tile Factory until the full transfer of capital, assets, labor, and land to the Board of Directors and General Manager of the Joint Stock Company.
Article 6. This Decision takes effect fifteen days from the date of publication in the Official Gazette.
The Head of the Ministry's Office, the Inspector General of the Ministry, the Heads of Departments and Bureaus under the Ministry, the Chairman of the Board of Directors, and the General Director of Vietnam Minerals Corporation, the Director of Company 6 for Mineral Development, and the Chairman of the Board of Directors and the General Director of My Xuan Construction Ceramic Brick and Tile Joint Stock Company are responsible for implementing this Decision./.
