CHARTER

VIETNAMESE BASKETBALL FEDERATION

Chapter 1.

NAME, MOTTOS, OBJECTIVES, TASKS

Article 1.

Name: "Vietnamese Basketball Federation of the Socialist Republic of Vietnam", abbreviated as Vietnamese Basketball Federation (VBF).

International name: Vietnam Basketball Federation

(abbreviated as VBF).

Article 2.

The Vietnamese Basketball Federation is a social-professional organization that gathers local Basketball Associations and Federations; Basketball Clubs, basketball teams, conducting basketball activities with the purpose of enhancing health and physical strength for the masses, participating in developing basketball achievements domestically, and raising the status of Vietnamese basketball in the region and worldwide.

Article 3.

The Vietnamese Basketball Federation is part of the Vietnamese Olympic Movement, a member of the International Basketball Federation (FIBA), Asian Basketball Confederation (ABC), Southeast Asian Basketball Association (SEABA).

The Vietnamese Basketball Federation operates under the laws of the Socialist Republic of Vietnam and is subject to state management on sports by the Sports Management Committee.

Article 4.

The Vietnamese Basketball Federation has legal personality, its own emblem, seal, and separate bank account. The headquarters of the Federation is located in Hanoi.

Article 5.

The main tasks of the Vietnamese Basketball Federation include:

1. Coordinating with state agencies and economic-social organizations to:

a) Develop basketball training movements for all mass groups, particularly secondary and university students, military forces, contributing to improving health, cultivating moral qualities and willpower, meeting the requirements of building a continuously developing society; creating an environment for discovering and nurturing initial basketball talents.

b) Establishing and gradually perfecting the system of talent training in basketball from junior to senior levels, including national teams.

c) Establishing and organizing the implementation of programs for training and nurturing managers, coaches, instructors, referees, and having plans to effectively utilize this cadre.

2. Building and implementing international cooperation plans in basketball after being approved by competent state management agencies.

3. Mobilizing societal resources to build material infrastructure for basketball activities. Attracting domestic and foreign sponsorships according to legal regulations to create financial resources for basketball and the Federation's activities.

4. Protecting the legitimate rights and interests of member organizations and members within the Federation.

5. Proposing and recommending to the national sports authority and relevant state agencies on issues:

a) Policies, plans, and measures aimed at developing and enhancing the level of basketball in the country.

b) Selecting coaches and athletes to form pre-national and national teams; establishing training and competition plans for the team. Participating in directing and inspecting the implementation of these plans.

c) Reviewing and recommending state agencies to confer, demote, reward, and discipline basketball coaches, referees, athletes, teams, and management cadres.

d) Building training and competition facilities, as well as investing in modern equipment to meet the needs of improving performance and organizing national and international competitions.

6. Promoting and implementing the basic principles of the World, Asian, and Southeast Asian Basketball Federations, adhering to the statutes and laws issued by FIBA. Paying annual dues to FIBA and ABC.

7. Actively participating in activities organized by FIBA, ABC, and SEABA such as matches, training sessions, conferences, seminars, etc., expanding relations with countries in the Asia region and globally according to legal regulations.

8. Actively promoting the socialization of basketball; effectively mobilizing societal resources to expand and develop basketball.

Chapter 2.

ORGANIZATIONAL MEMBERS AND ASSOCIATES

A. MEMBER ORGANIZATIONS:

Article 6.

The Federation, Provincial Basketball Associations directly under the Central Government; Basketball Clubs, basketball teams that recognize and comply with the Statutes of the Vietnamese Basketball Federation, pay annual dues, and participate in activities according to the Federation's program are recognized as member organizations of the Vietnamese Basketball Federation.

Article 7.

The procedure for joining the Vietnamese Basketball Federation includes:

1. Submitting a request to join the Vietnamese Basketball Federation.

2. Paying fees as prescribed.

The recognition of member organizations of the Vietnamese Basketball Federation is carried out according to the guidance of the Executive Board of the Vietnamese Basketball Federation and decided upon by the Executive Board of the Vietnamese Basketball Federation.

Article 8.

Obligations of member organizations:

1. Strictly complying with the Statutes, Resolutions, and regulations of the Vietnamese Basketball Federation.

2. Actively participating in Federation activities; effectively contributing to the development and enhancement of Vietnamese basketball.

3. Paying annual dues as prescribed.

Article 9.

Rights of member organizations:

1. Having the right to introduce representatives for election and candidacy to the Executive Board of the Vietnamese Basketball Federation.

2. Proposing and discussing the policies and activity plans of the Federation.

3. Supervising the activities of the Executive Board and members of the Vietnamese Basketball Federation.

4. Being provided favorable conditions for their activities. Being rewarded when achieving outstanding results.

5. Being protected by the Vietnamese Basketball Federation against legitimate rights and interests related to basketball before the law and public opinion.

Article 10.

Disputes between member organizations within the jurisdiction and authority of the Vietnamese Basketball Federation will be adjudicated and decided by the Vietnamese Basketball Federation.

Article 11.

Leaving the Federation and the Executive Board of the Vietnamese Basketball Federation:

1. To leave the Federation, member organizations must submit a letter to the Executive Board. The Executive Board will consider and decide.

2. Members of the Executive Board who wish to leave the Federation must submit a letter and must be reviewed and decided by the Executive Board. Before leaving the Federation, members of the Executive Board must hand over their work, material assets, and finances they are responsible for to the organization or individual appointed by the Executive Board.

3. Members of the Executive Board who miss two consecutive meetings without a valid reason will be automatically removed from the list of the Executive Board and still have the responsibility to hand over their work, material assets, and finances they are responsible for to the Federation.

B. MEMBERS:

Article 12.

Persons with many achievements and contributions to the cause of basketball in Vietnam and the Vietnam Basketball Federation may be recognized by the Executive Board of the Vietnam Basketball Federation as Honorary Members of the Vietnam Basketball Federation.

Honorary Members do not participate in elections or nominations for positions on the Federation's leadership board and do not have voting rights on Federation matters.

Article 13.

All members of the member organizations of the Vietnam Basketball Federation are members of the Vietnam Basketball Federation.

Members conduct their activities at the member organizations of the Vietnam Basketball Federation.

Article 14.

The procedures for joining, rights, and obligations of members are stipulated in the Charter of organization and operation of the member organizations. In addition, members have additional obligations and rights as follows:

1. Adhering to the Charter, resolutions, directives, and all regulations of the Vietnam Basketball Federation.

2. Participating in discussions and voting on policies and work plans of the Federation, and expressing opinions and aspirations to the Federation's leadership bodies.

3. If nominated by a member organization, they have the right to vote and run for positions on the Federation's leadership bodies.

4. Having priority access to facilities and equipment at training centers of the Federation, being provided favorable conditions for study, practice, and enhancing professional skills and knowledge.

5. Supervising the activities of the Federation's leadership bodies and functional departments.

6. Being protected in terms of honor and legitimate rights related to basketball before the law and public opinion.

7. Having the right to resign from the Federation and relinquish positions within the Federation. Before leaving the Federation, they must hand over their duties, equipment, and finances.

Chapter 3.

PRINCIPLES OF ORGANIZATION AND OPERATION

Article 15.

The review of content and budget estimates for sub-projects and plans of ministries, sectors, and localities is based on proposals from the main units, which the Steering Committee will examine and decide upon. In cases where necessary, an advisory board may be established.

The Vietnam Basketball Federation operates according to the principles of voluntariness, democracy, unified action, majority decision-making, self-management within the framework of the Law and the Charter.

Article 16.

Organization of the Federation:

1. At the Central level: Vietnam Basketball Federation

2. Member Organizations: Associations, Provincial Basketball Federations under the central government; Basketball Clubs, Basketball Teams.

The establishment of member organizations is carried out in accordance with the provisions of the law.

Article 17.

National Congress of the Vietnam Basketball Federation:

1. The National Congress of the Vietnam Basketball Federation is the highest authority of the Federation. It is held every five years. In exceptional circumstances, an interim congress can be convened.

2. Main tasks of the Congress:

- Reviewing the work during the previous term and setting out directions, tasks, goals, and major solutions to implement the objectives in the new term of the Federation.

- Discussing and contributing opinions on the report reviewing the term of the Executive Board and the Inspection Board of the Federation.

- Amending and supplementing the Charter of the Federation (if necessary).

- Approving the financial settlement of the previous term and discussing the financial plan for the next term.

- Deciding on the number of Executive Board members and electing a new Executive Board.

- Approving the Resolution of the Congress.

3. Extraordinary Congress: In case at least two-thirds of the Executive Board members or two-thirds of the member organizations request it, the Executive Board will convene an extraordinary congress.

Article 18.

Executive Board of the Vietnam Basketball Federation:

1. The Executive Board of the Vietnam Basketball Federation, elected by the Congress, is the leadership body of the Federation between two Congresses. The number of Executive Board members is decided by the National Congress.

2. The Executive Board of the Vietnam Basketball Federation meets twice a year and may meet exceptionally when necessary.

3. Tasks of the Executive Board:

+ Electing the Standing Committee consisting of: President, Vice Presidents, Secretary-General, Head of the Inspection Board, and some other members.

+ Approving the operational rules, defining functions, tasks, and authorities for each position: President, Vice Presidents, Secretary-General, Head of the Inspection Board, and other functional department heads.

+ Developing plans and programs to implement the Congress Resolutions.

+ Deciding on the Federation's financial plan.

+ Directing domestic and international competitions in Vietnam.

+ Directing activities related to training, coaching, applying science and technology, and operations of national teams.

+ Directing the development and implementation of international cooperation in basketball.

+ Seeking solutions to attract domestic and foreign sponsorship, organizing activities to generate revenue.

+ Supporting the development of grassroots basketball and building a grassroots competition system.

+ Deciding on rewards and disciplinary actions for member organizations and members.

+ Regularly reporting work plans to competent state management agencies.

+ Deciding to convene and organize the National Congress of the Vietnam Basketball Federation.

+ Deciding on the establishment and defining the functions and tasks of the Federation's organizational structure.

Article 19.

Standing Committee of the Federation.

1. The Standing Committee consists of: President, Vice Presidents, Secretary-General, Head of the Inspection Board, and some other members. The number of Standing Committee members is decided by the Central Executive Board but shall not exceed one-third of the total number of Executive Board members.

The Standing Committee meets regularly every six months.

2. The duties of the Central Standing Committee include:

- Acting on behalf of the Executive Board to direct and manage the Federation's activities between two Executive Board meetings to implement the Congress Resolutions and the Resolutions of the Executive Board meetings.

- Preparing the agenda, convening, and organizing Executive Board meetings; reporting on work to the Executive Board.

- Deciding urgent matters and subsequently reporting to the Executive Board of the Federation at the nearest meeting.

Depending on specific circumstances, the Standing Committee may appoint a Standing Delegation to assist the Standing Committee. The Standing Delegation is responsible to the Standing Committee for the assigned tasks.

Article 20.

President of the Federation, Vice Presidents, Secretary-General, Head of the Inspection Board, and Heads of Functional Departments:

1. The President of the Federation is elected by the Executive Board, with responsibilities and authorities:

- Representing the Vietnam Basketball Federation.

- Being accountable to the Executive Board and members for the Federation's activities.

- Organizing and implementing the Congress Resolutions and the Resolutions of the Executive Board.

- Convening and chairing Executive Board meetings, Standing Committee meetings.

- On behalf of the Executive Board, signing documents approving or dismissing Vice Presidents, Secretary-General, Executive Board members, and other positions after they have been approved by the Executive Board.

- Decision on key personnel of the Federation's Office.

2. The Vice Presidents shall be elected by the Executive Board, operating under the division of labor assigned by the President and according to the functions, tasks, and authorities of each position as approved by the Executive Board.

The Acting Vice President is the person authorized by the President to implement the activities of the Standing Committee and the Executive Board, accountable to the President for the assigned tasks; reporting to the President on the organization and implementation of the Federation's tasks.

3. The General Secretary shall be elected by the Executive Board, responsible for managing the Federation's operations, with the following responsibilities:

- Implementing the Resolutions of the Executive Board and the Standing Committee regarding all aspects of the Federation's work.

- Ensuring relations with FIBA, ABC, SEABA organizations and national Basketball Federations, and other sports organizations.

4. Head of the Inspection Department:

+ The Head of the Inspection Department shall be elected from among the members of the Executive Board by the Executive Board. The number of Inspection Department members shall be decided by the Executive Board.

+ The Head of the Inspection Department leads the Inspection Department's operations according to the regulations approved by the Executive Board.

+ Tasks of the Inspection Department:

- Inspecting the implementation of the Statutes and Resolutions of the Congress, and the Resolutions of the Executive Board and the Standing Committee.

- Inspecting the implementation of regulations, economic, financial activities, and other activities of the Federation.

- Considering and resolving complaints and reports.

5. Other functional departments of the Federation:

+ The Heads of these departments shall be elected from among the members of the Executive Board by the Executive Board. The number of members of the functional departments shall be decided by the Executive Board.

+ The tasks, personnel, and operational regulations of the functional departments shall be stipulated by the Federation's Executive Board.

Article 21.

Organization of the Vietnam Basketball Federation:

1. The Federation's Office is the specialized administrative body of the Federation, a permanent unit assisting the Standing Committee and the Executive Board in daily management.

2. Functional Departments.

3. Advisory Councils.

Chapter 4.

FINANCE AND ASSETS

Article 22.

All assets and finances are managed uniformly in accordance with the Law, specific regulations of the Federation's Executive Board, and are reported publicly at Executive Board meetings.

Article 23.

The Vietnam Basketball Federation has its own financial resources and assets, entitled to collect and spend funds for its activities in accordance with the Federation's financial regulations consistent with the Financial Ordinance and the regulations of the Ministry of Finance for social organizations.

Article 24.

Sources of financial income for the Vietnam Basketball Federation include:

1. Membership fees and annual dues of member organizations.

2. Financial support from state agencies for sports and physical training.

3. Income from economic, production, service, competition, rights sales, publication, book distribution, marketing, advertising activities.

4. Income from sponsorships.

5. Rental income and depreciation of Federation assets.

6. Assistance from sports organizations and international non-governmental organizations. (Receiving assistance must comply with legal provisions).

7. Other income.

Article 25.

Main expenditures of the Federation:

1. Costs for the activities of functional departments, the Standing Committee, the Executive Board, and the Federation's Office.

2. Costs for training, coaching, domestic and international competitions.

3. Costs for propaganda and education.

4. Costs for infrastructure construction, repair, maintenance, equipment, and research projects, inviting experts, etc.

5. Salaries, remuneration, insurance, and hardship allowances for full-time staff.

6. Costs for international activities.

7. Support for member organizations when necessary.

8. Costs for awards and commendations.

Chapter 5.

REWARD AND DISCIPLINE

Article 26.

Member organizations and members of the Vietnam Basketball Federation who achieve outstanding results in their work will be rewarded. In special cases, the Vietnam Basketball Federation may propose that the Sports Administration and the State award higher honors, while also proposing appropriate forms of recognition to FIBA, ABC, and SEABA.

Article 27.

Organizations and individuals within the Vietnam Basketball Federation who violate the Statutes or regulations, or damage the Federation's reputation and honor, will be disciplined. In special cases, the Vietnam Basketball Federation may request local authorities and the Sports Administration to consider appropriate measures.

Chapter 6.

IMPLEMENTING PROVISIONS

Article 28.

Member organizations and members of the Vietnam Basketball Federation are responsible for fully implementing the contents of this Statute.

Only National Delegates of the Vietnam Basketball Federation have the right to amend or supplement the Statutes.

The Executive Board of the Vietnam Basketball Federation is responsible for guiding the implementation of this Statute.

Article 29.

This Statute consists of 6 chapters and 29 articles, adopted by the Fourth National Congress on November 9, 2002, and becomes effective upon approval by the competent state authority.
