Transfer the Dong Xuan Knitting Company under the Vietnam National Textile and Garment Corporation to become a Joint Stock Company with One Member

PRIME MINISTER

Pursuant to the Law on Organization of the Government dated December 25, 2001;

Pursuant to the Law on State-Owned Enterprises dated November 26, 2003;

Pursuant to the Government Decree No. 63/2001/NĐ-CP dated September 14, 2001 on the conversion of state-owned enterprises and enterprises of political organizations and political-social organizations into joint stock companies with one member;

Pursuant to the Government Decree No. 145/2005/NĐ-CP dated November 21, 2005 amending and supplementing certain articles of the Government Decree No. 63/2001/NĐ-CP dated September 14, 2001 on the conversion of state-owned enterprises and enterprises of political organizations and political-social organizations into joint stock companies with one member;

Considering the proposal of the Board of Directors of the Vietnam National Textile and Garment Corporation,

DECISION:

Article 1. Transfer the Dong Xuan Knitting Company, an independent accounting unit under the Vietnam National Textile and Garment Group, to become the Dong Xuan Knitting Joint Stock Company with One Member.

The Dong Xuan Knitting Joint Stock Company with One Member shall have its own seal, be entitled to open accounts at domestic and foreign banks in accordance with the law, and operate in accordance with the Company's Charter and the Enterprise Law.

- Full name: Dong Xuan Knitting Joint Stock Company with One Member.

- International trade name: Dong Xuan knitting sole member limited liability company.

- Abbreviation in English: DOXIMEX.

- Registered capital: 30,000,000,000 VND (thirty billion VND).

- Head office: No. 524 Minh Khai Street, Vinh Tuy Ward, Hai Ba Trung District, Hanoi City.

Article 2. Business activities of the Company: investment, production, trading, and import-export of textile products and raw materials; trading and import-export of machinery, equipment, spare parts, chemicals for the Company's production and business operations; real estate trading, leasing offices, supermarkets, consumer goods, handicrafts, office equipment; tourism service provision, transportation services, and other businesses as prescribed by law.

Article 3. Organization and operation:

1. Organizational structure of the Company follows the model: Board of Directors.

2. The organization and operation of the Company are specifically stipulated in the Company's Charter.

Article 4. The State-authorized representative body is:

The Board of Directors of the Vietnam National Textile and Garment Corporation.

The Board of Directors of the Vietnam National Textile and Garment Corporation is responsible for exercising the rights of the owner according to current regulations and the Company's Charter.

Article 5. The Dong Xuan Knitting Joint Stock Company with One Member is responsible for receiving and using effectively the capital and assets transferred by the Board of Directors of the Vietnam National Textile and Garment Corporation to fulfill the mission of developing production and business operations; inheriting all rights and obligations of the Dong Xuan Knitting Company.

Article 6. The Board of Directors of the Dong Xuan Knitting Joint Stock Company with One Member is responsible for drafting the Company's Charter on organizational structure and operation to submit for approval by the Board of Directors of the Vietnam National Textile and Garment Corporation; appointing the General Director, Deputy General Directors, and Chief Accountant of the Company in accordance with current laws.

Article 7. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.

The Board of Directors of the Vietnam National Textile and Garment Corporation, the General Director of the Dong Xuan Knitting Company, and the Board of Directors of the Dong Xuan Knitting Joint Stock Company with One Member are responsible for implementing this Decision./.
