DECISION

Regarding the adjustment of the plan for restructuring and modernizing state-owned enterprises under the Vietnam Maritime Corporation in 2005-2006

PRIME MINISTER

Pursuant to the Law on Organization of the Government dated December 25, 2001;

Pursuant to Decision No. 155/2004/QĐ-TTg dated August 24, 2004 of the Prime Minister on issuing criteria and classification lists for state-owned enterprises and independent accounting subsidiaries under state-owned corporations;

Considering the proposal of the Board of Directors of the Vietnam Maritime Corporation,

DECISION:

Article 1. Adjusts the plan for restructuring and modernizing state-owned enterprises under the Vietnam Maritime Corporation in 2005-2006 as set out in the Appendix attached hereto.

Article 2. The Board of Directors of the Vietnam Maritime Corporation shall be responsible for:

1. Directing the implementation of the restructuring and modernization of state-owned enterprises under its jurisdiction in accordance with the contents and schedule stipulated in this Decision.

2. Drafting a proposal to apply the holding company-subcompany model for the Vietnam Maritime Corporation, to be submitted to the Prime Minister for approval in the third quarter of 2005.

Article 3. The Ministries of Finance, Planning and Investment, Home Affairs, Labor, War Invalids and Social Affairs; the Steering Committee for Enterprise Modernization and Development, and related agencies shall be responsible for coordinating with the Vietnam Maritime Corporation in implementing the above plan.

Article 4. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.

The Chairman of the Board of Directors of the Vietnam Maritime Corporation and the heads of related agencies shall be responsible for enforcing this Decision./.

LIST OF STATE-OWNED ENTERPRISES UNDER THE VIETNAM MARITIME CORPORATION ADJUSTING THE RESTRUCTURING AND MODERNIZATION PLAN IN 2005-2006
(Annexed to Decision No. 180/2005/QĐ-TTg dated July 18, 2005 of the Prime Minister)

I. CORPORATIZATION OF STATE-OWNED ENTERPRISES: 8 UNITS

1. To be implemented in 2005: 6 units

a) State retains controlling shares:

- Southern Foreign Labor Cooperation Company,

- Marine Transport III Company,

- Vietnam Oil and Gas Transport Company,

- Dong Do Shipping Company (after separating Khuyen Luong Port to become a subsidiary unit of the Vietnam Maritime Corporation),

- Vietnam Marine Agency.

b) State retains minority shares or does not hold shares:

Marine Industry Service Company.

2. To be implemented in 2006: 2 units

a) State retains controlling shares:

Northern Marine Transport Company.

b) State retains minority shares:

Saigon Port Trade and Service Company.

II. TRANSFORMATION INTO A SINGLE-MEMBER JOINT STOCK COMPANY: 5 UNITS

1. In 2005: 4 units

- Vietnam Marine Transport and Chartering Company,

- Hai Phong Port,

- Saigon Port,

- Da Nang Port.

2. In 2006: 1 unit

Quang Ninh Port.
