Convert Nam Dinh Weaving Company, an independent accounting unit under Vietnam Textile - Garment Joint Stock Corporation, into State-Owned Joint Stock Limited Company Nam Dinh Weaving.

PRIME MINISTER

Pursuant to the Law on Organization of the Government dated December 25, 2001;

Pursuant to the State Enterprise Law dated November 26, 2003;

Pursuant to Decree No. 63/2001/NĐ-CP dated September 14, 2001;

Considering the proposal of the Board of Directors of the Vietnam National Textile and Garment Corporation,

DECISION:

Article 1. The State-Owned Joint Stock Limited Company Nam Dinh Weaving shall have its own seal, be entitled to open accounts at domestic and foreign banks in accordance with the provisions of the law, and operate in accordance with the Company's Charter and the Enterprise Law.

- Full name: State-Owned Joint Stock Limited Company Nam Dinh Weaving.

- International trade name: NamDinh Textile one member of state responsibility limited company.

- Abbreviation in English: NATEXCO.

- Registered capital: 132,967,373,244 Vietnamese dong (one hundred thirty-two billion nine hundred sixty-seven million three hundred seventy-three thousand two hundred forty-four Vietnamese dong).

- Head office: No. 43 To Hieu Street, Nam Dinh City, Nam Dinh Province.

Main business activities of the company: production and trading of yarn, weaving, dyeing, and sewing products; direct import and export of raw materials, auxiliary materials, dye chemicals, machinery, equipment, and spare parts for the production and trading of yarn, weaving, dyeing, and sewing products; tourism, hotel, restaurant, food service operations; passenger and cargo transportation, warehousing, and terminal services; real estate, supermarket, and office rental operations; trading of materials and machinery for transportation and construction industries; construction of industrial, civil, transportation, water conservancy projects, and other businesses as prescribed by law.

Article 2. 1. Management structure of the company follows the model: Chairman of the company.

Article 3. Organization and operation

The State-Owned Joint Stock Limited Company Nam Dinh Weaving is responsible for receiving and effectively utilizing the capital and assets transferred by the Board of Directors of Vietnam Textile - Garment Joint Stock Corporation to fulfill the mission of developing production and trading activities; inheriting all rights and obligations of Nam Dinh Weaving Company.

2. The organization and operation of the company are specifically regulated in the Company's Charter.

Article 4. The State body authorized to represent the owner:

Board of Directors of Vietnam Textile - Garment Corporation.

Address: No. 25 Ba Trieu Street, Hoan Kiem District, Hanoi City.

The Board of Directors of Vietnam Textile - Garment Corporation is responsible for exercising the rights of the owner's representative according to current regulations and the Company's Articles of Association.

Article 5. The Chairman of the State-Owned Joint Stock Limited Company Nam Dinh Weaving is responsible for drafting the Charter on organization and operation of the company to submit to the approval of the Board of Directors of Vietnam Textile - Garment Joint Stock Corporation; appointing the General Director, Deputy General Directors, and Chief Accountant of the company in accordance with current laws.

Article 6. The Board of Directors of Vietnam Textile - Garment Joint Stock Corporation, the General Director of Nam Dinh Weaving Company, and the Chairman of the State-Owned Joint Stock Limited Company Nam Dinh Weaving are responsible for implementing this Decision./.

Article 7. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.

The Board of Directors of Vietnam National Textile - Garment Corporation, the General Director of Nam Dinh Textile Company, and the Chairman of the State-owned Joint Stock Company Nam Dinh Textile are responsible for implementing this Decision./.
