THE MINISTER OF INDUSTRY

Pursuant to the Government Decree No. 74/CP dated November 1, 1995 on the functions, tasks, powers, and organizational structure of the Ministry of Industry;

Pursuant to Decree No. 50/CP dated August 28, 1996 of the Government on the establishment, restructuring, dissolution, and bankruptcy of state-owned enterprises;

Considering the proposals of the Board of Directors of Vietnam Alcohol-Beer-Soft Drink Joint Stock Corporation (letters 05/CV-KHĐT dated January 2, 2001 and 66/CV-TCKT dated March 21, 2001);

At the proposal of the Director of the Personnel and Organization Department,

DECISION:

Article 1. Establish Binhtay Distillery Company, a member enterprise of Vietnam Alcohol-Beer-Soft Drink Joint Stock Corporation based on the Binhtay Alcohol Factory under Saigon Beer Corporation.

- International trade name in English: BINHTAY DISTILLERY;

- Main office located at: No. 621, Pham Van Chi Street, Ward 7, District 6, Ho Chi Minh City;

- Binhtay Distillery Company shall be a legal entity under Vietnamese law from the date of business registration, implementing independent economic accounting, opening bank accounts including foreign currency accounts, and using seals for transactions in accordance with the law;

- Charter Capital of the Company: VND 52,172,581,689.

Article 2. The Company operates in the following industries:

- Production, trading, and import/export of alcohol products, wine, beer, fruit soft drinks, soy milk, and cardboard boxes;

- Warehouse rental services and other businesses in compliance with the law.

Article 3. Binhtay Distillery Company shall proceed to complete business registration procedures and operate according to the Company's Articles of Association approved by the Board of Directors of Vietnam Alcohol-Beer-Soft Drink Joint Stock Corporation and in accordance with relevant laws.

Article 4. This Decision takes effect fifteen days from the date of signature. Decisions contrary to this Decision are hereby repealed.

The Director of the Ministry's Office, the Inspector General of the Ministry, Heads of Departments, Directors of Agencies under the Ministry, Chairman of the Board of Directors and General Director of Vietnam Alcohol-Beer-Soft Drink Joint Stock Corporation, General Director of Saigon Beer Corporation, and Director of Binhtay Distillery Company are responsible for implementing this Decision./.
