PRIME MINISTER
Pursuant to the Law on Organization of the Government dated December 25, 2001;
Pursuant to the Law on State-Owned Enterprises dated November 26, 2003;
Pursuant to the Enterprise Law dated November 29, 2005;
Pursuant to Decree No. 153/2004/NĐ-CP dated August 9, 2004 of the Government on the organization and management of state-owned corporations and the transformation of state-owned corporations and independent state-owned companies into holding company-subcompany models.
Considering the proposal of the Board of Directors of Vietnam Cement Corporation,
Pursuant to …;
Article 1. Approves the Plan to convert Vietnam Cement Corporation to operate under the holding company-subcompany model with the following contents:
1. Holding Company - Vietnam Cement Corporation:
The holding company - Vietnam Cement Corporation is a state-owned enterprise, having legal personality, seal, Articles of Organization and Operation; it is entitled to open accounts at banks and the National Treasury; it directly carries out production, business activities, and invests capital in other companies; it is responsible for preserving state capital in the holding company and in invested companies.
The holding company is formed based on the restructuring of the Office of Vietnam Cement Corporation and Hoang Thach Cement Company. The holding company is responsible for inheriting the legal rights and obligations of Vietnam Cement Corporation as stipulated by law.
The management structure of the holding company includes: Board of Directors, Supervisory Board, General Director, Deputy General Directors, Chief Accountant, and supporting staff.
2. Subcompanies include:
a) Companies undergoing shareholding reform from 2006 to 2010, with the holding company holding controlling shares: 10 companies
- Ha Tien 1 Cement Company (2006);
- Da Nang Construction Materials and Construction Company (2006);
- Cement Technical Supplies Company (2006);
- Hai Van Cement Company (2007);
- Ha Tien 2 Cement Company (2008);
- Cement Import-Export Company (2008);
- Cement Investment and Development Consulting Company (2008);
- Hoa Mai Cement Company (2009);
- Tam Diep Cement Company (2009);
- Hai Phong Cement Company (2010).
b) Subcompanies with the holding company holding controlling shares or equity: 12 companies:
- But Son Cement Joint Stock Company;
- Bim Son Cement Joint Stock Company;
- Cement Technical Supplies and Transportation Joint Stock Company;
- Gypsum and Cement Joint Stock Company;
- Bimsan Cement Packaging Joint Stock Company;
- Butson Cement Packaging Joint Stock Company;
- Ha Tien Transportation Joint Stock Company;
- Hoa Phat Construction Stone Joint Stock Company;
- Hai Phong Commercial and Service Transportation Joint Stock Company;
- Hai Phong Cement Packaging Joint Stock Company;
- Hoang Thach Commercial and Service Transportation Joint Stock Company;
- Ha Tien - Kien Giang Joint Venture Cement Packaging Company.
c) Establish cement machinery and construction joint stock companies based on concentrating the mechanical and construction capabilities of cement companies within the corporation.
3. Associated companies where the holding company holds less than 50% of the charter capital: 8 companies.
- 4 foreign joint ventures:
+ Haiphong Chinfon Cement Company;
+ Nghi Son Cement Company;
+ Holcim Vietnam Cement Company;
+ Lafarge Vietnam Concrete Limited Liability Company.
- 4 domestic joint stock companies:
+ Dong Nai Building Sheet Material Joint Stock Company;
+ Hoang Thach Cement Packaging Joint Stock Company;
+ Ha Tien 2 Cement - Can Tho Joint Stock Company;
+ Song Da 12 Joint Stock Company.
4. Public institutions:
- Cement College;
- Cement Training Center;
- Rehabilitation Center.
5. The addition of subcompanies, associated companies, and public institutions shall be carried out by the Board of Directors of Vietnam Cement Corporation in accordance with the provisions of the law.
Article 2. Implementation organization:
1. Minister of Construction:
- Directing and monitoring the implementation of this Decision;
- Deciding to transform the companies mentioned in point a, Clause 2, Article 1 of this Decision into joint stock companies according to current regulations.
2. Board of Directors of Vietnam Cement Corporation:
- Submitting to the Ministry of Construction for decision on the shareholding reform of the companies mentioned in point a, Clause 2, Article 1 of this Decision.
- Preparing the Plan to establish a Cement Finance Company for submission to the Prime Minister for consideration and approval.
Article 3. This Decision takes effect 15 days after its publication in the Official Gazette.
Ministers of the Ministries of Construction, Finance, Planning and Investment, Labor, Invalids and Social Affairs, Home Affairs, Governor of the State Bank of Vietnam, Heads of relevant agencies, Steering Committee for Enterprise Reform and Development, and the Board of Directors of Vietnam Cement Corporation are responsible for implementing this Decision./.
