Regarding the approval of the pilot project to establish Vietnam Coal Corporation
PRIME MINISTER
Pursuant to the Law on Organization of the Government dated December 25, 2001;
Pursuant to the Enterprise Law dated June 12, 1999;
Pursuant to the State Enterprise Law dated November 26, 2003;
Pursuant to Decree No. 153/2004/NĐ-CP dated August 9, 2004 of the Government on the organization and management of State-owned Corporations and the transformation of State-owned Corporations and independent State-owned companies into parent company-subcompany models;
Considering the proposal of the Board of Directors of Vietnam Coal Corporation,
DECISION:
Article 1. Approves the pilot project to establish Vietnam Coal Corporation operating under the parent company-subcompany model, with the following contents:
1. The Parent Company - Vietnam Coal Corporation (hereinafter referred to as Vietnam Coal Corporation) is a state-owned enterprise with the function of investing financially in other enterprises, exercising control over subcompanies through capital, mineral resources managed by the State, technology, brand, and market.
Vietnam Coal Corporation is formed based on the restructuring and reorganization of Vietnam Coal Corporation and its affiliated units, aiming to create a strong economic group with high technological level, modern management, diversified business operations, among which the main industry is coal industry, thermal power plants using coal, industrial explosives, energy machinery and mines, shipbuilding and automobile manufacturing, mining and processing of minerals.
2. The management and operation structure of Vietnam Coal Corporation includes: the Board of Directors, the Audit Board, the General Director, Deputy General Directors, Chief Accountant, and supporting staff. The Board of Directors represents the direct state ownership at the Corporation, consisting of seven members, including one Chairman of the Board of Directors, one General Director, and one Head of the Audit Board. Members of the Board of Directors and the General Director of the Corporation are appointed by the Prime Minister upon the recommendation of the Minister of Industry.
3. Vietnam Coal Corporation shall be responsible for inheriting the legal rights and obligations of Vietnam Coal Corporation as stipulated by law.
4. The relationship between Vietnam Coal Corporation and the state owner and subcompanies, associated companies shall be carried out in accordance with the law and regulations set forth in the Charter of Organization and Operation of Vietnam Coal Corporation.
5. The organizational structure of Vietnam Coal Corporation consists of:
- Coal Port and Trading Company.
- Hòn Gai Coal Processing Company.

- Vietnam Coal Financial Company.
- Geological Mining Company.
- Mine Rescue Center.
- Human Resource Development Management Center.
- Vietnam Coal Project Management Board.
- Son Dong Thermal Power Plant Project Management Board.
- Occupational Health Center of the Coal Industry.
- Vietnam Coal Magazine.
The Board of Directors of Vietnam Coal Corporation shall develop a proposal to submit to the competent state authority for the decision to establish Vietnam Coal Financial Company in accordance with current regulations.
6. Companies held 100% of charter capital by the Corporation:
- Vietnam Industrial Explosives Limited Liability Company.
- Vietnam Coal Machinery Manufacturing Limited Liability Company.
- Dong Bac Company.
- Hòn Gai Coal Company.
- Ha Long Coal Company.
- Mine Construction Company.
- Duong Huy Coal Company.
- Ha Lam Coal Company.
- Thong Nhat Coal Company.
- Mong Duong Coal Company.
- Khe Cham Coal Company.
- Mao Khe Coal Company.
- Vang Danh Coal Company.
- Quang Hanh Coal Company.
- Vietnam Coal Automotive Industry Company.
- Vietnam Coal Shipbuilding Machinery Company.
- Institute of Science and Technology of Mines.
- Institute of Energy and Mining Machinery.
The Board of Directors of Vietnam Coal Corporation shall submit to the competent state authority the conversion of the above units into limited liability companies and scientific and technological activity companies in accordance with the law; continue maintaining the current management and organizational model for Dong Bac Company.
7. Companies operating under the parent company-subcompany model:
- Domestic Coal Company.
- Uong Bi Coal Company.
The Board of Directors of Vietnam Coal Corporation shall develop a proposal to convert Domestic Coal Company and Uong Bi Coal Company to operate under the parent company-subcompany model for approval by the Minister of Industry.
8. Companies held more than 50% of charter capital by the Corporation:
- Cam Pha Thermal Power Joint Stock Company.
- Transport and Miner Shuttle Service Joint Stock Company.
- Vietnam Coal Shipping Agency Joint Stock Company.
- Vietnam Coal Import-Export Joint Stock Company.
- Vietnam Coal Tourism and Trade Joint Stock Company.
- Investment, Trade and Services Joint Stock Company.
- Cam Pha Coal Processing and Trading Joint Stock Company.
- Central Vietnam Coal Joint Stock Company.
- Southern Vietnam Coal Joint Stock Company.
- West Nam Dam Mountain Coal Joint Stock Company.
- Nui Beo Coal Company.
- Cam Pha Electrical Equipment Manufacturing Company.
- Development Information Technology, Science and Environment Company.
- Mining and Industry Consulting Company.
- Vietnam Coal Inspection Company.
- Northern Vietnam Coal Processing and Trading Limited Liability Company.
- Deo Nai Coal Company.
- Cuc Sau Coal Company.
- Cao Son Coal Company. - Ha Tu Coal Company.
- Material, Transportation and Loading Company.
- Heritage Halong Hotel Company.
- Na Duong Thermal Power Company.
- Cao Ngan Thermal Power Company.
The Board of Directors of Vietnam Coal Corporation shall develop a roadmap for the shareholding reform of non-shareholding companies mentioned herein for approval by the Minister of Industry.
9. Associated companies held less than 50% of charter capital by the Corporation:
- Hai Phong Thermal Power Joint Stock Company.
- Quang Ninh Thermal Power Joint Stock Company.
- Mao Khe Mechanical Joint Stock Company.
- Uong Bi Electromechanical Joint Stock Company.
10. Vocational training schools:
- Hong Cam Mining Vocational Training School.
- Friendship Mining Vocational Training School.
- Mining and Construction Vocational Training School.
11. For new members, the Board of Directors of Vietnam Coal Corporation shall decide on their acceptance in accordance with the law.
Article 2. Implementation organization:
- Propose to the Prime Minister to supplement additional members to the Board of Directors of Vietnam Coal-Mineral Industries Group.
- Shall be responsible for directing and monitoring the implementation of this Decision; promptly identify and resolve any arising issues, report to the Prime Minister for resolution of matters exceeding authority, take the lead and coordinate with relevant agencies to study and propose to the Prime Minister new issues requiring piloting during the implementation process.
- Approve the project to transfer the Domestic Coal Company and the Uong Bi Coal Company to operate under the holding company-subcompany model as stipulated in Point 7 and the plan for equitization of enterprises as stipulated in Point 8 of Article 1 of this Decision.
2. Ministry of Finance:
Approve the financial regulations of the Vietnam Coal Corporation as proposed by the Board of Directors of the Vietnam Coal Corporation.
3. The Board of Directors of the Vietnam Coal Corporation:
- Submit to the Prime Minister for approval the Charter of organization and operation of the Vietnam Coal Corporation.
- Develop a proposal to establish a Financial Company to be submitted to the Prime Minister for decision.
4. Ministers of the Ministries of Finance, Planning and Investment, Labor - Invalids and Social Affairs, Home Affairs; Heads of relevant agencies, the Steering Committee for Enterprise Reform and Development shall be responsible for coordinating with the Ministry of Industry and the Board of Directors of the Vietnam Coal Corporation in implementing the above tasks within their respective functions and responsibilities.
Article 3. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.
Ministers of the Ministries of Industry, Finance, Planning and Investment, Labor - Invalids and Social Affairs, Home Affairs, Heads of relevant agencies, the Steering Committee for Enterprise Reform and Development, and the Board of Directors of the Vietnam Coal Corporation are responsible for implementing this Decision./.
