THE MINISTER OF INDUSTRY

Pursuant to the Government Decree No. 74/CP dated November 1, 1995 on the functions, tasks, powers, and organizational structure of the Ministry of Industry;

Pursuant to Decree No. 44/1998/NĐ-CP dated June 29, 1999 of the Government on the transformation of state-owned enterprises into joint stock companies;

Upon the recommendation of the Enterprise Management Reform Board of the Ministry of Industry and the Director of the Department of Organization and Cadres,

Amend Clause 1 Article 1 and Article 2 of Decision No. 73/2000/QĐ-BCN dated December 22, 2000 of the Minister of Industry on converting Binh Dinh Vegetable Oil Company into Binh Dinh Vegetable Oil Joint Stock Company as follows.

DECISION:

Article 1. 1. Clause 1 Article 1 shall be amended as follows:

"1. Charter capital structure. The charter capital of the company is: 4,000,000,000 VND (Four billion VND).

Of which,

- Proportion of shares sold to employees within the company: 68.6%;

- Proportion of shares sold to other entities outside the company: 31.4%.

Value of one share: 100,000 VND."

2. Article 2 shall be amended as follows:

"Convert Binh Dinh Vegetable Oil Company into Binh Dinh Vegetable Oil Joint Stock Company from April 1, 2001,

- Name in Vietnamese: Binh Dinh Vegetable Oil Joint Stock Company;

- English name: BINHDINH VEGETABLE OIL STOCK COMPANY, abbreviated as: BIVOCO;

- Main office located at: Area 4, Quang Trung Ward, Quy Nhon City, Binh Dinh Province."

The Head of the Ministry's Office, the Inspector General of the Ministry, Heads of Departments and Directors of Bureaus under the Ministry, the Director of Binh Dinh Vegetable Oil Company, the Chairman of the Board of Directors and the General Director of Binh Dinh Vegetable Oil Joint Stock Company are responsible for implementing this Decision./.

Article 2. This Decision shall take effect fifteen days from the date of signature.

The Head of the Ministry’s Office, the Inspector General of the Ministry, the Heads of Departments and Directors of Bureaus under the Ministry, the Director of the Binh Dinh Vegetable Oil Company, the Chairman of the Board of Directors and the Director of the Binh Dinh Vegetable Oil Joint Stock Company are responsible for implementing this Decision./.
