REGULATIONS ON METHODS FOR DETERMINING THE PRICE OF AUXILIARY SERVICES TO THE ELECTRICITY SYSTEM AND PROCEDURES FOR INSPECTING CONTRACTS FOR PROVIDING AUXILIARY SERVICES TO THE ELECTRICITY SYSTEM
Pursuant to Decree No. 95/2012/NĐ-CP dated November 12, 2012, of the Government, detailing the functions, tasks, powers, and organizational structure of the Ministry of Industry and Trade;
Pursuant to the Electricity Law dated December 3, 2004 and the Law Amending and Supplementing Certain Provisions of the Electricity Law dated November 20, 2012;
Pursuant to Decree No. 137/2013/NĐ-CP dated October 21, 2013 of the Government detailing the implementation of certain provisions of the Electricity Law and the Law Amending and Supplementing Certain Provisions of the Electricity Law;

The Minister of Industry and Trade issues this Circular stipulating the methods for determining the price of auxiliary services to the electricity system and model contracts for providing auxiliary services to the electricity system, and procedures for inspecting contracts for providing auxiliary services to the electricity system.
PART I
GENERAL PROVISIONS
Article 1. Scope of Regulation and Applicability
1. This Circular stipulates the procedures for establishing, reviewing, and approving the price of auxiliary services to the electricity system and model contracts for providing auxiliary services, and the procedures for inspecting contracts for providing auxiliary services to the electricity system.
2. This Circular applies to the Vietnam Electricity Corporation, the Electricity Purchasing Company, the System Operation Unit and Electricity Market, and Units providing auxiliary services to the electricity system.
3. This Circular amends and supplements Article 68 of Circular No. 30/2014/TT-BCT dated October 2, 2014 of the Ministry of Industry and Trade on the operation of competitive power generation markets.
Article 2. Interpretation of Terms
Strategic multi-purpose hydropower plant
1. Expected available capacity of the generating unit is the largest capacity expected to be achieved when the generating unit operates continuously and stably for at least eight hours.
2. Auxiliary service includes standby services for rapid start-up, cold start-up, mandatory generation to ensure system security, frequency regulation, and spinning reserve services that are mobilized according to dispatch orders from the System Operation Unit and Electricity Market to ensure operational standards, maintain reliability, and ensure system security.
3Provider of auxiliary services is a power generation unit owning one or more power plants that are dispatched to provide auxiliary services. For rapid start-up, cold start-up, and mandatory generation to ensure system security standby services, the provider of auxiliary services must be listed by the Electricity Regulatory Authority and sign a contract with the Vietnam Electricity Corporation. The cost of providing auxiliary services is included in the power generation costs and paid according to current regulations.
4. System Operator and Market Operator Dispatch order

Chapter II
METHODS FOR DETERMINING THE PRICE OF AUXILIARY SERVICES
Section 1. PRINCIPLES FOR DETERMINING THE PRICE OF AUXILIARY SERVICES
Article 3. Principles for Determining the Price of Ancillary Services
1. For fast-start reserve services, cold-start reserve services, and operation must generate to ensure power system security, the price of ancillary services shall be determined based on the principle of ensuring sufficient recovery of reasonable and legitimate actual costs and reasonable annual profit for the ancillary service providers, which are thermal power plants; the price does not include value-added tax and environmental protection fees for solid waste. The price of ancillary services for this entity includes the following components:
a) Fixed price is the component for recovering total fixed costs for the ancillary service provider's operations in the year the price applies;
b) Variable price is the component for recovering fuel and material costs for electricity production by the ancillary service provider according to the dispatch orders of the power system operator and the electricity market;
c) Start-up price of the generator set is the component for recovering fuel costs and energy costs of the generator set during the process of operating the generator set from a stopped state at hot, cold, or warm conditions to generating electricity according to the dispatch orders of the power system operator and the electricity market.
2. For frequency regulation services, the mobilization and pricing principles are as follows:
a) The power system operator and electricity market mobilize multi-purpose strategic hydropower plants of Vietnam Electricity Corporation to provide frequency regulation services. Actual, reasonable, and legitimate costs incurred due to providing frequency regulation services are included in the production and business costs of multi-purpose strategic hydropower plants;
b) For power plants directly participating in the electricity market, costs incurred due to providing frequency regulation services are paid according to the Provisions on Competitive Electricity Market Operation issued by the Ministry of Industry and Trade or other relevant regulations.
3. For spinning reserve services, the spinning reserve service provider is a power plant directly participating in the electricity market. The method for determining the price of ancillary spinning reserve services is implemented according to the provisions of Section 3 of this Chapter.
Section 2. METHODS FOR DETERMINING THE PRICE OF ANCILLARY SERVICES FOR FAST START RESERVE, COLD START RESERVE, AND OPERATIONS MUST GENERATE TO ENSURE POWER SYSTEM SECURITY

The total depreciation cost (CKH) of the Service Support Unit in year N is determined based on the regulations on the period of use and the method of depreciation of fixed assets prescribed in Circular No. 45/2013/TT-BTC dated April 25, 2013 issued by the Ministry of Finance on management, use, and depreciation of fixed assets and subsequent replacement, amendment, and supplementation documents.

a) Method for determining total material cost (CVLcd)
The total fixed material cost year N (CVLcd) of the Service Support Unit is determined based on the fixed material cost of the unit in year N-2 that has been audited, excluding abnormal fluctuation costs, with price adjustment at a rate of 2.5% per year.
b) Method for determining total labor cost (CTL)
The total labor cost year N (CTL) includes total labor cost and other costs with the nature of wages such as health insurance, social insurance, unemployment insurance, and trade union fees as prescribed by relevant laws.
c) Method for determining total major repair cost (CMN)
The total major repair cost (CMN) is agreed upon by the parties based on the value approved by the competent authority. In cases where objective reasons lead to changes in the repair schedule from the current year to the next year, the parties consider adjusting the repair cost of the next year to ensure that the major repair cost over the cycle remains unchanged or varies little.
d) Method for determining total cost of purchased services (CBTK)
The total cost of purchased services of year N (CBTK) includes all costs paid to organizations and individuals outside the unit for services performed according to requirements including water, telephone, books and newspapers; external electricity costs; consulting audit fee and other service costs to serve the management and operation of the Service Support Unit in year N.
The total cost of purchased services of year N is determined based on the cost of purchased services of the unit in year N-2 that has been audited, excluding abnormal fluctuation costs, with price adjustment at a rate of 2.5% per year.
đ) Method for determining total other monetary costs (Cảo)
The total other monetary costs year N (Cảo) include: travel expenses, transportation for vacation; conference and reception expenses; training expenses; scientific research, innovation improvement expenses; meal allowance; civil defense, security, flood prevention, fire protection expenses; labor protection, work attire, safety, industrial hygiene and environmental expenses; drinking water during working hours, night shift allowances, hazardous substance allowances; first aid expenses for workplace accidents, common medical expenses, functional recovery expenses for workers; unemployment assistance expenses, recruitment expenses; land tax; exchange rate difference calculated according to current regulations and other monetary expenses for year N.
The total other monetary costs year N (excluding land tax, exchange rate difference) is determined based on the other monetary costs of the unit in year N-2 that have been audited (if the data of year N-1 has been audited, then use the data of year N-1), excluding abnormal fluctuation costs, with price adjustment at a rate of 2.5% per year.
3. Interest payment and other borrowing fees (CLVDH): Based on loan contracts or legal documents between the Project Investor and lending financial institutions and banks.

2. Chapter III
PROCEDURE FOR ESTABLISHING, REVIEWING, AND APPROVING THE SERVICE SUPPORT PRICE
Article 9. Procedures for Establishing, Reviewing, and Approving Service Ancillary Prices
1. Before November 1, Year N-1, Vietnam Electricity Corporation shall be responsible for establishing prices for rapid start-up reserve services, cold start-up reserve services, and forced generation operation services to ensure system security of service ancillary providers on the power system in accordance with Articles 4, 5, 6, and 7 of this Circular, to submit to the Electricity Regulatory Authority for review to present to the Minister of Industry and Trade for approval.
2. Before December 15, Year N-1, the Ministry of Industry and Trade shall approve the price of service ancillary for Year N of rapid start-up reserve service providers, cold start-up reserve service providers, and forced generation operation service providers to ensure system security.
Article 10. Documentation for Approval of Service Ancillary Prices
The documentation submitted to the Electricity Regulatory Authority for review to present to the Ministry of Industry and Trade for approval of rapid start-up reserve service prices, cold start-up reserve service prices, and forced generation operation service prices to ensure system security includes the following contents:
1. Petition for approval of service ancillary prices.
2. Five (5) sets of detailed calculation explanations for service ancillary prices, including the following main contents:
a) Report on the implementation of economic and technical indicators of power plants up to September 30 and estimated implementation until December 31, Year N-1, including:
b) Report on electricity energy exchange volume, average fuel consumption rate implemented in Year N-1;
- Report on production and business operation results: Revenue and costs of the power plant up to September 30 and estimated revenue, costs, and profit of the power plant until December 31, Year N-1.
b) Explanation and calculation of service ancillary prices for Year N including:
Detailed explanation and calculation table of production and business operation plan including fixed asset depreciation costs, interest payment costs, labor costs, auxiliary material costs, major repair costs, purchased service costs, other monetary costs, drying costs, exchange rate differences, and standard profit margin to determine the fixed cost of the power plant, the fixed price of Year N of the power plant.
c) Attached documents include:
- Consolidated financial report of Year N-2, production and business operation cost report of Year N-2 audited by an independent auditing agency (if available);
- Major repair plan for Year N of generating units of service ancillary providers;
- Registered available capacity forecast for Year N of generating units and service ancillary providers;
- Fuel consumption characteristic curve of generating units of service ancillary providers;
- Auxiliary material consumption quota for power generation of service ancillary providers;
- Fuel and electricity consumption quota for starting up generating units under hot and cold start conditions;
- Electricity consumption quota for drying generating units during standby;
- Expected fuel and material prices for Year N used for power generation and regular maintenance.
Chapter IV
SERVICE ANCILLARY SUPPLY CONTRACT
Article 11. Application of Model Contract for Service Ancillary Supply
1. The model contract for service ancillary supply stipulated in the Appendix issued together with this Circular shall be applied for the provision of rapid start-up reserve services, cold start-up reserve services, and forced generation operation services to ensure system security between designated service ancillary providers and Vietnam Electricity Corporation.
2. Annually, the parties shall be responsible for agreeing and signing amendments and supplements to the contract regarding service ancillary prices according to the decision of the Ministry of Industry and Trade and submitting the amended and supplemented contract to the Electricity Regulatory Authority.
Article 12. Procedure for inspecting Service Support Supply Contracts
1. Within five working days from the date the Service Support Supply Contract is signed by both parties, Vietnam Electricity Corporation shall be responsible for sending the draft Service Support Supply Contract to the Electricity Market Regulatory Agency for inspection.
2. Within fifteen working days from the date of receiving the contract draft, the Electricity Market Regulatory Agency shall be responsible for inspecting and providing comments on the Service Support Supply Contract.
3. At the latest thirty working days from the date the Service Support Supply Contract is officially signed, Vietnam Electricity Corporation shall be responsible for sending one copy of the Service Support Supply Contract to the Electricity Market Regulatory Agency.
Chapter V
IMPLEMENTATION
Article 13. Amending and Supplementing Clause 68 of Circular No. 30/2014/TT-BCT
Clause 68 of Circular No. 30/2014/TT-BCT dated October 2, 2014 of the Ministry of Industry and Trade, which regulates competitive power generation market operations, is amended and supplemented as follows:
"Clause 68. Determination of Payment Capacity
1. Principles for determining payment capacity for each trading cycle
a) Power units participating in power generation in each trading cycle on the market will receive market capacity prices for that cycle, except for slow-start units that have stopped to serve as reserves and units that have stopped due to failure;
b) For power units not providing frequency regulation and spinning reserve services, the payment capacity of the unit equals the electricity output of the unit at the metering point during the trading cycle;
c) For power units participating in providing frequency regulation and spinning reserve services, in addition to the electricity output of the unit at the metering point (at the delivery point) during the trading cycle, the unit will also be paid for the determined spinning reserve and frequency regulation capacity according to Clauses 2 and 3 of this Article.

3. Power plants providing fast start-up reserve, cold start-up reserve, and must-run operation to ensure system security shall be responsible for:
Article 14. Implementation Organization
1. The Electricity Regulatory Authority shall be responsible for:
a) Negotiating and signing the Service Support Supply Contract;
b) Providing complete information, being responsible, ensuring the accuracy, reasonableness, and validity of the data and documents provided to related units and agencies during the negotiation and inspection process of the Service Support Supply Contract.
1. This Circular takes effect from August 7, 2015.
3. Vietnam Electricity Corporation and power plants providing fast start-up reserve, cold start-up reserve, and must-run operation to ensure system security shall implement the agreed service support prices for 2015 according to the method stipulated in this Circular, submit them to the Electricity Market Regulatory Agency for review and submission to the Ministry of Industry and Trade for approval immediately after this Circular takes effect.
a) Compiling the list of power plants providing ancillary services according to the transmission system regulations and the national black start and system recovery regulations issued by the Ministry of Industry and Trade;

Jointly agree to conclude the Ancillary Service Supply Contract with the following contents:
Article 1. Definitions
In this Contract, the following terms shall be understood as follows:
1. Seller is the Company (…) owning the Power Plant (...).
2. Buyer is Vietnam Electricity Corporation.
Available Capacity is the level of capacity ready at a specified time point announced by the Seller.
Ancillary Services include quick-start reserve, cold-start reserve, and forced generation service to ensure system security provided by the Seller upon request of the Buyer, aiming to maintain operational standards, reliability, and system security.
5. Point of Interconnection Point of Interconnection
Point of Delivery is the metering point to determine the quantity of electricity supplied by the Seller to the Buyer.
National Power System consists of power generation equipment, transmission networks, and auxiliary facilities interconnected and centrally commanded throughout the country.
Primary Metering System includes all metering devices (meters, current transformers, voltage transformers) and secondary circuits connecting these devices installed at agreed locations serving as the basis for determining the quantity of electricity exchanged.
Backup Metering System includes all metering devices (meters, current transformers, voltage transformers) and secondary circuits connecting these devices installed at agreed locations for verification and backup purposes for the Primary Metering System.
Contract refers to this Ancillary Service Supply Contract, including Appendices and subsequent amendments and supplements.
Dispatch Order Limit on the number of forced shutdown hours due to unforeseen factors
Day refers to the Gregorian calendar day.
Power Plant is the Power Plant (name of the power plant) with total installed capacity of (...) MW, consisting of (...) units, each unit having a capacity of (...) MW located at (location of the plant).Technical Standards and Industry Standardsare technical standards mandatory for implementation issued by competent state authorities in Vietnam and international organizations' and other countries' regulations, standards, and practices applicable in the electricity industry that comply with Vietnamese laws.
Interconnection Equipment includes transmission lines, metering systems, control systems, protective relays, switching devices, communication systems, and construction works necessary for interconnecting the Power Plant to the Point of Interconnection.
Competitive Power Generation Market is the first-level electricity market stipulated in Article 18 of the Electricity Law and operates according to the Competitive Power Generation Market Operating Regulations issued by the Ministry of Industry and Trade.
The Contract shall take effect from the date when the authorized representatives of both parties sign it officially or as agreed in this Contract. Unless extended or terminated as stipulated in Article 9 of this Contract, the Contract shall have a term from the date it takes effect until the end of the operation of the Competitive Power Generation Market as decided by the competent state authority.
Article 2. Effectiveness and Duration of the Contract
1. Effectiveness of the Contract
1. The Seller commits to provide Ancillary Services including: quick-start reserve, cold-start reserve, and forced generation service to ensure system security according to Dispatch Orders and in compliance with the Transmission System Regulations issued by the Ministry of Industry and Trade and technical characteristics specified in Appendices 1 and 3 of the Contract.
2. Term of the Contract
2. The Seller is obligated to ensure the Power Plant is always ready to provide Ancillary Services according to the Buyer's requirements with standards set forth in the Transmission System Regulations issued by the Ministry of Industry and Trade and technical specifications detailed in Appendices 1 and 3 of the Contract.
Article 3. Sale of Ancillary Services
3. The price of Ancillary Services is annually defined in Appendix 5 of the Contract. Before December 31 of each year, the Buyer and the Seller must amend and supplement the Contract regarding the price of Ancillary Services after the approval decision on the price of Ancillary Services issued by the Ministry of Industry and Trade.
4. The Buyer commits to pay the monthly amount for the provision of Ancillary Services to the Seller as stipulated in Article 7 and Appendix 5 of the Contract.
Both parties commit as follows:
1. The signing and performance of the Contract by one party does not violate the company's charter provisions, nor does it contravene relevant laws or other contracts or agreements in which the party is a participant.
Article 4. Commitment to Fulfillment
Both parties hereby commit as follows:
1. The signing and performance of this Contract by either party does not violate the company's articles of association, does not contravene relevant laws or regulations, or other contracts or agreements to which the party is a signatory.
2. The signing and performance of the Contract by the parties shall be carried out in accordance with the contents of the Power Business License issued by the competent authority and relevant laws.
3. Neither party shall be a defendant in a lawsuit before a court or arbitration institution or a state administrative agency whose outcome may significantly affect the financial capacity or ability to fulfill obligations under the Contract, or may impact the value and validity of the Contract.
4. The parties commit to performing their obligations and the provisions stipulated in the Contract.
Article 5. Interconnection Responsibility and Electricity Metering System
1. Interconnection Responsibility
The Seller shall be responsible for:
a) Investing, managing, operating equipment for interconnection, transmission, and delivery of electricity to the Buyer at the Point of Delivery in accordance with the Transmission System Regulation issued by the Ministry of Industry and Trade and related technical standards and industry standards;
b) Investing, installing, managing, operating, and maintaining equipment belonging to the data collection system, data transmission system, and automatic control system of the power plant to connect with the SCADA/EMS system between the power plant and the entity responsible for operating the national power system and electricity market for the operation of the power plant.
2. Metering System
a) The Seller shall be responsible for investing, installing, managing, operating, maintaining, and annually inspecting and calibrating the main metering system and backup metering system. The inspection and calibration of measuring devices or confirmation of their accuracy must be conducted by authorized organizations. Measuring devices must be sealed and lead-sealed after calibration;
b) In case of necessity, either party has the right to request additional inspections or irregular calibrations of the equipment and metering system. Upon receiving the Buyer's request, the Seller shall organize such inspections and calibrations. If the error of the irregularly inspected and calibrated measuring device exceeds the permissible limit, the Seller shall bear the cost of the irregular inspection and calibration; if the error remains within the permissible limit, the cost shall be borne by the requesting party;
c) The Seller shall notify the Buyer of the results of the calibration of the measuring devices. The Seller shall inform the Buyer in advance about the inspection and calibration of the metering system. The Buyer shall be responsible for sending representatives to witness the inspection and calibration process, removal of seals, resealing, and lead-sealing of the meters;
d) In case the measuring device has an error exceeding the permissible level according to the Electricity Measurement Regulation, the Seller shall be responsible for adjusting or replacing the measuring device. If one party believes that the meter is damaged or non-operational, they must immediately notify the other party, and the Seller shall have the obligation to inspect and repair it;
đ) The volume of electricity traded between the Buyer and the Seller shall be determined according to the method of electricity delivery specified in Appendix 2 of the Contract.
In case the main metering system fails or the calibration results show that the main metering system has an error exceeding the specified accuracy level, the volume of electricity traded between the two parties during the period of failure or excessive error of the main metering system shall be determined based on the measurement results of the backup metering system. In case the backup metering system also fails or the calibration results show that the backup metering system has an error exceeding the permissible limit, the volume of electricity traded between the two parties shall be determined as follows:
(i) In case the main metering system operates but has an error exceeding the specified accuracy level, the volume of electricity traded between the two parties shall be determined based on the measurement results of the main metering system converted to the corresponding electrical energy value with zero percent error. Based on the mutually agreed adjusted measurement results, the Seller shall have the obligation to calculate and determine the amount that one party must pay to the other during the period when the metering system was inaccurate;
(ii) In case the main metering system fails and does not operate, both parties shall base their calculations and determination of the adjusted volume of electricity traded during the period of inaccurate measurement on the condition of the failure and actual errors of the metering systems, based on the inspection reports and recognized data from both parties. If there is no agreement on the calculation method and the adjusted volume of electricity traded, both parties shall be responsible for resolving disputes in accordance with Article 12 of the Contract.
e) In case the measuring device is burned or damaged, the Seller shall be responsible for replacing or repairing it as soon as possible to ensure that the measuring devices meet technical requirements and return to normal operation. Any repaired or replaced equipment must be calibrated in accordance with regulations before being put into use.
Article 6. Dispatching and Operation of Power Plants
1. Obligation to Register Mobilization Methods
The Seller shall be responsible for registering with the entity responsible for operating the national power system and electricity market and submitting to the Buyer the registration of mobilization methods for each unit of the power plant in accordance with the National Power System Operation Planning Process issued by the Electricity Regulatory Authority, including:
a) Announced available capacity, expected electricity generation, and monthly maintenance plan for the following year;
b) Announced available capacity, expected electricity generation, and maintenance plan for the upcoming month;
c) Announced available capacity, expected electricity generation, and maintenance schedule for the next week;
d) Announced hourly available capacity and expected electricity generation for the next day before 10:00 daily.
2. Operation of the Power Plant
a) The Seller shall comply with the dispatching and operation regulations of the power plant as stipulated in the Transmission System Regulation issued by the Ministry of Industry and Trade, technical standards, industry standards, and related documents. The Seller shall operate the units of the power plant according to their technical characteristics as specified in Appendices 1 and 3 of the Contract;
b) The seller shall be obligated to install, operate, and maintain the equipment necessary for synchronizing the power plant with the national electricity grid. The seller shall comply with the Transmission System Regulations issued by the Ministry of Industry and Trade, technical standards and industry standards, and dispatching regulations when synchronizing the power plant with the national electricity grid.
c) In the event that the operation mode of the national electricity grid poses a threat of causing accidents to the main equipment of the power plant, resulting in personal injury or damage to people and equipment, the seller has the right to disconnect the generating units from the operational mode.
Article 7. Billing and Payment for Electricity
1. Issuing invoices and paying for electricity
a) Before the (...)-th day of each month, the seller shall send a payment notification for ancillary service fees along with the settlement documentation of the preceding month to the buyer.
The settlement documentation for ancillary services of the preceding month (hereinafter referred to as "Settlement Documentation") includes: confirmation of electricity generation based on meter readings, daily published and implemented available capacity tables, request for confirmation of implemented availability factor and number of start-ups for payment, summary table of payment values accompanied by detailed calculation sheets of payments stipulated in Appendix 5 of the Contract, and other related documents.
b) Within three days from the date of receipt of the Settlement Documentation, the buyer shall verify the accuracy of the Settlement Documentation. If errors are found, the buyer shall notify the seller in writing to complete the Settlement Documentation. After the 15th day of each month, if the buyer does not send a notification to the seller, the Settlement Documentation shall be deemed consistent.
c) Before the (...)-th day of each month, the seller must issue and send the payment invoice to the buyer. The payment invoice shall be prepared in accordance with the regulations of the Ministry of Finance.
d) Not later than the (...)-th day (payment due date), the buyer shall be obligated to pay the full amount recorded in the payment invoice for ancillary service fees of the preceding month through bank transfer. The transfer fee shall be borne by the buyer.
đ) In the event that there is insufficient data at the time of issuing the payment invoice to prepare it, the seller may temporarily calculate the ancillary service fees based on reasonable estimates of the missing data. The adjusted payment amount shall be offset against the ancillary service fees of the month with official data.
2. Disputes in Payment
a) In the event that the buyer disagrees with part or all of the amount recorded in the payment invoice, the buyer must notify in writing before the payment due date regarding the disputed amount and the reasons for disagreement. The buyer shall be obligated to pay the undisputed amount before or on the payment due date.
b) Within fifteen days from the date of receipt of the notification regarding the disputed amount, the seller shall send a formal response to the buyer. In case both parties cannot reach an agreement on the disputed amount, either party may implement the dispute resolution provisions set forth in Article 12 of the Contract.
c) In the event that the buyer does not notify in writing before the payment due date regarding the amount recorded in the invoice or the seller does not provide a formal response to the buyer regarding the disputed amount within fifteen days from the date of receipt of the notification regarding the disputed amount, then that party shall be deemed to have waived its claim regarding the payment amount stated in the issued invoice.
3. Determination of Interest
Interest shall be calculated for:
a) Monthly electricity charges overdue upon the payment due date as specified in point d, clause 1 of this Article;
b) Amounts payable pursuant to the decision on dispute resolution as stipulated in Article 12 of the Contract;
c) Monthly adjusted electricity charges payable as provided in point đ, clause 1 of this Article.
Interest shall be compounded monthly from the day following the payment due date until the actual payment date at an interest rate equal to the interest rate for VND deposits on the payment due date in the invoice, for a twelve-month deferred payment term for individual customers of four commercial banks including Vietnam Joint Stock Commercial Bank for Foreign Trade, Vietnam Joint Stock Commercial Bank for Industry and Trade, Vietnam Joint Stock Commercial Bank for Investment and Development, Vietnam Agricultural and Rural Development Bank, or their legitimate successors, plus a margin of 3% per annum.
4. Set-off
The parties may set off debts, resolved disputed amounts, adjusted amounts, and interest against monthly electricity payments when issuing invoices for the nearest payment month.
Article 8. Events Affecting the Performance of the Contract and Applicable Penalties
1. Events Affecting the Buyer's Performance of the Contract
a) Events related to the dissolution or bankruptcy of the seller include:
(i) The seller is dissolved (except where dissolution is for merger or consolidation);
(ii) The seller is unable to pay maturing debts;
(iii) The seller transfers or merges the entire company with a creditor or merges for the benefit of a creditor;
(iv) The seller has a court decision to initiate bankruptcy proceedings against the seller.
b) The seller seriously breaches the obligations under the Contract, and such breach is not remedied within ninety days from the date of the buyer's notice of the breach;
c) The seller is suspended from operations pursuant to a decision by the competent authority.
2. Events Affecting the Seller's Performance of the Contract
a) Events related to the dissolution or bankruptcy of the buyer include:
(i) The buyer is dissolved (except where dissolution is for merger or consolidation);
(ii) The buyer is unable to pay maturing debts;
(iii) The buyer has a court decision to initiate bankruptcy proceedings against the buyer.
b) The buyer seriously breaches the obligations under the Contract, and such breach is not remedied within ninety days from the date of the seller's notice of the breach.
c) The buyer is suspended from operations pursuant to a decision by the competent authority.
3. Penalties Applied
a) In the event of a fundamental breach and if such breach continues, the aggrieved party may apply the penalties prescribed in Article 9 of the Contract against the breaching party.
b) The sanctions applied under this Contract are not mutually exclusive and do not affect the implementation of other sanctions.
Article 9. Termination and Suspension of the Contract's Execution
1. Termination of the Contract by mutual agreement
The parties have the right to terminate the Contract prematurely by written agreement.
2. Unilateral termination of the Contract
a) In case an event occurs affecting the performance of the Contract as stipulated in point a, point c Clause 1; point a, point c Clause 2 Article 8 of the Contract and such violation continues to affect one party to the Contract, the aggrieved party has the right to unilaterally terminate the Contract ninety days after notifying the other party;
b) In case an event of force majeure occurs affecting one party and such event continues for one hundred eighty days or more, the other party has the right to unilaterally terminate the Contract thirty days after notifying the other party;
c) In case an event occurs affecting the performance of the Contract of one party as stipulated in point b Clause 1, point b Clause 2 Article 8 of the Contract, the affected party has the right to unilaterally terminate the Contract thirty days after notifying the other party.
3. Suspension of Contract Performance
The Buyer has the right to suspend the performance of the Contract, after notifying the Seller, in the event that the Seller is suspended from participating in the Competitive Power Market by the Electricity Regulatory Authority or suspended from power activities in the generation sector by the competent authority. The duration of the suspension of Contract performance shall not exceed the duration of the suspension from participating in the Competitive Power Market or the suspension of power activities.
Article 10. Compensation for Damages
1. The breaching party shall be responsible for compensating the aggrieved party for losses caused by the breach, including losses, damages, or expenses incurred by the aggrieved party during the performance of its rights and obligations under the Contract. The calculation of the value of the loss shall be carried out in accordance with the Civil Code.
2. In case of a compensation claim, the aggrieved party shall immediately notify the breaching party in writing to determine the nature of the matter requiring compensation. The delay of the aggrieved party in sending the notification shall not affect the liability for compensation of the breaching party, except in cases where the breaching party is actually harmed by the delayed notification of the aggrieved party.
Article 11. Cases of Exemption from Liability for Breach of Contract
1. The breaching party shall be exempted from liability in the following cases:
a) Occurrence of a case of exemption agreed upon by the parties;
b) The breach of one party is entirely due to the fault of the other party;
c) The breach of one party is due to the execution of a decision of a competent state management agency which the parties could not know at the time of concluding the Contract;
d) Occurrence of a force majeure event
Force majeure means events or situations that cannot be avoided and are beyond the control of one party, preventing or delaying the performance of part or all of the obligations under the Contract despite reasonable measures being taken.
Events considered as force majeure events or situations are those that prevent or delay the performance of the Contract obligations of the parties provided that these events and situations are beyond the reasonable control of the affected party, are not due to the fault or negligence of the affected party, and the affected party still cannot avoid them even if reasonable measures, practices, procedures, standards are applied, including but not limited to the following events or situations:
i) Decisions of courts or competent authorities adversely affecting the ability of one party to perform its obligations under the Contract;
ii) Events caused by natural disasters such as fires, explosions, droughts, floods, volcanic eruptions, earthquakes, landslides, high tides, typhoons, tornadoes, hurricanes, or similar events;
iii) Riots, demonstrations, rebellions, insurgencies, war activities whether declared or not, opposition activities, terrorism, sabotage, embargoes, blockades, quarantines, or similar events;
iv) The power plant or assets of the Seller are nationalized, deprived of ownership, or confiscated according to the decision of a competent state agency;
v) The Seller is not granted necessary permits or approvals by competent authorities despite the Seller's compliance with all obligations prescribed by relevant laws regarding the issuance of such permits or approvals.
2. Notification and confirmation of exemption from liability
a) The breaching party must immediately notify the other party in writing about the case of exemption from liability and its possible consequences;
b) When the case of exemption from liability ends, the breaching party must immediately inform the other party; if the breaching party does not notify or notifies untimely, it must compensate for the damage;
c) The breaching party has the obligation to prove to the aggrieved party about its case of exemption from liability.
3. Exemption from liability due to force majeure, refusal to perform the Contract in case of force majeure
a) The breaching party due to force majeure has the responsibility to regularly provide reports to the other party on the process of implementing measures to overcome the force majeure event or other information reasonably requested by the other party to prove the invocation of the force majeure event; notify the other party about the end date of the force majeure event within forty-eight hours from the end date, except in cases of loss of communication;
b) The party affected by the force majeure event is only exempted from liability related to non-performance or delayed performance of obligations under the Contract caused by the force majeure event after notification and fulfillment of the obligation to remedy as stipulated in point a of this Clause;
c) In case of force majeure, if one party is prevented from performing its obligations under the Contract for a period of one hundred eighty days or longer, either party has the right to unilaterally terminate the Contract.
Article 12. Dispute Resolution
1. In case of disputes arising between the parties to the Contract, the party initiating the dispute shall notify the other party in writing about the content of the dispute. The parties shall be responsible for exchanging information to resolve the dispute within sixty days from the date of notification by the party initiating the dispute. For disputes regarding payment of expenses, the parties shall be responsible for exchanging information within fifteen days. The parties have the right to agree in writing to extend the exchange period for resolving the dispute.
2. In case the two parties cannot resolve the dispute through exchange within the time limit stipulated in Clause 1 of this Article, the two parties shall agree to transfer the dispute to the Electricity Regulatory Authority or another dispute resolution agency chosen by mutual agreement to resolve the dispute in accordance with relevant laws.
Article 13. Restructuring of the Electricity Industry and Transfer of Rights and Obligations
1. Restructuring the electricity industry and transferring rights and obligations at the Purchaser's side
The parties agree that the Purchaser may need to reorganize, restructure, or dissolve, or gradually phase out its sole power purchasing function to implement the plan to transform the electricity industry to a competitive electricity market according to the approved roadmap by the Prime Minister or subsequent replacement documents. When the competent state authority makes a decision on reorganization, restructuring, or dissolution, the Purchaser has the right to transfer all or part of its rights and obligations under the Contract without the consent of the Seller to one or more successor units designated by the competent state authority, and these units shall be responsible for performing the legal rights and obligations of the Purchaser as prescribed by law.
The Seller must approve in writing any transfer or delegation of rights and obligations under this Contract by the Purchaser.
2. Transfer of rights and obligations of the Seller
The Seller only has the right to transfer its rights and obligations under the Contract to one or more successor units when there is prior written agreement from the Purchaser. The Purchaser's written agreement shall not unreasonably refuse the execution of such transfer or delegation by the Seller, except in cases where the Seller can delegate or transfer certain or all of its rights and obligations under the Contract related to capital provision or other financial arrangements for the Power Plant without prior agreement from the Purchaser. This Contract shall continue to be effective to benefit and fulfill the obligations of the successor units or entrusted units or transferred units of the Seller.
3. Transition phase to a competitive wholesale market
During the term of the Contract, if the Competitive Power Generation Market is replaced by a competitive wholesale market or another type of market decided by the competent state authority, the parties shall be obligated to negotiate to amend or replace this Contract to be consistent with the new electricity market structure, provided that the economic value of the Contract for both parties is not affected.
Article 14. Record Keeping and Information Provision
1. Record Keeping
The parties shall be responsible for retaining records, data, documents, or necessary information to verify the accuracy of invoices, prices, or calculations under the Contract or to verify compliance with the Contract's contents.
2. Information Provision
Each party shall be responsible for providing reasonable amounts of data, documents, or certificates necessary for the other party to verify the accuracy of payment invoices, pricing methods, or calculations under the Contract or to verify compliance with the Contract's contents.
Article 15. Other Costs
Each party shall be responsible for paying taxes, fees, or settling debts arising from the performance of the Contract. The parties agree that this Contract does not include transmission costs, distribution costs, interconnection costs, or similar costs, and each party shall be responsible for paying those types of costs as prescribed.

Article 17. Confidentiality of Information
Each party shall be responsible for maintaining the confidentiality of information and documents provided by the other party under the Contract and shall not disclose, publicize, or use such documents or information for purposes other than fulfilling their obligations under the Contract, except in the following cases:
1. Disclosure or use of information and documents as required by law.
2. Documents and information requested to be provided to competent authorities.
3. Such documents and information have been publicly disclosed not by the parties to the Contract.
Article 18. Other Agreements
1. Amendment and Supplement to the Contract
Any amendment or supplement to the Contract must be agreed upon in writing by the parties.
2. Completeness of the Contract
This Contract constitutes the final complete agreement between the parties and supersedes any previous discussions, information, or correspondence exchanged before the signing of the Contract.
3. Third Party
This Contract serves only the interests of the two parties and does not create any rights or obligations for a third party.
4. Non-Joint Venture
This Contract is not a joint venture or joint operation contract between the two parties nor does it impose joint venture or joint operation natured legal obligations or responsibilities on either party. Neither party has the right to participate in signing the Contract or act on behalf of the other party as an agent or representative to fulfill obligations under this Contract.
5. Waiver of Rights
The waiver of rights under this Contract by one party must be in writing and signed by an authorized representative of that party. Failure or delay in exercising any right by either party under this Contract shall not be construed as a waiver of such rights.
6. Performance of Remaining Obligations
The cancellation, termination, or expiration of this Contract shall not terminate the performance of remaining obligations of the parties under this Contract.
7. Governing Law
The interpretation and implementation of this Contract shall be carried out in accordance with the laws of Vietnam.
8. Independence of Contract Clauses
In case a portion of the contents of this Contract is inconsistent with legal provisions or declared void by a competent state authority, the other contents of the Contract shall remain effective if the remainder fully reflects the content without being related to the voided portion.
9. Headings
The headings in this Contract are used for convenience and do not affect the interpretation of the Contract's contents and do not create any obligation of any party under this Contract.
This Contract is made in nine original copies, each having equal validity, with each party retaining four copies. The seller is responsible for sending one copy to the Electricity Regulatory Authority.

In case the unit has been ordered to start by the Buyer but has not yet synchronized with the grid and subsequently received an order to shut down, these startups will be counted for payment if the Seller provides sufficient documentation detailing the dispatch orders received during the startup process (time of startup order, time of shutdown order...) and related documents proving that the startup process was carried out (the unit was oil-fired).
All restarts due to subjective incidents or unplanned repairs are not counted for payment.
