DECISION
Regarding the transformation of Haiphong Power Corporation into Haiphong Power Corporation Limited Liability Company with One Member

Pursuant to the Law on Organization of the Government dated December 25, 2001;
Pursuant to the State Enterprise Law dated November 26, 2003;
Pursuant to Decree No. 63/2001/NĐ-CP dated September 14, 2001;
Considering the proposal of the Chairman of the Board of Management of Vietnam Electricity Joint Stock Corporation and the opinion of the Ministry of Industry,
DECISION:
Article 1. Haiphong Power Corporation, a subsidiary under Vietnam Electricity Joint Stock Corporation 1, which is an independent accounting entity belonging to Vietnam Electricity Joint Stock Corporation, shall be transformed into Haiphong Power Corporation Limited Liability Company with One Member.
Haiphong Power Corporation Limited Liability Company (referred to as Haiphong Power Corporation) shall have its own seal, open accounts at domestic and foreign banks in accordance with the provisions of the law, operate according to the Charter of the Company and the Enterprise Law.
- Full name: Haiphong Power Corporation Limited Liability Company with One Member.
- Vietnamese abbreviation: CTĐHD.
- International trade name in English: HAI PHONG POWER COMPANY LTD.
- English abbreviation: HPPO LTD.
- Registered capital: 112 billion Vietnamese dong.
- Head office: No. 33 Ho Chi Minh Avenue, Hai Phong City, Hai Phong Province.
Article 2. Business activities of the Company:
- Production and trading of electric power.
- Business activities up to 110kV voltage level:
+ Construction and renovation of power grid,
+ Repair and major overhaul of electrical equipment,
+ Consulting on investment and construction of power grid projects including project investment planning and management, surveying, design, supervision of construction installation,
+ Processing and manufacturing spare parts and accessories for power grid equipment,
+ Import and export, trading of materials and equipment for power grid,
+ Testing and calibration of electrical equipment.
- Public telecommunications service agency.
- Trading in telecommunications equipment.
- Consulting on investment and construction of telecommunications projects, installation of telecommunications projects.
- Engaging in other business activities based on the company's capacity, market demand, and permitted by law.
Article 3. Organization and operation:
Organizational model: the model of the company chairman, general director, and supporting staff; the Board of Management of Vietnam Electricity Joint Stock Corporation decides on specific plans.
The organization and operation of the company are specifically regulated in the Charter of the Company's Organization and Operation.
Article 4. The State-authorized representative as the owner:
The Board of Management of Vietnam Electricity Joint Stock Corporation, address: No. 18 Tran Nguyen Han Street, Hoan Kiem District, Hanoi City.
The Board of Management of Vietnam Electricity Joint Stock Corporation is responsible for exercising the rights of the owner of the capital in accordance with the State Enterprise Law and the Company Charter.
Article 5. Haiphong Power Corporation Limited Liability Company is responsible for receiving and effectively utilizing the capital and assets transferred by the Board of Management of Vietnam Electricity Joint Stock Corporation to fulfill the tasks of developing production and business operations; inheriting all rights and obligations of Haiphong Power Corporation.
Article 6. The Chairman of Haiphong Power Corporation Limited Liability Company is responsible for drafting the Charter of the Company's Organization and Operation to submit to the Board of Management of Vietnam Electricity Joint Stock Corporation for approval.
Article 7. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.
The Board of Management of Vietnam Electricity Joint Stock Corporation, the General Director of Vietnam Electricity Joint Stock Corporation 1, the General Director of Haiphong Power Corporation, and the Chairman of Haiphong Power Corporation Limited Liability Company are responsible for implementing this Decision.
