Pursuant to the Law on Legislative Acts of Legal Norms dated November 12, 1996, amended and supplemented on December 16, 2002;
Pursuant to the Law on State-Owned Enterprises dated November 26, 2003;
Pursuant to the Enterprise Law dated November 29, 2005;
Pursuant to Decision No. 257/2006/QĐ-TTg dated November 9, 2006 of the Prime Minister promulgating regulations on frequency band allocation for economic and social purposes, national defense, and security;
Pursuant to Decision No. 339/QĐ-TTg dated March 31, 2008 of the Prime Minister approving the restructuring and modernization plan for state-owned enterprises with 100% state capital under the Ministry of National Defense for the period 2008-2010;
Pursuant to Decision No. 1778/QĐ-TTg dated December 9, 2008 of the Prime Minister approving the proposal to transform Military Oil Company into Military Oil Corporation operating under the holding company - subsidiary model;

DECISION:
Article 1. Transform Military Oil Company / Logistics General Department into Military Oil Corporation under the Logistics General Department, operating under the holding company - subsidiary model.
1. Name of the holding company: Military Oil Corporation.
2. International trade name: MILITARY PETROLEUM CORPORATION.
3. Abbreviation: MIPE.CORP.
4. Head office: No. 125 Nguyen Phong Sac Street, Dich Vong Hau Ward, Cau Giay District, Hanoi City;
5. Registered capital: 390.075 billion VND.
Article 2. The holding company - Military Oil Corporation is a defense and security enterprise under the Logistics General Department, established based on the reorganization of the Military Oil Company's organizational structure and dependent units. The holding company directly produces, operates, and invests capital in subsidiaries, associated companies, joint ventures according to the Articles of Organization and Operation and Financial Management Regulations of the Corporation approved by the Ministry of National Defense.
Article 3. Business activities of Military Oil Corporation:
1. Import and export; wholesale and retail of gasoline, oil, liquefied petroleum gas; types of fuel equipment, spare parts, and equipment serving national defense and economy.
2. Production and installation of projects: Warehouses, gas stations; transportation construction and related auxiliary structures made of steel for refining oil, liquefied petroleum gas, cement, concrete, coal processing, food processing, power generation...
3. Overhaul, assembly, and repair of fuel dispensers and measuring devices for other types of fuel equipment...
4. Manufacturing various types of tanks, reservoirs, drums, cans... for storing gasoline and oil, pressure vessels.
5. Transportation business of gasoline and defense and economic goods.
6. Manufacturing various types of tank trucks with capacity up to 50m3 installed on road and rail vehicles according to design.
7. Calibration of the volume of tank trucks, fuel storage containers, and pressure vessels.
8. Production and repair of iron furniture and barracks (beds, cabinets, door frames, eight-sided houses...).
9. Repair and supply of spare parts for road transport vehicles.
10. Leasing of office space and parking lots.
11. Wholesale and retail of consumer goods; building materials and supplies.
12. Hotel service, guesthouse operation, and catering services.
Article 4. Organizational management of Military Oil Corporation
1. Management structure of the holding company - Military Oil Corporation includes:
a) General Director, Deputy General Directors, Executive Directors, Chief Accountant;
b) Supporting staff including:
- Planning and Integration Department;
- Sales and Import-Export Department;
- Technical and Material Department;
- Finance and Accounting Department;
- Human Resources Department;
- Investment Project Management Department;
- Political Department;

2. Organizational structure of Military Oil Corporation.
a) Dependent accounting units directly under the holding company include:
- Military Oil Company Region 1;
- Military Oil Company Region 2;
- Military Oil Company Region 3;
- Military Oil Company Region 4;
- Transport and Oil Company 65.3;
- Branch in the Southwest region;
- Vocational Training and Employment Center;
- Central warehouses and oil warehouses.
b) Subsidiaries:
- Joint Stock Company Limited Liability 165;
- Joint Stock Marine Oil Transport Company;
- Joint Stock Comprehensive Service Company No. 1;
- Joint Stock Comprehensive Service Company No. 2;
- Joint Stock Comprehensive Service Company No. 3;
- Joint Stock Real Estate Trading Company;
- Joint Stock Production and Processing Company of Oil, Gas, and Fat.
Subsidiaries have their own legal personality, names, assets, and management structures; they bear civil liability within the scope of their assets; they are organized and operate according to relevant laws corresponding to the legal form of subsidiaries and regulations of the Ministry of National Defense.
c) Associated companies (joint-stock companies) held less than 50% of the registered capital by the Corporation are organized and operated according to relevant laws corresponding to the legal form of the company, including:
- Joint Stock Comprehensive Service Company No. 4;
- Joint Stock Comprehensive Service Company No. 5;
- Joint Stock Comprehensive Service Company No. 6;
Article 5. Direct the Logistics General Department to instruct Military Oil Corporation to develop the Articles of Organization and Operation and Financial Management Regulations of the Corporation in accordance with the Enterprise Law and Decision No. 1778/QĐ-TTg dated December 9, 2008 of the Prime Minister approving the proposal to transform Military Oil Company into Military Oil Corporation operating under the holding company - subsidiary model; Develop the organizational structure and supporting staff positions of the Corporation and its member units and report to the Ministry for approval.
Article 6. The Standard Measurement Quality Control Department shall be responsible for organizing and guiding the implementation of the Regulations adopted herein.
The General Chief of Staff, the Director of the Political General Department, the Director of the Logistics General Department, the General Director of Military Oil Corporation, and the heads of relevant agencies and units are responsible for implementing this Decision./.
