Pursuant to Decree No. 73/CP dated November 1, 1995 of the Government on functions, tasks, powers, and organizational structure of the Ministry of Agriculture and Rural Development;
Pursuant to Decree No. 44/1998/NĐ-CP dated June 29, 1998 of the Government on the conversion of state-owned enterprises into joint stock companies;
Considering the results of the Appraisal Council's review of the plan to convert Tran Phu Tea Company into a joint-stock company and the proposals from: The Enterprise Management Reform Board of the Ministry, the Director of the Personnel Department, the Board of Directors and General Director of Vietnam Tea Corporation, the Director and Enterprise Management Reform Board at Tran Phu Tea Company,

DECISION:

Article 1. Approve the plan to convert Tran Phu Tea Company, a state-owned enterprise operating independently, a subsidiary of Vietnam Tea Corporation, comprising the following main contents:

1. The actual value of the enterprise at the time of 00:00 on January 1, 1999 was: 6,219,793,132 VND (six billion, two hundred nineteen million, seven hundred ninety-three thousand, one hundred thirty-two VND). Of which, the actual value of the state capital in the enterprise was: 5,161,042,738 VND (five billion, one hundred sixty-one million, four hundred twenty-seven thousand, three hundred thirty-eight VND).

2. The Charter Capital of the Joint-Stock Company: 5,500,000,000 VND (five billion five hundred million VND). The total capital is divided into 55,000 equal shares with the following structure:

- State share ratio:

16,490 shares (1,649,000,000 VND), equivalent to 30% of the Charter Capital;

- Share ratio sold to employees within the enterprise:

34,510 shares (3,451,000,000 VND), equivalent to 63% of the Charter Capital;

- Share ratio sold to external entities outside the enterprise:

4,000 shares (400,000,000 VND), equivalent to 7% of the Charter Capital.

3. Preferential treatment for employees within the enterprise:

- Total number of preferential shares for all employees within the enterprise: 34,407 shares. The preferential value is: 1,032,208,000 VND (one billion, thirty-two million, two hundred eight thousand VND).

- Total number of preferential shares for poor employees within the enterprise to be repaid gradually: 6,881 shares, the gradual repayment value is: 481,670,000 VND (four hundred eighty-one million, six hundred seventy thousand VND).

4. Organization of management of proceeds from the sale of shares:

To be implemented according to Section V, Part II of Circular No. 104/1998/TT-BTC dated July 18, 1998 issued by the Ministry of Finance guiding financial matters when converting state-owned enterprises into joint-stock companies and Item 6 of Document No. 3138 TC/TCDN dated August 19, 1998 issued by the Ministry of Finance regarding guidance on implementing the conversion of state-owned enterprises into joint-stock companies.

Article 2. Regarding land management, handover of high-voltage power lines, and recovery of debts:

1. In Circular No. 882/CP-NN dated August 21, 1999, the Government permitted Tran Phu Tea Joint-Stock Company to continue managing the land that Tran Phu Tea Company had allocated to households under Decree No. 01/CP dated January 4, 1995 of the Government concerning the allocation of land for agricultural, forestry, and aquaculture production in state-owned enterprises.

2. Other types of land such as forest land, stream beds, rocky mountains, natural grasslands, roads, irrigation works, schools, markets, sports fields, etc., Tran Phu Tea Company must prepare a report and hand over to the provincial People's Committee of Yen Bai Province for management in accordance with the Land Law.

3. Regarding the handover of high-voltage power lines: Tran Phu Tea Company will implement together with Vietnam Tea Corporation according to the contents of the following circulars:

- No. 345/VPCP-KTN dated January 31, 1998 of the Office of the Government on transferring the 35 kv high-voltage power lines of Vietnam Tea Corporation to Vietnam Electricity Corporation for management.

- Guidance No. 538/TC-TCDN dated February 28, 1998 of the Ministry of Finance on transferring the 35 kv high-voltage power lines of Vietnam Tea Corporation to Vietnam Electricity Corporation for management.

- Joint Circular No. 04/1999 dated August 27, 1999 of the Ministry of Industry and the Ministry of Finance guiding the transfer and return of medium voltage rural power grid funds.

4. Regarding the debts of Tran Phu Tea Company to Vietnam Tea Corporation, including cooperation with the former Soviet Union and Poland, Vietnam Tea Corporation will create favorable conditions for Tran Phu Tea Company to smoothly transition to a joint-stock company.

Article 3. - Converting Tran Phu Tea Company into a joint-stock company with the following main characteristics:

1. Full name in Vietnamese: Tran Phu Tea Joint-Stock Company

- Trading name in English: Tran Phu Tea Joint-Stock Company

2. Place of business: Tran Phu Agricultural Town Market, Van Chan District, Yen Bai Province

3. Business sector:

- Producing and purchasing fresh tea leaves, processing them into black and green tea products suitable for market demands;
- Providing commercial services for tea products domestically and for export in accordance with the law;
- Engaging in comprehensive trading of crop and livestock products, and processed agricultural products.

Article 4. Tran Phu Tea Joint-Stock Company shall be a legal entity under Vietnamese law from the date of registration for business operations, implementing independent economic accounting, having its own seal, and being allowed to open a transaction account at a bank in accordance with the law, operating in accordance with the Articles of Association of Tran Phu Tea Joint-Stock Company and the Enterprise Law.

The Director and Chief Accountant of Tran Phu Tea Company are responsible for managing and operating the company until the entire enterprise is handed over to the Board of Directors and General Director of Tran Phu Tea Joint-Stock Company. From the handover date, the decision to establish Tran Phu Tea Company ceases to be effective.

Article 5. - This Decision replaces Decision No. 173/1999/QĐ/BNN-TCCB dated December 27, 1999 of the Minister of Agriculture and Rural Development on the conversion of Tran Phu Tea Company into Tran Phu Tea Joint-Stock Company and takes effect from the date of signing.

The Head of the Ministry's Office, the Director of the Personnel Department, the Enterprise Management Reform Board of the Ministry, the Heads of relevant units under the Ministry, the Board of Directors and General Director of Vietnam Tea Corporation, the Director and Enterprise Management Reform Board at Tran Phu Tea Company are responsible for implementing this decision.
