Regarding the transformation of Phú Thọ Hoà Electronics Company into

Phú Thọ Hoà Electronics and Mechanical Joint Stock Company

THE MINISTER OF INDUSTRY

Pursuant to the Government Decree No. 74/CP dated November 1, 1995 on the functions, tasks, powers, and organizational structure of the Ministry of Industry;

Pursuant to Decree No. 44/1998/NĐ-CP dated June 29, 1999 of the Government on the transformation of state-owned enterprises into joint stock companies;

Considering the proposal of Vietnam Electronics and Informatics Corporation (Proposal No. 555/ĐT-HĐQT dated November 21, 2001 and Proposal No. 173/TTr-HĐQT dated April 29, 2002), the Plan for the Transformation of Phú Thọ Hoà Electronics Company into a Joint Stock Company and the Minutes of the Evaluation Meeting on the Plan dated April 11, 2002 of the Enterprise Reform and Development Board under the Ministry of Industry;

At the proposal of the Enterprise Reform and Development Board under the Ministry of Industry and the Director of the Organization and Cadre Affairs Department.

DECISION:

Article 1. Approves the Plan for the Joint Stock Transformation of Phú Thọ Hoà Electronics Company, a subsidiary under Vietnam Electronics and Informatics Corporation, including the following main points:

1. Registered capital structure.

The charter capital of the Joint Stock Company is: VND 3,120,000,000 (three billion one hundred twenty million dong). Of which:

- State shareholding ratio: 30%;

- Shareholding ratio sold to employees within the company: 40%;

- Shareholding ratio sold to external entities outside the company: 30%.

Value of one share: 100,000 VND.

2. The actual value of Phú Thọ Hoà Electronics Company (Decision No. 1080/QĐ-TCKT dated June 20, 2000 of the Minister of Industry on determining the value of Phú Thọ Hoà Electronics Company) at the time of December 31, 1999 for joint stock transformation is: VND 3,907,848,871. Of which, the actual value of the state capital in the company is: VND 3,119,565,562.

3. Preferential treatment for employees of the Company.

The total number of preferential shares sold to 54 employees within the company is 4,710 shares with a preferential value of VND 141,300,000. Among them, the number of preferential shares sold on credit to 8 poor employees is 670 shares worth VND 46,900,000.

4. Approves the proposal of Vietnam Electronics and Informatics Corporation, allowing Phú Thọ Hoà Electronics Company to use part of the proceeds from selling state-owned shares to cover joint stock transformation costs. The company shall prepare a plan and be responsible for managing and using it according to the prescribed regulations.

Article 2. Transform Phú Thọ Hoà Electronics Company into a joint stock company:

- Name in Vietnamese: Phú Thọ Hoà Electronics and Mechanical Joint Stock Company;

- International trade name: VIETTRONICS AND MECHANICS PHUTHOHOA COMPANY, abbreviated as: VIEMCO;

- Registered office: No. 1026B Ly Bai Bich Street, Ward 19, Tan Binh District, Ho Chi Minh City.

Article 3. Phú Thọ Hoà Electronics and Mechanical Joint Stock Company engages in the following business activities (at the time of transformation into a joint stock company):

- Production, assembly, and trading of electrical and electronic products;

- Production and trading of plastic and household mechanical products;

- Direct import and export;

- Other businesses as prescribed by law.

Article 4. Phú Thọ Hoà Electronics and Mechanical Joint Stock Company is a legal entity under Vietnamese law from the date of registration for business operations, implements independent economic accounting, uses its own seal, opens accounts at banks in accordance with the law, operates according to the Charter of the Joint Stock Company and the Law on Enterprises.

Article 5. Vietnam Electronics and Informatics Corporation is responsible for directing Phú Thọ Hoà Electronics Company to organize the Founding Shareholders' Meeting to establish Phú Thọ Hoà Electronics and Mechanical Joint Stock Company.

The General Director and Chief Accountant of Phú Thọ Hoà Electronics Company are responsible for managing the company's operations until the handover to the Board of Directors and General Director of Phú Thọ Hoà Electronics and Mechanical Joint Stock Company.

Article 6. This Decision takes effect fifteen days from the date of signature. Abolish previous Decisions that conflict with this Decision.

The Head of the Office of the Ministry, the Inspector General of the Ministry, Heads of Departments and Bureaus under the Ministry, Chairman of the Board of Directors and General Manager of Vietnam Electronics and Informatics Corporation, General Director of Phú Thọ Hoà Electronics Company, and Chairman of the Board of Directors and General Director of Phú Thọ Hoà Electronics and Mechanical Joint Stock Company are responsible for implementing this Decision./.
